1 FIRST AMENDMENT TO AGREEMENT FOR ENGINEERING CONSULTANT SERVICES
2 THIS FIRST AMENDMENT TO AGREEMENT FOR ENGINEERING CONSULTANT SERVICES
3 (Agreement No. 14-508, hereinafter called "the AGREEMENT"), is made and entered into this
4 18th day of_ June , 2019, by and between the County of Fresno, a political
5 subdivision of the State of California (hereinafter called "the COUNTY"), and MGE Engineering, Inc., (a
6 California Corporation), 7415 Greenhaven Drive, Suite 100, Sacramento, CA 95831 (hereinafter called
7 "the CONSULTANT").
8 RECITALS
9 WHEREAS, the CONSULTANT has been selected to prepare Plans, Specifications, Engineer's
10 Estimate, and to provide other engineering services required for the design of the Delta-Mendota Canal
11 Bridge Replacement on Nees Avenue, hereinafter referred to as "the PROJECT"; and
12 WHEREAS, the CONSULTANT has been selected in accordance with the COUNTY's
13 Ordinance Code Chapter 4.10 on the selection of architects, engineers, and other professionals to
14 provide the engineering services necessary for the PROJECT.
15 WHEREAS, the AGREEMENT has been extended twice in writing and is currently set to expire
16 by its terms on August 26, 2019; and
17 WHEREAS, the PROJECT is not yet complete; and
18 WHEREAS, it is in the best interest of the COUNTY to retain the services of the CONSULTANT
19 to maintain continuity of the design of the PROJECT; and
20 NOW, THEREFORE, the CONSULTANT and the COUNTY hereby agree to amend the
21 AGREEMENT for the PROJECT as follows:
22 1. Article IV, Section A of the AGREEMENT is hereby deleted and replaced with the
23 following:
24 A. This First Amendment to the AGREEMENT shall go into effect immediately upon
25 execution by the COUNTY. As hereby amended, the term of the AGREEMENT is hereby further
26 extended by an additional three years and therefore shall expire on August 26, 2022, unless prior to its
27 expiration the term of the AGREEMENT is further extended in writing, for no more than two additional
28
1 one-year terms, by mutual consent of the Department of Public Works and Planning Director or
2 designee and the CONSULTANT."
3 2. Article I, Section C of the AGREEMENT is hereby deleted and replaced with the
4 following:
5 C. The CONTRACT ADMINISTRATOR for the COUNTY is Joseph Harrell, Senior
6 Engineer, whose contact information is 2220 Tulare Street, Suite 600, Fresno, CA, 93721, 559-600-
7 4534, jharrell@fresnocountyca.gov. From time to time as may be necessary, other COUNTY staff may
8 act in the place of the COUNTY's Contract Manager and exercise all of the responsibilities afforded
9 thereto. The PROJECT MANAGER for the CONSULTANT will be notified of any changes in the
10 COUNTY's CONTRACT ADMINISTRATOR. The PROJECT MANAGER for the CONSULTANT will be
11 Robert Sennett, S.E.; whose contact information is 7415 Greenhaven Drive, Suite 100, Sacramento,
12 CA 95831, 916-421-1000, rsennett@mgeeng.com."
13 3. Article I, Section E of the AGREEMENT is hereby deleted and replaced with the
14 following:
15 E. The CONSULTANT's services shall be performed as expeditiously as is
16 consistent with professional skill and the orderly progress of the work, based on the updated PROJECT
17 Schedule established in Exhibit C-1, a true and correct copy of which is attached to this First
18 Amendment to the AGREEMENT and incorporated herein by this reference."
19 4. All other terms and conditions contained in the AGREEMENT are unaffected by this First
20 Amendment to the AGREEMENT and shall remain in full force and effect.
