1 AGREEMENT

3 THIS AGREEMENT ("Agreement") is made and entered into this 20th day of
4 March , 2018, by and between the COUNTY OF FRESNO, a political subdivision of the State
5 of California, hereinafter referred to as "COUNTY", and FRESNO ECONOMIC OPPORTUNITIES,
6 INC, a California Private Non-Profit Corporation, whose address is 1900 Mariposa Mall, Suite
7 #350, Fresno, CA, 93721, hereinafter referred to as "CONTRACTOR".
8 WITNESSETH:
9 WHEREAS, COUNTY's Probation Department has need of a construction apprenticeship
10 program for adult offenders; and
11 WHEREAS, COUNTY issued Letter of Interest Number 18-018(hereinafter"LOI") on
12 December 13, 2017, which solicited interest from qualified vendors to provide the aforementioned
13 services; and
14 WHEREAS, CONTRACTOR responded to such LOI and represents that is willing and able
15 to provide such services pursuant to the terms and conditions of this Agreement.
16 NOW, THEREFORE, in consideration of the mutual covenants, terms and conditions herein
17 contained, the parties hereto agree as follows:
18 1. OBLIGATIONS OF THE CONTRACTOR
19 A. CONTRACTOR shall provide its Valley Apprenticeship Connections
20 Program/services to eligible adult offenders under the supervision of the Fresno County Probation
21 Department in accordance with the Scope of Work attached hereto as Exhibit A and incorporated
22 herein by reference.
23 2. OBLIGATIONS OF THE COUNTY
24 A. COUNTY shall compensate CONTRACTOR in accordance with Section
25 5. "COMPENSATION/INVOICING," of this Agreement.
26 3. TERM
27 The term of this Agreement shall be for a period of three (3) years, beginning
28 May 1, 2018 and ending April 30, 2021. This Agreement may be extended for two (2) additional

1 consecutive twelve (12) month periods upon written approval of both parties no later than thirty
2 (30) days prior to the first day of the next twelve (12) month extension period. The Chief Probation
3 Officer or his/her designee is authorized to execute such written approval on behalf of COUNTY
4 based on CONTRACTOR'S satisfactory performance.
5 4. TERMINATION
6 A. Non-Allocation of Funds - The terms of this Agreement, and the services to
7 be provided hereunder, are contingent on the approval of funds by the appropriating government
8 agency. Should sufficient funds not be allocated, the services provided may be modified, or this
9 Agreement terminated, at any time by giving the CONTRACTOR thirty (30) days advance written
10 notice.
11 B. Breach of Contract - COUNTY may immediately suspend or terminate this
12 Agreement in whole or in part, where in the determination of the COUNTY there is:
13 1) An illegal or improper use of funds;
14 2) A failure to comply with any term of this Agreement;
15 3) A substantially incorrect or incomplete report submitted to COUNTY;
16 4) Improperly performed service.
17 In no event shall any payment by the COUNTY constitute a waiver by the COUNTY
18 of any breach of this Agreement or any default which may then exist on the part of the
19 CONTRACTOR. Neither shall such payment impair or prejudice any remedy available to the
20 COUNTY with respect to the breach or default. The COUNTY shall have the right to demand of
21 the CONTRACTOR the repayment to the COUNTY of any funds disbursed to the CONTRACTOR
22 under this Agreement, which in the judgment of the COUNTY were not expended in accordance
23 with the terms of this Agreement. The CONTRACTOR shall promptly refund any such funds upon
24 demand.
25 C. Without Cause - Under circumstances other than those set forth above,
26 this Agreement may be terminated by COUNTY upon the giving of thirty (30) days advance written
27 notice of an intention to terminate to CONTRACTOR.
28 5. COMPENSATION/INVOICING

1 COUNTY agrees to pay CONTRACTOR and CONTRACTOR agrees to
2 receive compensation in accordance with the line item program budget set forth in Exhibit B.
3 Under no circumstances shall payments made by the COUNTY to
4 CONTRACTOR under this Agreement exceed $264,000 annually. The maximum amount
5 payable by the COUNTY to the CONTRACTOR under this Agreement for the potential five (5)
6 year contract term is $1,320,000.
7 CONTRACTOR shall submit monthly invoices for actual program expenses to
8 the County of Fresno Probation Department, either by mail to the Business Office, 3333 E.
9 American Avenue, Suite B, Fresno, CA 93725, or electronically to:
10 Probation lnvoices(d)-co.fresno.ca.us. COUNTY shall pay CONTRACTOR within forty-five (45)
11 days after receipt and verification of CONTRACTOR'S properly completed invoices. Such
12 payments shall be mailed to the CONTRACTOR's address identified on page 1 of this
13 Agreement.
14 6. INDEPENDENT CONTRACTOR
15 In performance of the work, duties and obligations assumed by
16 CONTRACTOR under this Agreement, it is mutually understood and agreed that CONTRACTOR,
17 including any and all of the CONTRACTOR'S officers, agents, and employees will at all times be
18 acting and performing as an independent contractor, and shall act in an independent capacity and
19 not as an officer, agent, servant, employee, joint venturer, partner, or associate of the COUNTY.
20 Furthermore, COUNTY shall have no right to control or supervise or direct the manner or method
21 by which CONTRACTOR shall perform its work and function. However, COUNTY shall retain the
22 right to administer this Agreement so as to verify that CONTRACTOR is performing its obligations
23 in accordance with the terms and conditions thereof.
24 CONTRACTOR and COUNTY shall comply with all applicable provisions of
25 law and the rules and regulations, if any, of governmental authorities having jurisdiction over
26 matters the subject thereof.
27 Because of its status as an independent contractor, CONTRACTOR shall have
28 absolutely no right to employment rights and benefits available to COUNTY employees.

1 CONTRACTOR shall be solely liable and responsible for providing to, or on behalf of, its
2 employees all legally-required employee benefits. In addition, CONTRACTOR shall be solely
3 responsible and save COUNTY harmless from all matters relating to payment of
4 CONTRACTOR'S employees, including compliance with Social Security withholding and all other
5 regulations governing such matters. It is acknowledged that during the term of this Agreement,
6 CONTRACTOR may be providing services to others unrelated to the COUNTY or to this
7 Agreement.
8 7. MODIFICATION
9 Any matters of this Agreement may be modified from time to time by the written
10 consent of all the parties without, in any way, affecting the remainder.
11 8. NON-ASSIGNMENT
12 Neither party shall assign, transfer or sub-contract this Agreement nor their
13 rights or duties under this Agreement without the prior written consent of the other party.
14 9. HOLD HARMLESS
15 CONTRACTOR agrees to indemnify, save, hold harmless, and at COUNTY'S
16 request, defend the COUNTY, its officers, agents, and employees from any and all costs and
17 expenses, damages, liabilities, claims, and losses occurring or resulting to COUNTY in connection
18 with the performance, or failure to perform, by CONTRACTOR, its officers, agents, or employees
19 under this Agreement, and from any and all costs and expenses, damages, liabilities, claims, and
20 losses occurring or resulting to any person, firm, or corporation who may be injured or damaged
21 by the performance, or failure to perform, of CONTRACTOR, its officers, agents, or employees
22 under this Agreement.
23 10. INSURANCE
24 Without limiting the COUNTY's right to obtain indemnification from
25 CONTRACTOR or any third parties, CONTRACTOR, at its sole expense, shall maintain in full
26 force and effect the following insurance policies or a program of self-insurance throughout the
27 term of this Agreement:

1 A. Commercial General Liability
2 Commercial General Liability Insurance with limits of not less than One
3 Million Dollars ($1,000,000) per occurrence and an annual aggregate of Two Million Dollars
4 ($2,000,000). This policy shall be issued on a per occurrence basis, COUNTY may require
5 specific coverages including completed operations, products liability, contractual liability,
6 Explosion-Collapse-Underground, fire legal liability or any other liability insurance deemed
7 necessary because of the nature of this contract.
8 B. Automobile Liability
9 Comprehensive Automobile Liability Insurance with limits for bodily injury of
10 not less than Two Hundred Fifty Thousand Dollars ($250,000.00) per person, Five Hundred
11 Thousand Dollars ($500,000.00) per accident and for property damages of not less than Fifty
12 Thousand Dollars ($50,000.00), or such coverage with a combined single limit of Five Hundred
13 Thousand Dollars ($500,000.00). Coverage should include owned and non-owned vehicles used
14 in connection with this Agreement.
15 C. Professional Liability
16 If CONTRACTOR employs licensed professional staff, (e.g., Ph.D., R.N.,
17 L.C.S.W., M.F.C.C.) in providing services, Professional Liability Insurance with limits of not less
18 than One Million Dollars ($1,000,000.00) per occurrence, Three Million Dollars ($3,000,000.00)
19 annual aggregate.
20 D. Worker's Compensation
21 A policy of Worker's Compensation insurance as may be required by the
22 California Labor Code.
23 CONTRACTOR shall obtain endorsements to the Commercial General Liability
24 insurance naming the County of Fresno, its officers, agents, and employees, individually and
25 collectively, as additional insured, but only insofar as the operations under this Agreement are
26 concerned. Such coverage for additional insured shall apply as primary insurance and any other
27 insurance, or self-insurance, maintained by COUNTY, its officers, agents and employees shall be
28 excess only and not contributing with insurance provided under CONTRACTOR's policies herein.

1 This insurance shall not be cancelled or changed without a minimum of thirty (30) days advance
2 written notice given to COUNTY.
3 Within Thirty (30) days from the date CONTRACTOR signs and executes this
4 Agreement, CONTRACTOR shall provide certificates of insurance and endorsement as stated
5 above for all of the foregoing policies, as required herein, to the County of Fresno, Probation
6 Administration Division Director, Greg Reinke, 3333 E. American Ave, Suite B, Fresno, CA 93725,
7 stating that such insurance coverages have been obtained and are in full force; that the County of
8 Fresno, its officers, agents and employees will not be responsible for any premiums on the
9 policies; that such Commercial General Liability insurance names the County of Fresno, its
10 officers, agents and employees, individually and collectively, as additional insured, but only insofar
11 as the operations under this Agreement are concerned; that such coverage for additional insured
12 shall apply as primary insurance and any other insurance, or self-insurance, maintained by
13 COUNTY, its officers, agents and employees, shall be excess only and not contributing with
14 insurance provided under CONTRACTOR's policies herein; and that this insurance shall not be
15 cancelled or changed without a minimum of thirty (30) days advance, written notice given to
16 COUNTY.
17 In the event CONTRACTOR fails to keep in effect at all times insurance
18 coverage as herein provided, the COUNTY may, in addition to other remedies it may have,
19 suspend or terminate this Agreement upon the occurrence of such event.
20 All policies shall be issued by admitted insurers licensed to do business in the
21 State of California, and such insurance shall be purchased from companies possessing a current
22 A.M. Best, Inc. rating of A FSC VI or better.
23 11. DISCLOSURE OF SELF-DEALING TRANSACTIONS
24 This provision is only applicable if the CONTRACTOR is operating as a
25 corporation (a for-profit or non-profit corporation) or if during the term of the agreement, the
26 CONTRACTOR changes its status to operate as a corporation.
27 Members of the CONTRACTOR's Board of Directors shall disclose any self-
28 dealing transactions that they are a party to while CONTRACTOR is providing goods or

1 performing services under this agreement. A self-dealing transaction shall mean a transaction
2 to which the CONTRACTOR is a party and in which one or more of its directors has a material
3 financial interest. Members of the Board of Directors shall disclose any self-dealing
4 transactions that they are a party to by completing and signing a Self-Dealing Transaction
5 Disclosure Form, attached hereto as Exhibit C and incorporated herein by reference, and
6 submitting it to the COUNTY prior to commencing with the self-dealing transaction or
7 immediately thereafter.
8 12. AUDITS AND INSPECTIONS
9 The CONTRACTOR shall at any time during business hours, and as often as the
10 COUNTY may deem necessary, make available to the COUNTY for examination all of its records
11 and data with respect to the matters covered by this Agreement. The CONTRACTOR shall, upon
12 request by the COUNTY, permit the COUNTY to audit and inspect all of such records and data
13 necessary to ensure CONTRACTOR'S compliance with the terms of this Agreement.
14 If this Agreement exceeds ten thousand dollars ($10,000.00), CONTRACTOR
15 shall be subject to the examination and audit of the Auditor General for a period of three (3) years
16 after final payment under contract (Government Code Section 8546.7).
17 13. NOTICES:
18 The persons and their addresses having authority to give and receive notices
19 under this Agreement include the following:

Any and all notices between the COUNTY and the CONTRACTOR provided
25
for or permitted under this Agreement or by law shall be in writing and shall be deemed duly
26
served when personally delivered to one of the parties, or in lieu of such personal services, when
27
deposited in the United States Mail, postage prepaid, addressed to such party.

1 14. VENUE AND GOVERNING LAW
2 Venue for any action arising out of or related to this Agreement shall only be in
3 Fresno County, California. The rights and obligations of the parties and all interpretation and
4 performance of this Agreement shall be governed in all respects by the laws of the State of
5 California.
6 15. ENTIRE AGREEMENT:
7 This Agreement, including all exhibits, constitutes the entire agreement
8 between the CONTRACTOR and COUNTY with respect to the subject matter hereof and
9 supersedes all previous Agreement negotiations, proposals, commitments, writings,
10 advertisements, publications, and understandings of any nature whatsoever unless expressly
11 included in this Agreement.

Valley Apprenticeship Connections —Scope of Work
The Valley Apprenticeship Connections—(VAC)began with its Founder, City Councilmen
Oliver Baines. Oliver wanted to develop a program that would meet the needs of the union trades
but offer Fresno residents a pathway into the jobs coming into our community. Several meetings
took place with the various union trades. Their input into our model was critical to the success of
the program for apprenticeship attainment outcomes. Evidenced based materials and approaches
have been included to insure students have the best opportunities to succeed. The program design
was intended to serve those most in need with severe barriers to employment. Those who were
once considered unemployable or just left behind.
The VAC program is 12 weeks in duration. Motivational incentives have been built into the
program to reward positive efforts and milestone achievements. Motivational Interviewing
techniques will be used to increase the motivation of people with problems to make necessary
changes, to help students identify and change thought patterns that have negative influences on
behavior.
Thinkinz for Change: This curriculum has been in place within our program since the
beginning and has proven to help students retain their jobs as the VAC has maintained roughly a
90%retention rate after 90-days. The VAC student's role plays quite a bit especially when
covering topics such as conflict resolution.
Physical Educational:
All students must be willing to participate on a daily bases. Physical education and conditioning,
basic stretching and performing a series of exercises was built into the program design to get
students use to moving and developing their inner core strength. All of this is in preparation of
the Laborers Union—Physical Assessment test where students must pass with a minimum score
of 75%. The assessment will require students to:
• Move 45 Bricks of brick-lite 30 feet and restack it in the same pattern they picked it up
from in (7-Minutes)
• Move 25 — 12 foot boards 30 feet and re-stack them in an appropriate manner in(7-
Minutes)
• Using a shovel and a wheel barrow a student must shovel (pea gravel) from a bin into a
wheel barrow and dump it in another bin, 30 feet away until the bin is empty in(8-
Minutes)
• Along with a Math Test of 10 questions
Educational Tutoring:
Math skill requirements vary from one union to another. The Laborers union requires an 8th
grade level in math. As a result the VAC has a Tutor on site to assist students with their math
skill sets. Students who test under the 8th grade level must be willing to participate in(1-Hour)
tutoring sessions that are conducted after class. Students with a Ist grade math level,we find that
so long as their Reading Comprehension is gth grade or above. The VAC Tutor has had great

success in helping them to achieve the 8th grade math requirements, so long as the student is
willing to do the work.
Financial Literacy:
EOC's Access Plus Capital/Self--Help Federal Credit Union will provide students with financial
literacy education. Students need to learn how to manage their money to plan when a project is
completed, college funds for their children and how to buy a home. Our intent is to open their
minds to new opportunities for their families. Some of our students have earned$72,000 in just 8
months, so money management is very important. Students in need can also receive credit
counseling and other services for those needing to clean up their credit and/or open a bank
account.
_Random Drug Testing:
VAC issues all students (2-random drug tests) One during the first 6 weeks and another during
the second phase week 7 or 8. Probation will assist with the testing of the students in the class. If
a student tests positive for substances they must be willing to attend Out-Patient Treatment in
order to remain in the program. We are looking at Turning Point being the Out-Patient Treatment
provider, which is really great for the students. As most programs will issue drug tests up front
and if a student has a positive test,they can never access training services. The VAC provides
students with an opportunity to fix the problem. However, out-patient treatment must also be
accessed after class and the student must be willing to participate or they will self-terminate. To
date all of the students who have agreed to this part of the process have tested clean on their 2nd
test and lab results show the student stopped using substances.
Union Trade Meet & Greets:
One week is dedicated to taking the students directly to the various Union Halls to have an
orientation with the Apprenticeship Training Coordinators. So students can decide which
pathway they are most interested in after hearing all of their requirements for entry. So during
this week they will visit the Sheet Metal, Laborers, Plumbers &Pipe Fitters, Electrical,
Carpenters, Iron Workers and Cement Masons and Plasterers. Some trades offer them a full day
on-site to see what a day in the life of an Iron Worker will look like.
Business Services Account Specialist(BSAS): Conducts job search activities with all students
and begins to develop their resumes. The BSAS will meet with each student individually and
discuss which union trade they want to pursue. At this point the requirements are reviewed and a
plan is put in place and the student will continue to conduct research to determine if they made
an appropriate selection. The BSAS will coordinate job search activities and assignments will be
given.
Union Trades:
The Northern CA Laborers have provided the VAC with a direct entry MOU which means that
all students that successfully complete the program will be placed on a"Direct Entry call list".
The Northern CA Laborers also provide the students of the VAC (Certifications)training so each
student that successfully completes will be certified in:

The Valley Apprenticeship Connections will utilize our internal construction monitoring tool
during the job search activities. The monitoring tool provides information on all construction
permits, requested through the city. This monitoring tool also provides all contact information on
the Contractor. Information includes, name, address, phone number, description of the work, a
location map and the projected building cost. This tool will allow our Business Service Account
Specialists to connect our student directly with the Contractors that are actively working on
projects throughout the County of Fresno,to increase their ability to become gainfully employed.
It's also important to note that if a student fails the physical assessment with the Laborers on
their first try, students will be able to return after 60 days to try again. Please note the chart
below for wage detail on some of the trades entering their apprenticeship programs:

The VAC was designed to meet the recruitments and work ethic expectations and standards of
the Union Trades. Students will be expected to mirror and perform at the same level. For
example if apprentices show up late with the Union Trades,they are immediately terminated
from the program. If they are late coming back from breaks or lunch hours they are immediately
terminated from the Union Trades program. Although the VAC takes absences on a case by case
basis, students are made aware that absenteeism and tardiness will not be tolerated.
Union Trade Apprenticeship programs for the most part begin at 7:00 am;the VAC training
program begins at 7:00 am until 2pm, Monday- Friday. If they are able to successfully complete
the VAC program they will succeed with the Union Trades apprenticeship programs.
The VAC would like to request Probation Officers schedule students participating in the
program for their office visits after 2pm, to not impact the students ability to attain a perfect
attendance certificate.
Construction contractors have hired those students quickly who didn't miss a day in their 12
week duration and we have several attaining perfect attendance once they understand the
importance in every graduating class.

VAC Director:
Lydia Gutierrez has over 40 years of experience operating programs and managing numerous
contracts under State, Federal, County and Private Foundation grant funds. Ms. Gutierrez has
held administrative roles, supervising up to 58 employees with grant funds exceeding 12 million
dollars.
Relevant to this project she managed Youth and Adult Offender programs for over 20 years, a
Construction Trades program for 5 years and a Non-Traditional Occupations program for
Women for 5 years. Her span of experience includes working with youth in and out of school,
youth and adults living in poverty who resided in the urban&rural areas. Lydia has experience
in a substance abuse residential treatment facility and other modalities of treatment. She also
worked with the STOP Program & CDCR and was cleared holding a State issued CDCR ID
Card. She has also continued to work with various providers working within the correctional
systems in and out of the prison.
