1 FIRST AMENDMENT TO AGREEMENT
2 THIS FIRST AMENDMENT to Agreement No. 17-177 ( "First Amendment") is made and
3 entered into this 23rd day of January , 2018, by and between the County of Fresno,
4 a political subdivision of the State of California (hereinafter "COUNTY"), and Velis Engineering,
5 Inc., a California corporation, whose address is 1929 Industrial Way, Sanger, CA. 93657
6 (hereinafter"CONTRACTOR").
7 WITNESSETH:
8 WHEREAS, COUNTY and CONTRACTOR entered into Agreement No. 17-177, dated
9 May 2, 2017 ("Agreement") pursuant to which CONTRACTOR agreed to provide Job Order
10 Contracting services; and
11 WHEREAS, COUNTY has the need for additional services; and
12 WHEREAS, COUNTY AND CONTRACTOR now desire to amend the Agreement in
13 order increase the maximum contract value.
14 NOW,THEREFORE,for good and valuable consideration, the receipt and adequacy of
15 which is hereby acknowledged, COUNTY and CONTRACTOR agree to amend the Agreement as
16 follows:
17 The portion of Section V. COMPENSATION/INVOICING of the existing Agreement No.
18 17-177, as set forth on page 6, beginning on line 8 with the word `The" and ending on line 12
19 with the word "agreement," is hereby deleted and replaced with the following:

21 "The Minimum Contract Value is $25,000 (twenty-five thousand dollars). The
22 CONTRACTOR will receive Job Orders totaling a minimum of$25,000 during the term of
23 this Agreement. The Maximum Contract Value is $4,000,000 (four million dollars). The
24 Maximum Contract Value may be increased by up to the sum authorized by Public Code
25 Section 20128.5 (currently approximately $4,500,000). Any increase on the maximum
26 Contract Value will be by mutual agreement."

28 COUNTY and CONTRACTOR agree that this First Amendment is sufficient to amend

1 the Agreement and that upon execution of this First Amendment, the Agreement and this First
2 Amendment shall together be considered the Agreement.
3 The Agreement, as hereby amended, is ratified and continued. All provisions, terms,
4 covenants, conditions and promises contained in the Agreement and not amended herein shall
5 remain in full force and effect.
