2 FOR ENGINEERING CONSULTANT SERVICES FOR IMPROVEMENTS AT THE MONTE VERDI
3 WASTEWATER TREATMENT FACILITY
4 THIS AMENDMENT to Agreement (Amendment No. 2) is made and entered into this
5 12th day of December , 2017, by and between the County of Fresno, a political
6 subdivision of the State of California (COUNTY) and Carollo Engineers, Inc., a Delaware
7 Corporation (CONSULTANT).
8 RECITALS
9 WHEREAS, on April 14, 2009, Agreement No. 09-126 (AGREEMENT) was entered into by
10 and between COUNTY and CONSULTANT, pursuant to which CONSULTANT agreed to provide
11 engineering services necessary for the preparation of plans, specifications and estimate for the
12 design of improvements to the CSA No. 44-D Wastewater Treatment Facility (FACILITY), intended
13 to provide compliant wastewater discharge suitable for landscape irrigation and to improve overall
14 FACILITY performance (DESIGN PROJECT); and
15 WHEREAS, on June 17, 2017, Amendment No. 1 to AGREEMENT updated the
16 COUNTY'S and CONSULTANT'S contact people, amended the scope of services to include
17 CONSULTANT'S assistance to COUNTY during the bidding process, construction and post-
18 construction phases of the FACILITY improvements, increased the total compensation allowed
19 under the AGREEMENT, and extended the term of the AGREEMENT: and
20 WHEREAS, COUNTY'S contact person identified in Amendment No. 1 has changed; and
21 WHEREAS, the term of AGREEMENT identified in Section XX, "Term and Renewal" of
22 AGREEMENT, as identified by Amendment No. 1, is December 31, 2017; and
23 WHEREAS, COUNTY now desires to amend the AGREEMENT, by modifying the
24 COUNTY'S contact person and to further extend the term of the AGREEMENT.
25 NOW, THEREFORE, CONSULTANT and COUNTY agree that the AGREEMENT shall
26 hereby be amended by this Amendment No. 2 thereto, as follows:
27 1. The text at page 2, lines 20-21, inclusive, of Amendment No. 1, is hereby deleted in
28 its entirety and replaced with the following:

1 "F. The contact person for the COUNTY shall be: Sebastian Artal, P.E. Telephone:
2 (559) 600-4512, fax: (559) 600-4399, e-mail: sartal@co.fresno.ca.us."
3 2. Paragraph A of Article XX (entitled "TERM AND RENEWAL"), at page 12, lines 2-5,
4 inclusive, of AGREEMENT, as previously modified by Amendment No. 1, is hereby deleted in its
5 entirety and replaced with the following:
6 "A. This AGREEMENT shall expire on December 31, 2020, unless its term is subsequently
7 further extended by another formal amendment pursuant to the provisions of Article XV (entitled
8 `CHANGES OR AMENDMENTS'), or it is terminated earlier pursuant to the provisions of Article
9 XXI (entitled `TERMINATION OF AGREEMENT') ."
10 All other provisions, terms, covenants, conditions and provisions contained in
11 AGREEMENT, as previously modified by Amendment No. 1, are unchanged by this Amendment
12 No. 2 and shall remain in full force and effect.
13 This Amendment No. 2 shall be effective immediately upon execution by all of the parties
14 hereto.
