17-1268 Agreement No. 17-595 1 AGREEMENT FOR CONTRACTOR'S SERVICES 2 3 THIS AGREEMENT ("Agreement") is made and entered into this 14th day of 4 November , 2017 ("Effective Date") by and between the County of Fresno, a political 5 subdivision of the State of California (hereinafter called "COUNTY"), and BC 6 Laboratories, Inc., located at 4100 Atlas Ct., Bakersfield, CA 93308 (hereinafter called 7 "CONTRACTOR"). 8 WITNESSETH: 9 WHEREAS, the COUNTY is required by state and federal regulations to collect 10 and analyze water, leachate and soil pore gas samples at disposal sites, and; 11 WHEREAS the COUNTY requires specialized laboratory services in order to 12 comply with the above regulations, and; 13 WHEREAS, the CONTRACTOR is qualified and willing to provide the COUNTY 14 the professional services needed for this project; 15 NOW, THEREFORE, the parties hereto have and by these presents do agree as 16 follows: 17 I. CONTRACTING OF CONTRACTOR: 18 A. The COUNTY hereby contracts with the CONTRACTOR as an 19 independent contractor to provide all the CONTRACTOR services required for the 20 project. Said services are described under Article III herein. 21 B. The CONTRACTOR shall retain such other subcontractors as 22 CONTRACTOR requires to assist in completing the work. Should CONTRACTOR 23 retain such persons, compensation to be paid to CONTRACTOR under Article V below 24 shall not be increased. 25 C. The CONTRACTOR'S services shall be performed as expeditiously as is 26 consistent with professional skill and the orderly progress of the work. 27 D. The contact person for the CONTRACTOR shall be: Mark Ellis (telephone 28 (916) 247-1446, fax (661) 327-1918 1 1 II. DESCRIPTION OF THE WORK COVERED BY THIS AGREEMENT: 2 A. The work covered by the Agreement is to perform analytical testing of 3 water samples as further described below in Article III. 4 III. CONTRACTOR'S SERVICES: 5 The CONTRACTOR agrees to provide professional services for Fresno County 6 disposal sites as provided for in the CONTRACTOR'S Response to the COUNTY'S 7 Request for Quotation 17-087 submitted on July 20, 2017 incorporated herein as Exhibit 8 "A" and generally described below: 9 CONTRACTOR shall provide all labor, material, equipment, taxes, transportation, 10 shipping, etc., to perform analytical testing of samples and issue test results in the form 11 of written and/or electronic reports of analyses. 12 IV. COUNTY'S OBLIGATIONS: 13 The COUNTY will: 14 A. Compensate the CONTRACTOR as provided in this Agreement. 15 B. Provide a "COUNTY Representative" who will represent the COUNTY and 16 who will work with the CONTRACTOR in carrying out the provisions of this Agreement. 17 The COUNTY Representative will be the COUNTY Director of the Department of Public 18 Works and Planning or his/her designee. The CONTRACTOR shall communicate and 19 coordinate with the COUNTY Representative who will provide the following services: 20 1. Examine documents submitted to the COUNTY by the 21 CONTRACTOR and timely render decisions pertaining thereto. 22 2. Provide communication between the CONTRACTOR and COUNTY 23 officials and commissions (including user Department). 24 C. Give reasonably prompt consideration to all matters submitted by the 25 CONTRACTOR for approval to the end that there will be no substantial delays in the 26 CONTRACTOR'S program of work. An approval, authorization or request to the 27 CONTRACTOR given by the COUNTY will only be binding upon the COUNTY under 28 2 1 the terms of this Agreement if in writing and signed on behalf of the COUNTY by the 2 COUNTY Representative or a designee. 3 V. COMPENSATION: 4 A. Total Fee: 5 Notwithstanding any other provision in this Agreement, the Total Fee for 6 the services required under Article III shall be limited to a maximum of$83,950 annually 7 comprised of a Basic Fee of$69,960 annually and an Extra Services Allocation of 8 $13,990 annually. Thus, if the Agreement is automatically renewed as provided for in 9 Section XX.B., then the maximum cumulative amount of the Total Fee, Basic Fee and 10 Extra Service allocations shall be increased accordingly, without the need for any 11 amendment of this Agreement. 12 B. Basic Fee: 13 1. The Basic Fee for the Basic Services required under Article III, 14 shall be invoiced at the rates shown in the CONTRACTOR'S response dated July 20, 15 2017, previously incorporated herein, and shall be limited to a maximum of$69,960 16 annually. Within the Total Fee limitation described in V.A., the Basic Fee shall be 17 divided as follows: 18 Site/Budget Maximum Annual Cost 19 General Schedule 20 American Avenue Disposal Site/9026 $ 11,640 21 Coalinga Disposal Site/9028 $ 1,680 22 Southeast Regional Disposal Site/9020 $ 6,144 23 Del Rey Disposal Site 9015 $ 960 24 Riverdale Disposal Site 9015 $ 960 25 Total Basic Fee $ 21.384 26 Site/Budget Maximum Cost 27 5-Year Constituent of Concern Schedule 28 American Avenue Disposal Site/9026 $ 28,842 3 1 Coalinga Disposal Site/9028 $ 3,542 2 Southeast Regional Disposal Site/9020 $ 12,144 3 Del Rey Disposal Site/9015 $ 2,024 4 Riverdale Disposal Site/9015 $ 2,024 5 Total 5 Year COC $ 48.576 6 2. The rates listed herein are to remain in effect for the duration of this 7 Agreement, and the total Basic Fee may not be increased except upon written 8 Amendment to this Agreement. 9 3. Upon written agreement and authorization by both COUNTY and 10 CONTRACTOR, the above amounts may be redistributed within the limits of the Total 11 Basic Fee with the approval of the Resources Manager. 12 C. Extra Services: 13 1. A maximum allocation of$13,990 annually to pay for authorized 14 Extra Services is provided herein by this Agreement. Payment of Extra Services in 15 excess of$13,990 annually is prohibited except upon written Amendment to this 16 Agreement. The maximum amount of Extra Services shall be divided as follows: 17 Site/Budget Maximum Annual Cost 18 American Avenue Disposal Site/9026 $ 7,000 19 Coalinga Disposal Site/9028 $ 1,290 20 Southeast Regional Disposal Site/9020 $ 5,700 21 Total Extra Services Fee $ 13,990 22 2. The CONTRACTOR shall not undertake any Extra Services without 23 advance written authorization of the COUNTY representative. The CONTRACTOR 24 and COUNTY shall expressly confirm in writing the authorization and maximum cost for 25 any such services before the CONTRACTOR is compensated for any work thereon. 26 3. Payment for Extra Services will be at the cost rates identified in 27 Exhibit "A", as appropriate and applicable to the specific Extra Services performed. 28 4 1 4. The following are CONTRACTOR services which are considered as 2 not included in Article III herein, but may be required and thus considered Extra 3 Services. 4 a. Providing unforeseen, extraordinary, or unique services or 5 items not covered or normally included in the Basic Fee, but which are authorized by 6 the COUNTY Representative. 7 5. In the event COUNTY expressly authorizes Extra Services, 8 CONTRACTOR shall keep complete records showing the hours and description of 9 activities worked by each person assigned to the project and all costs and charges 10 attributable to the Extra Services work so authorized. Should there be a claim for Extra 11 Services, the CONTRACTOR agrees that he shall identify the activity, the performer of 12 the activity, the reason for the activity, and the COUNTY official requesting the activity 13 or the claim will be denied. CONTRACTOR shall be responsible for all subcontractors 14 keeping similar records. The CONTRACTOR shall not stop the work, including the work 15 in other areas unrelated to the Extra Services request or claim, unless it can be shown, 16 to the satisfaction of the COUNTY Representative, that the project work cannot proceed 17 while a claim or request for Extra Services is being evaluated. 18 D. Payments: 19 1. Progress payments will be made by the COUNTY upon receipt and 20 approval of the CONTRACTOR'S invoices. Invoices shall clearly identify the site and 21 task to which the work pertains and shall be submitted with the documentation identified 22 in Article V.D.4. 23 Invoices for Disposal Sites shall be submitted to: 24 Fresno County Department of Public Works and Planning 25 Resources Division Attention: Account Clerk— Disposal Sites 26 2220 Tulare Street, Sixth Floor Fresno, CA 93721-2106 27 28 5 1 2. Upon receipt of a proper invoice, the COUNTY Department of 2 Public Works and Planning will take a maximum of ten (10) working days to review, 3 approve, and submit it to the COUNTY Auditor-Controller/Treasurer-Tax Collector. 4 Unsatisfactory or inaccurate invoices may be returned to the CONTRACTOR for 5 correction and resubmittal. Payment will be issued to CONTRACTOR within forty (40) 6 calendar days of the date the Auditor-Controller/Treasurer-Tax Collector receives the 7 approved invoice. 8 3. An unresolved dispute over a possible error or omission may cause 9 payment of CONTRACTOR fees in the disputed amount to be withheld by the 10 COUNTY. 11 4. Concurrently with the invoices, the CONTRACTOR shall provide its 12 certification acceptable to the COUNTY, and shall provide, on COUNTY request, copies 13 of issued checks, receipts, or other COUNTY pre-approved documentation, that 14 complete payment has been made to all subcontractors as provided herein for all 15 previous invoices paid by the County of Fresno. 16 5. Final invoice shall be submitted to COUNTY no later than thirty (30) 17 days after this Agreement is completed or renewed. 18 6. In the event the COUNTY reduces the scope of the project, the 19 CONTRACTOR will be compensated on a pro rata basis for actual work completed and 20 accepted by the COUNTY in accordance with the terms of this Agreement 21 VI. COMPENSATION RECORDS: 22 The CONTRACTOR shall keep complete records showing the hours and 23 description of activities performed by each person who works on the project and all 24 associated costs or charges applicable to work covered by the Basic Fee and approved 25 Extra Services. The CONTRACTOR will be responsible for all sub-contractors keeping 26 similar records. The CONTRACTOR shall maintain all such records for a period of 27 three (3) years following final payment under this Agreement, consistent with the 28 provisions of VII.B. 6 1 VII. AUDITS, ACCOUNTING AND INSPECTIONS ACCESS: 2 A. The CONTRACTOR shall at any time during regular business hours, and 3 as often as the COUNTY may deem necessary, make available to the COUNTY 4 Auditor-Controller/Treasurer-Tax Collector, or their authorized representatives for 5 examination all of its records and data with respect to matters covered by this 6 Agreement. The CONTRACTOR shall permit the COUNTY to audit and inspect all 7 invoices, materials, payrolls, records of personnel, conditions of employment, and other 8 data relating to matters covered by this Agreement. 9 B. The CONTRACTOR shall be subject to the examination and audit of the 10 Auditor General for a period of three (3) years after final payment under this Agreement 11 (Government Code Section 8456.7). 12 Vill. ERRORS OR OMISSION CLAIMS AND DISPUTES: 13 A. Definitions: 14 1. A "CONTRACTOR" is a duly licensed Contractor, or other provider 15 of professional services, acting as a business entity (owner, partnership, corporation, 16 joint venture or other business association) in accordance with the terms of an 17 Agreement with the COUNTY. 18 2. A "Claim" is a demand or assertion by one of the parties seeking, 19 as a matter of right, adjustment or interpretation of contract terms, payment of money, 20 extension of time, change orders, or other relief with respect to the terms of the 21 contract. The term "Claim" also includes other disputes and matters in question 22 between the COUNTY and CONTRACTOR arising out of or relating to the contract. 23 Claims must be made by written notice. The provisions of Government Code section 24 901, et seq., shall apply to every claim made to COUNTY. The responsibility to 25 substantiate claims shall rest with the party making the claim. The term "Claim" also 26 includes any allegation of an error or omission by the CONTRACTOR. 27 B. In the spirit of cooperation between the COUNTY and CONTRACTOR, the 28 following procedures are established in the event of any claim or dispute alleging an 7 1 error, omission, or negligent act of the CONTRACTOR. 2 1. Claims, disputes or other matters in question between the parties, 3 arising out of or relating to this Agreement, shall not be subject to arbitration, but shall 4 be subject to the following procedures. 5 2. The COUNTY Representative and CONTRACTOR shall meet and 6 confer and attempt to reach agreement on any dispute, including what damages have 7 occurred, the measure of damages and what proportion of damages, if any, shall be 8 paid by either party. The parties agree to consult and consider the use of mediation or 9 other form of dispute resolution prior to resorting to litigation. 10 3. If the COUNTY and CONTRACTOR cannot reach agreement under 11 Section VIII.B.2., the disputed issues may, upon concurrence by all parties, be 12 submitted to a panel of three (3) for a recommended resolution. The CONTRACTOR 13 and the COUNTY shall each select one (1) member of the panel, and the third member 14 shall be selected by the other two panel members. The discovery rights provided by 15 California Code of Civil Procedure for civil proceedings shall be available and 16 enforceable to resolve the disputed issues. Either party requesting this dispute 17 resolution process shall, when invoking the rights to this panel, give to the other party a 18 notice describing the claims, disputes and other matters in question. Prior to 20 days 19 before the initial meeting of the panel, both parties shall submit all documents such 20 party intends to rely upon to resolve such dispute. If it is determined by the panel that 21 any party has relied on such documentation, but has failed to previously submit such 22 documentation on a timely basis to the other party, the other party shall be entitled to a 23 20-day continuance of such initial meeting of the panel. The decision by the panel is 24 not a condition precedent to arbitration, mediation or litigation. 25 4. Upon receipt of the panel's recommended resolution of the dispute 26 issues, the COUNTY and the CONTRACTOR shall again meet and confer and attempt 27 to reach agreement. If the parties still are unable to reach agreement, each party shall 28 have recourse to all appropriate legal and equitable remedies. 8 1 C. The procedures to be followed in the resolution of claims and disputes 2 may be modified at any time by mutual agreement of the parties hereto. 3 D. The CONTRACTOR shall continue to perform its obligations under this 4 Agreement pending resolution of any dispute, and the COUNTY shall continue to make 5 payments of all undisputed amounts due under this Agreement. 6 E. When a claim by either party has been made alleging the 7 CONTRACTOR'S error, omission or negligent act, the COUNTY representative and the 8 CONTRACTOR shall meet and confer within twenty-one (21) days after the written 9 notice of the claim has been provided. 10 IX. JOINDER OF PARTIES: 11 The CONTRACTOR, subcontractors of any tier, suppliers and construction 12 lenders shall all be bound by the dispute resolution provisions of this Agreement, and 13 immediately upon demand of COUNTY or CONTRACTOR, shall participate in and shall 14 become parties to the dispute resolution process, provided they have signed any 15 document that incorporates or refers to the dispute resolution provisions of this 16 Agreement. Failure, whether intended or inadvertent, of CONTRACTOR to ensure that 17 such nonparties have signed such a document shall inure only to CONTRACTOR'S 18 detriment, if any there be. COUNTY shall not suffer a detriment by CONTRACTOR'S 19 action or inaction in this regard. If such a party after due notice fails to appear at and 20 participate in the dispute resolution proceedings, the panel established in accordance 21 with the provision of Article VIII.B.3 shall make a decision based on evidence introduced 22 by the party or parties who do participate. 23 X. CONTRACTOR'S OBLIGATION RELATING TO REGULATORY 24 REQUIREMENTS 25 The CONTRACTOR shall analyze and adhere to requirements of all relevant 26 regulatory codes, including, but not limited to, all applicable provisions of Titles 14, 22, 27 23, and 27 of the California Code of Regulations; and all applicable site specific Waste 28 Discharge Requirements, Monitoring and Reporting Programs, and Standard Provisions 9 I and Reporting Requirements; including any subsequent updates or modifications 2 thereto, for each Solid Waste Disposal site specified in Article V.B.I. 3 XI. INDEPENDENT CONTRACTOR: 4 A. In performance of the work, duties, and obligations assumed by CONTRACTOR 5 under this Agreement, it is mutually understood and agreed that CONTRACTOR, 6 including any and all of CONTRACTOR'S officers, agents and employees, will at all 7 times be acting and performing as an independent contractor, and shall act in an 8 independent capacity and not as an officer, agent, servant, employee, joint venturer, 9 partner or associate of the COUNTY. Furthermore, COUNTY shall have no right to 10 control or supervise or direct the manner or method by which CONTRACTOR shall 11 perform its work and function. However, COUNTY shall retain the right to administer 12 this Agreement so as to verify that CONTRACTOR is performing its obligations in 13 accordance with the terms and conditions thereof. CONTRACTOR and COUNTY shall 14 comply with all applicable provisions of law and the rules and regulations, if any, of 15 governmental authorities having jurisdiction over matters the subject thereof. 16 B. Because of its status as an independent contractor, CONTRACTOR shall 17 have absolutely no right to employment rights and benefits available to COUNTY 18 employees. CONTRACTOR shall be solely liable and responsible for providing to, or on 19 behalf of its employees all legally required employee benefits. In addition, 20 CONTRACTOR shall be solely responsible and save COUNTY harmless from all 21 matters relating to payment of CONTRACTOR'S employees, including compliance with 22 Social Security, withholding, and all other regulations governing such matters. It is 23 acknowledged that during the term of this Agreement CONTRACTOR may be providing 24 services to others unrelated to the COUNTY or to this Agreement. 25 XII. PARTIES BOUND BY AGREEMENT: 26 This Agreement shall be binding upon the COUNTY, the CONTRACTOR, and 27 their successors in interest, legal representatives, executors, administrators, and 28 assigns with respect to all covenants set forth herein. 10 I XIII. REQUIRED APPROVALS: 2 It is understood that the CONTRACTOR shall not assign, sublet, subcontract, or 3 transfer any of CONTRACTOR'S rights or obligations under this Agreement without the 4 prior express, written consent of the COUNTY. Such approval shall only be given by 5 the COUNTY Board of Supervisors. 6 XIV. COMPLIANCE WITH LAWS: 7 A. CONTRACTOR shall comply with all applicable federal, state, and local 8 laws, ordinances, regulations, and provisions of the Fresno County Charter in effect at 9 the time of CONTRACTOR'S performance of the professional services provided for 10 herein. 11 XV. GOVERNING LAW: 12 A. Any controversy or claim arising out of or relating to this Agreement which 13 cannot be amicably settled without court action shall be litigated either in a state court 14 for Fresno County, California, or in the U.S. District Court for the Eastern District of 15 California, located in Fresno County. 16 B. The rights and obligations of the parties and all interpretations and 17 performance of this Agreement shall be governed in all respects by the laws of the State 18 of California. 19 XVI. CHANGES OR AMENDMENTS: 20 Any changes to this Agreement requested either by the COUNTY or 21 CONTRACTOR may only be effected if mutually agreed upon in writing by duly 22 authorized representatives of the parties hereto. This Agreement shall not be modified 23 or amended, nor shall any rights of a party hereto waived, except by such in writing. 24 Any increase in the Total Fee, Basic Fee, or Extra Service limits set forth in Article V 25 must be authorized by formal Amendment of this Agreement. 26 XVII. CONTRACTOR'S LEGAL AUTHORITY: 27 Each individual executing this Agreement on behalf of CONTRACTOR hereby 28 covenants, warrants, and represents: (1) that he or she is duly authorized to execute and 11 1 deliver this Agreement on behalf of such corporation in accordance with a duly adopted 2 resolution of the corporation's board of directors and in accordance with such 3 corporation's articles of incorporation or charter and bylaws; (II) that this Agreement is 4 binding upon such corporation; and (III) that CONTRACTOR is a duly organized and 5 legally existing corporation in good standing in the State of California. 6 XVIII. HOLD HARMLESS: 7 CONTRACTOR shall hold harmless and indemnify COUNTY, its officers, agents, 8 and employees, against the payment of any and all costs and expenses (including 9 reasonable attorney fees and court costs), damages, claims, suits, losses, and liability 10 for bodily and personal injury to or death of any person or for loss of any property 11 resulting from or arising out of any negligent acts, errors or omissions or wrongful 12 misconduct of CONTRACTOR, its officers, agents, and employees, in performing or 13 failing to perform any work, services, or functions under this Agreement. 14 XIX. LIABILITY INSURANCE: 15 A. Prior to commencing the duties under this Agreement with the COUNTY, 16 the CONTRACTOR shall furnish the COUNTY, at no additional cost to the COUNTY, 17 certificates for the following insurance policies which shall be kept in force during the 18 term of the Agreement or until the Agreement is terminated or it expires, or such 19 additional time as may be expressly provided herein, with respect to one or more 20 specified insurance policies: 21 1. Commercial General Liability Insurance with limits of not less than 22 One Million Dollars ($1,000,000) per occurrence and an annual aggregate of Two 23 Million Dollars ($2,000,000). This policy shall be issued on a per occurrence basis. 24 County may require specific coverages including completed operations, products 25 liability, contractual liability, Explosion-Collapse-Underground, fire legal liability or any 26 other liability insurance deemed necessary because of the nature of this contract. 27 2. Comprehensive Automobile Liability Insurance with limits for bodily 28 injury of not less than Two Hundred Fifty Thousand Dollars ($250,000.00) per person, 12 1 Five Hundred Thousand Dollars ($500,000) per accident and for property damages of 2 not less than Fifty Thousand Dollars ($50,000.00), or such coverage with a combined 3 single limit of Five Hundred Thousand Dollars ($500,000.00). Coverage should include 4 owned and non-owned vehicles used in connection with this Agreement. 5 3. Professional Liability Insurance. If CONTRACTOR employs 6 licensed professional staff, (e.g., Ph.D., R.N., L.C.S.W., M.F.C.C.) in providing services, 7 Professional Liability Insurance with limited of not less than One Million Dollars 8 ($1,000,000.00) per occurrence, Three Million Dollars ($3,000,000.00) annual 9 aggregate. 10 4. Worker's Compensation insurance policy as may be required by the 11 California Labor Code. 12 B. CONTRACTOR shall obtain endorsements to the Commercial General 13 Liability insurance naming the County of Fresno, its officers, agents, and employees, 14 individually and collectively, as additional insured, but only insofar as the operations 15 under this Agreement are concerned. Such coverage for additional insured shall apply 16 as primary insurance and any other insurance, or self-insurance, maintained by the 17 COUNTY, its officers, agents and employees shall be excess only and not contributing 18 with insurance provided under the policies required to be provided by CONTRACTOR 19 as specified herein. This insurance shall not be cancelled or changed without a 20 minimum of thirty (30) days advance written notice given to COUNTY. 21 C. Within thirty (30) days from the date CONTRACTOR signs this 22 Agreement, CONTRACTOR shall provide certificates of insurance and endorsements 23 as stated above for all of the foregoing policies, as required herein, to the County of 24 Fresno, Department of Public Works and Planning — Resources Division, 2220 Tulare 25 Street, 6th Floor, Fresno, CA 93721, Attention: Disposal Sites, stating that such 26 insurance coverages have been obtained and are in full force; that the County of 27 Fresno, its officers, agents and employees will not be responsible for any premiums on 28 the policies; that such Commercial General Liability insurance name the County of 13 1 Fresno, its officers, agents and employees, individually and collectively, as additional 2 insured, but only insofar as the operations under this Agreement are concerned; that 3 such coverage for additional insured shall apply as primary insurance and any other 4 insurance, or self-insurance, maintained by the COUNTY, its officers, agents and 5 employees, shall be excess only and not contributing with insurance provided under the 6 policies required to be provided by CONTRACTOR as specified herein; and that this 7 insurance shall not be canceled or changed without a minimum of thirty (30) days 8 advance, written notice given to COUNTY. 9 D. All policies shall be issued by admitted insurers licensed to do business in 10 the State of California, and such insurance shall be purchased from companies 11 possessing a current A.M. Best, Inc. rating of A FSC VII or better. CONTRACTOR shall 12 give COUNTY at least thirty (30) days written advance notice of any expiration, 13 cancellation or reduction in the coverage of any of the aforesaid policies. 14 E. In the event CONTRACTOR fails to keep in effect at all times insurance 15 coverage as herein provided, the COUNTY may, in addition to other remedies it may 16 have, suspend or terminate this Agreement upon the occurrence of such event. 17 XX. TERM: 18 A. CONTRACTOR shall diligently proceed with the agreed scope of services 19 and shall provide such services in a timely manner. Failure of the CONTRACTOR to 20 provide such services, unless the delay is attributable to the COUNTY or State, is 21 sufficient cause to terminate this Agreement immediately, at the option of the COUNTY, 22 in accordance with Article XXI.B. 23 B. The term of this Agreement shall be for a period of three (3) years, 24 commencing on the Effective Date. This Agreement may be extended for a maximum of 25 two (2) additional consecutive twelve (12) month extension periods, upon written 26 approval of both parties no later than thirty (30) days prior to the first day of the next 27 twelve (12) month extension period. The Director of Public Works and Planning or his or 28 14 1 her designee is authorized to execute such written approval on behalf of COUNTY 2 based on CONTRACTOR'S satisfactory performance. 3 XXI. TERMINATION OF AGREEMENT: 4 A. This Agreement may be terminated without cause at any time by the 5 COUNTY upon thirty (30) calendar days written notice. If the COUNTY terminates this 6 Agreement, the CONTRACTOR shall be compensated for services satisfactorily 7 completed to the date of termination based upon the compensation rates and subject to 8 the maximum amounts payable agreed to in Article V, together with such additional 9 services satisfactorily performed after termination which are expressly authorized by the 10 COUNTY Representative to conclude the work performed to date of termination. 11 B. The COUNTY may immediately suspend or terminate this Agreement in 12 whole or in part, where in the determination of the COUNTY there is: 13 1. An illegal or improper use of funds; 14 2. A failure to comply with any term of this Agreement; 15 3. A substantially incorrect or incomplete report submitted to the 16 COUNTY; 17 4. Improperly performed service. 18 C. In no event shall any payment by the COUNTY constitute a waiver by the 19 COUNTY of any breach of this Agreement or any default which may then exist on the 20 part of the CONTRACTOR. nor shall such payment impair or prejudice any remedy 21 available to the COUNTY with respect to the breach or default. The COUNTY shall 22 have the right to demand of the CONTRACTOR the repayment to the COUNTY of any 23 funds disbursed to the CONTRACTOR under this Agreement, which, in the judgment of 24 the COUNTY and as determined in accordance with the procedures of Article Vill, 25 "Errors or Omissions Claims and Disputes", were not expended in accordance with the 26 terms of this Agreement. The CONTRACTOR shall promptly refund any such funds 27 upon demand. 28 15 1 D. The terms of this Agreement, and the services to be provided thereunder, 2 are contingent on the approval of funds by the appropriating government agency. 3 Should sufficient funds not be allocated, the services provided may be modified, or this 4 Agreement terminated at any time by giving the CONTRACTOR thirty (30) days 5 advance written notice. 6 XXII. DISCLOSURE OF SELF-DEALING TRANSACTIONS: 7 This provision is only applicable if the CONTRACTOR is operating as a corporation (a 8 for-profit or non-profit corporation) or if during the term of this Agreement, the 9 CONTRACTOR changes its status to operate as a corporation. Members of the 10 CONTRACTOR'S Board of Directors shall disclose any self-dealing transactions that 11 they are a party to while CONTRACTOR is providing goods or performing services 12 under this Agreement. A self-dealing transaction shall mean a transaction to which the 13 CONTRACTOR is a party and in which one or more of its directors has a material 14 financial interest. Members of the CONTRACTOR'S Board of Directors shall disclose 15 any self-dealing transactions that they are a party to by completing and signing a Self- 16 Dealing Transaction Disclosure Form (attached as Exhibit "B" and incorporated herein 17 by this reference); and submitting it to COUNTY prior to commencing with the self- 18 dealing transaction or immediately thereafter. 19 XXIII. ENTIRE AGREEMENT: 20 This Agreement constitutes the entire Agreement between the COUNTY and the 21 CONTRACTOR with respect to the subject matter hereof and supersedes all previous 22 negotiations, proposals, commitments, writings, advertisements, publications, and 23 understandings of any nature whatsoever unless expressly included in this Agreement. 24 XXIV. Dedicated Service—Your project manager will be Vanessa Sandoval. Ms. Sandoval has been County of Fresno Project Manager. She is responsible for initiating frequent communications and day-to-day activities including sample bottle orders, rush sample coordination, courier service, technical questions and invoicing. In the event she is unavailable, each project manager has a designated backup. 2. Sample Containers—The designated project manager will enter all pertinent information obtain from County of Fresno into LIMS (Laboratory Information Management System). The sample labels and chain of custody can be customized(project name, method, preservatives, etc.) according to specific project plans. Custody seals will be used to assure tampering of samples has not taken place before submission to the laboratory. BC Laboratories(BCL)will provide sample containers(including summa canisters and fitting/gauges), to include information on preservation and constituents that will be run from that container. Shipping material such as bottle sleeves, ice chests, chain of custody seals, DI water for field blanks and laboratory prepared travel blanks will be delivered a minimum of 48 hours prior to each sample event. BCL will provide preprinted chain of custody matching the sample container in order to aid the sample collection process. In addition, it will be the responsibility of the County of Fresno to package samples in provided ice chests,with supplied packaging and bottles at the proper temperature prior to transport to BCL. Once the samples are picked up by BCL courier and chain of custody signed,then it becomes BCL's responsibility. BCL is responsible for maintaining proper temperature during transport from sample site to laboratory. I Courier Service—Delivery of sampling supplies and sample pickups will be performed collectively by BCL's in-house couriers. Daily sample pickups will be arranged with County of Fresno personnel for timely courier pickup and return to laboratory. BCL will provide a cell phone numbers on which County of Fresno personnel can contact BCL couriers(or project manager)for rapid communication in the event of any changes that might occur during daily sampling event. 4. Electronic Deliverable Format—BCL will submit the laboratory analysis via electronic mail in an electronic data format(EDF)compatible with Geo Tracker system. 5. Holding Time-BCL assures County of Fresno that if holding times are missed BCL will pay for all reasonable costs associated with re-sampling and analyzing new samples on an expedited turnaround basis. This also applies to any breakage of the sample(s)during the transport from the sampling site to the laboratory. 6. Turnaround Time—An electronic analytical data will be forwarded via e-mail to County of Fresno within 10 calendar days of sample receipt. 7.
