HomeMy WebLinkAboutAgreement A-15-022-1 with Cultural Brokers Inc..pdf Agreement No. 15-022-1 1 AMENDMENT TO AGREEMENT 2 THIS AMENDMENT 1, hereinafter referred to as Amendment, is made and entered into 3 this 17th day of October , 2017, by and between the COUNTY OF 4 FRESNO, a Political Subdivision of the State of California, hereinafter referred to as 5 "COUNTY", and CULTURAL BROKERS,INC., a Private Non-Profit Organization, whose 6 address is 2115 Kern Street, Suite 330, Fresno, CA 93721, hereinafter referred to as 7 "CONTRACTOR". 8 WHEREAS, the parties entered into that certain Agreement, identified as COUNTY 9 Agreement No. A-15-022, effective January 6, 2015, hereinafter referred to as the "Agreement"; 10 and 11 WHEREAS, the COUNTY engaged the CONTRACTOR for the purpose of providing 12 family advocacy and liaison services in Fresno County for families referred to and involved with 13 the Department of Social Services' (DSS) Child Welfare System; and 14 WHEREAS, the parties desire to amend the Agreement regarding changes as stated below 15 and restate the Agreement in its entirety. 16 NOW, THEREFORE, in consideration of their mutual promises, covenants and conditions, 17 hereinafter set forth, the sufficiency of which is acknowledged, the parties agree as follows: 18 1. That the following text in the Agreement, Page One (1), beginning with Paragraph 19 One (1), Line Fourteen (14) with the word "1. SERVICES" and ending on Page Two (2), Line 20 Seven(7) with the word"Agreement."be deleted and the following inserted in its place: 21 44 1. SERVICES 22 A. CONTRACTOR shall be held responsible for all services as set forth in Revised 23 Exhibit A, Summary of Services, attached hereto and by this reference incorporated herein. 24 B. CONTRACTOR shall perform all services and fulfill all responsibilities as 25 identified in COUNTY's Request for Proposal (RFP) No. 952-5300 dated September 3, 2014 and 26 Addendum No. One (1) dated September 26, 2014, and CONTRACTOR's response to said RFP 27 dated October 6, 2014, all incorporated herein by reference and made part of this Agreement. In 28 the event of any inconsistency among these documents, the inconsistency shall be resolved by - I - COUNTY OF FRESNO Fresno,CA I giving precedence in the following order or priority: 1) to this Agreement, including all Exhibits 2 attached hereto, 2) the REP, 3) the response to the RFP. A copy of COUNTY's REP No. 952-5300 3 shall be retained and made available during the term of this Agreement by COUNTY's DSS 4 Contract Analyst." 5 2. That the following text in the Agreement, Page Two (2), beginning with Paragraph 6 Two (2), Line Eight (8) with the word "2. TERM" and ending on Page Two (2), Line Fourteen 7 (14)with the word"term."be deleted and the following inserted in its place: 8 "2. TERM 9 This Agreement shall become effective on the 1st day of January, 2015 and shall 10 terminate on the 31st day of December 2018. 11 This Agreement may be extended for one (1) additional twelve (12) month period 12 upon written approval of both parties no later than thirty(30) days prior to the first day of the next 13 twelve (12) month extension period. The Director of the DSS or her or her designee is authorized 14 to execute such written approval on behalf of COUNTY based on CONTRACTOR'S satisfactory 15 performance." 16 3. That the following text in the Agreement, Page Three (3), beginning with Paragraph 17 Four (4), Line Ten (10) with the word "4. COMPENSATION" and ending on Page Four (4), Line 18 Nine (9) with the word"days."be deleted and the following inserted in its place: 19 444. COMPENSATION 20 For actual services provided as identified in the terms and conditions of this 21 Agreement, including Revised Exhibit A, COUNTY agrees to pay CONTRACTOR and 22 CONTRACTOR agrees to receive compensation as identified in Revised Exhibit B, attached 23 hereto and by this reference incorporated herein. Mandated travel shall be reimbursed based on 24 actual expenditures and mileage reimbursement shall be at CONTRACTOR's adopted rate per 25 mile, not to exceed the IRS published rate. 26 In no event shall actual services performed under this Agreement by 27 CONTRACTOR be in excess of Two Hundred Thirty-Four Thousand Seven Hundred Thirty- 28 Three and No/100 Dollars ($234,733.00) for the period of January 1, 2015 through December 31, -2 - COUNTY OF FRESNO Fresno,CA 1 2015. For the period of January 1, 2016 through December 31, 2016, in no event shall 2 compensation for services performed under this Agreement be in excess of Two Hundred Thirty- 3 Four Thousand Seven Hundred Thirty-Three and No/100 Dollars ($234,733.00). For the period of 4 January 1, 2017 through December 31, 2017, in no event shall compensation for services 5 performed under this Agreement be in excess of Two Hundred Fifty-Four Thousand Seven 6 Hundred Thirty-Three and No/100 Dollars ($254,733.00). For the period of January 1, 2018 7 through December 31, 2018, in no event shall compensation for services performed under this 8 Agreement be in excess of Two Hundred Ninety-Four Thousand Seven Hundred Thirty-Three and 9 No/100 Dollars ($294,733.00). For the period of January 1, 2019 through December 31, 2019, in 10 no event shall compensation for services performed under this Agreement be in excess of Two 11 Hundred Ninety-Four Thousand Seven Hundred Thirty-Three and No/100 Dollars ($294,733.00). 12 The cumulative total of this Agreement shall not be in excess of One Million Three Hundred 13 Thirteen Thousand Six Hundred Sixty-Five and No/100 Dollars ($1,313,665.00). Payments by 14 COUNTY shall be in arrears, for services provided during the preceding month, within forty-five 15 (45) days after receipt, verification and approval of CONTRACTOR'S invoices by COUNTY. If 16 CONTRACTOR should fail to comply with any provision of the Agreement, COUNTY shall be 17 relieved of its obligation for further compensation. 18 It is understood that all expenses incidental to CONTRACTOR performance of services 19 under this Agreement shall be borne by CONTRACTOR. 20 Payments by COUNTY shall be in arrears, for services provided during the preceding 21 month, within forty-five (45) days after receipt, verification and approval of CONTRACTOR's 22 invoices by COUNTY's DSS. If CONTRACTOR should fail to comply with any provision of this 23 Agreement, COUNTY shall be relieved of its obligation for further compensation. All final claims 24 and/or any final budget modification requests shall be submitted by CONTRACTOR within sixty 25 (60) days following the final month of service for which payment is claimed. No action shall be 26 taken by COUNTY on claims submitted beyond the sixty (60) day closeout period. Any 27 compensation which is not expended by CONTRACTOR pursuant to the terms and conditions of 28 this Agreement shall automatically revert to COUNTY -3 - COUNTY OF FRESNO Fresno,CA I To the extent permitted by State and Federal rules and regulations, advanced payment of up 2 to twenty percent(20%) of the compensation under this Agreement may be requested of COUNTY 3 by CONTRACTOR. Advance payments shall be limited to implementation costs for new and/or 4 expanded services only. Approval of an advanced payment is at the sole discretion of COUNTY's 5 DSS Director of designee. If advanced payment occurs, the amount of the advanced payment shall 6 be deducted in equal installments from claims submitted for the final six (6) months of this 7 Agreement." 8 4. That all references in the Agreement to "Exhibit A" shall be changed to read "Revised 9 Exhibit A", which is attached hereto and incorporated herein by this reference. 10 5. That all references in the Agreement to "Exhibit B" shall be changed to read "Revised 11 Exhibit B", which is attached hereto and incorporated herein by this reference. 12 6. COUNTY and CONTRACTOR agree that this Amendment is sufficient to amend 13 Agreement No. A-15-022, and that upon execution of this Amendment, the original Agreement, 14 and this Amendment, shall together be considered the Agreement. 15 7. The Agreement, as hereby amended, is ratified and continued. All provisions, terms, 16 covenants, conditions and promises contained in the Agreement and not amended herein shall 17 remain in full force and effect. SERVICES: Parent Partner and Child Home Visitor Services ADDRESS: 2115 Kern Street, Suite 330, Fresno CA 93721 TELEPHONE: (559) 486-1477 EXECUTIVE DIRECTOR: Margaret Jackson, LCSW SUMMARY OF SERVICES: Services for the Parent Partner Program include the support, mentoring, and guidance to parents currently in the Child Welfare Services (CWS) system. The Parent Partners will also contribute to the education of Social Work staff through participation in other designated CWS activities. The Home Visitor is a former foster parent who will visit foster homes. The Home Visitor will assess the physical environment and the unique needs of the child(ren) ages 0-5 years with physical and developmental and/or emotional issues as well as supporting the family by linking them to community services. The Home Visitor will be an active participant of the CWS' interdisciplinary Child Focus Team (CFT), will receive assignments and direction primarily from CWS supervisory staff and will be co-located at the DSS. TARGET POPULATION: Parent Partners services will target Fresno County families whose children are at risk of being removed or have been removed from their home. The Home Visitor will work directly with new and existing Fresno County foster parents and relative care providers who care for children ages 0-5. Revised Exhibit A Page 2of4 CONTRACTOR SHALL BE RESPONSIBLE FOR THE FOLLOWING: A. Parent Partners 1. Manage, supervise, compensate based on Appendix I and support a staff of Parent Partners for participation in various DSS activities and direct support of parents currently involved in the CWS system. 2. Recruitment of new Parent Partners. 3. Assignment of Parent Partners to DSS referred activities within a timeframe determined by DSS. 4. Provide a minimum 42 hour paraprofessional pre-service core training specific to the role of Parent Partners which includes (All trainings shall be reviewed and approved by DSS): • The Fresno practice model and Safety Organized Practice. • Parent Partner support trainings that include Psycho-Educational Modules to address times when Parent Partners will see their own stories reflected in the Parents they are serving. • Ongoing training to Parent Partners. 5. Provide an orientation to new Parent Partners as required by DSS. 6. Maintain availability and support that includes evening and weekend phone support as needed. B. Home Visitor 1. Work closely with DSS for selection of all Home Visitors. 2. Supervise, compensate, and support one full-time Child Focus Team Home Visitor to provide information, support, and mentorship to Fresno County foster homes/relative placement homes. C. Hours of Service Services must be available between 8 - 5 pm, Monday - Friday. Activities may be in the evening. D. Comply with all additional program requirements included in RFP #952-5300. COUNTY SHALL BE RESPSONSIBLE FOR THE FOLLOWING: A. Parent Partners 1. Provision of referrals for new potential Parent Partners; 2. Modification of approved Parent Partner activities listed on Appendix 1. B. Home Visitor 1. Provision of an appropriate workspace for the Home Visitor while in DSS facilities; 2. Provision of all training required of the Home Visitor; 3. Primary oversight of assigned Home Visitor activities; 4. Provision of resources to discuss with and disseminate to foster parents; and 5. Designation of a contact person for Contractor to communicate with when necessary. DSS will meet with Contractor quarterly or as often as needed to work together to coordinate referrals and services. Revised Exhibit A Page 3 of 4 PERFORMANCE OUTCOMES: DSS will work collaboratively with Contractor to revise outcome indicators/measures as required by DSS. Contractor will track and report data associated with the following outcomes: 1. Increased likelihood of reunification. 2. Reduction in re-entry into foster care. 3. Improved care of children in out-of-home care.
