1 SECOND AMENDMENT TO AGREEMENT
7 This SECOND AMENDMENT 8}Agreement No. 13-676 ("Amendment 11") is made and entered into this
3 2Sth day ofSeptember, 2017, by and between the COUNTY of Fresno, o poNhC8| subdivision ofthe State of
4 California(hereinafter"C{}UNTY'). endGei| Enterprises, Inc., dba Valley Security&Alarm,whose address
5 is 1945 N. Helm Ave.. Suite 102. Fresno, California 93727 (hereinafter"CONTRACTOR").
8 VVITNESSETH:
7 WHEREAS, COUNTY and CONTRACTOR entered into Agreement No. 13-676, dated October 29,
8 2013("Agreement") pursuant towhich CONTRACTOR agreed to provide inspections and preventative
9 maintenance to intrusion o|arno SvatemoS ak various COUNTY facilities, as well as repairs, aySUanl
10 modifications, and additions to the intrusion alarm systems at COUNTY's request; and
11 WHEREAS, COUNTY AND CONTRACTOR entered into a First Amendment to Agreement on
12 Gap0ernber27. 2010 ("FirstAnnendnlonf')to provide for additional services and to increase the
13 compensation accordingly; and
14 VVHEREAG, COUNTY AND CONTRACTOR now desire t0 further amend the Agreement to
15 accommodate an even higher volume of needed services and to further increase the total compensation
16 accordingly.
17 NOW,THEREFORE, for good and valuable consideration, the receipt and adequacy of which is hereby
18 acknowledged, COUNTY AND CONTRACTOR agree to further amend the Agreement as follows:
19 The portion Of Section O. COMPENSATION Of the Agreement, beginning On page 4. line 20 with the
20 word "|n" and ending on page 5. line 11 with the word "CONTRACTOR," as arO8Dd8d' is hereby deleted
21 in its entirety and replaced with the following:
22 "|n no event shall expenditures for specified inspection and nnaiDt8D8no8 services for years one, two
23 and three under this Agreement be in excess of$10,224 per year. Additionally, expenditures for
24 additional services for the initial three (3)year term of this Agreement shall not exceed a total of$90,000.
25 Beginning with the potential fourth year of this Agreement, CONTRACTOR may
26 increase 8DnV@l inspection and maintenance fees upon thirty (30) days' advance VV[itt8O notice to
27 COUNTY, provided that C[}A/l-R/\CTOF} shall not increase such fees more than once in any oD8-
28 year period, and provided further that each increase will not exceed the previous fees by three

1 percent (3%) per year. In no event shall expenditures for specified inspection and maintenance
2 services for years four and five combined be in excess of$21,378. Amounts for additional services
3 for potential years four and five combined shall not exceed a total of$327,000.
4 The maximum expenditure under this Agreement for the potential five (5) year
5 term shall be $469,050. It is understood that all expenses incidental to CONTRACTOR'S
6 performance of services under this Agreement shall be borne by CONTRACTOR."
7 COUNTY and CONTRACTOR agree that this Second Amendment is sufficient
8 to amend the Agreement and that upon execution of this Second Amendment, the original
9 Agreement, First Amendment, and this Second Amendment shall together constitute the full
10 Agreement.
11 The Agreement, as hereby amended, is ratified and continued. All provisions,
12 terms, covenants, conditions and promises contained in the Agreement and not amended herein
13 shall remain in full force and effect.
