HomeMy WebLinkAboutAgreement A-16-410 with Proteus Inc.pdf Agreement No. 16-410 1 AGREEMENT 2 This Agreement is made and entered into this 21 st day of June 2016,by and 3 between the COUNTY OF FRESNO, a Political Subdivision of the State of California, hereinafter 4 referred to as "COUNTY", and PROTEUS INC. a Private Non-Profit Organization whose address is 5 1830 North Dinuba Blvd., Visalia, CA 93291, hereinafter referred to as "CONTRACTOR". 6 WITNESSETH: V WHEREAS,pursuant to the California Work Opportunity and Responsibility to Kids Act 8 Division 9, Part 3, Chapter 2, Section 11320 et seq., COUNTY is mandated to deliver a time-limited 9 structural sequence of employment related activities and supportive services that are designed to 10 maximize unsubsidized employment opportunities to able-boded, non-exempt CalWORKS public 11 assistance applicants and recipients; and 12 WHEREAS, COUNTY's Department of Social Services, hereinafter referred to as DSS, has 13 developed and submitted to the State of California a Ca1WORKs COUNTY Plan meeting the 14 requirements of the Ca1WORKs Act to deliver employment and training services to public assistance 15 recipients; and 16 WHEREAS, COUNTY is authorized to enter into an Agreements with CONTRACTOR for 17 such services pursuant to Ca1WORKs and the rules and regulations of the California Department of 18 Social Services 19 NOW, THEREFORE, in consideration of their mutual covenants and conditions, the 20 parties hereto agree as follows: 21 1. SERVICES 22 A. CONTRACTOR shall perform all services set forth in Exhibit A, Summary of 23 Services, attached hereto and by this reference incorporated herein. 24 B. CONTRACTOR shall also perform all services and fulfill all responsibilities as 25 specified in COUNTY's Request for Proposal (RFP)No. 952-5444 dated February 24, 2016, 26 Addendum No. One (1) dated February 26, 2016 , Two (2)to COUNTY's RFP dated March 10, 27 2016, hereinafter referred to as Revised RFP, and CONTRACTOR's response to said Revised RFP 28 dated April 4, 2016; all incorporated herein by reference and made part of this Agreement. In the event 1 — COUNTY OF FRESNO Fresno,CA 1 of any inconsistency among these documents, the discrepancy shall be resolved by giving precedence 2 in the following order of priority: (1)to this Agreement, including all exhibits; (2)to the County's 3 Revised RFP; (3) CONTRACTOR's response to said Revised RFP dated April 4, 2016. A copy of 4 COUNTY's Revised RFP and CONTRACTOR's response thereto shall be retained and made 5 available during the term of this Agreement by COUNTY's DSS Administration. 6 C. Additionally CONTRACTOR shall provide all services in accordance with the 7 State of California's Social Services Manual of Policies and Procedures, Eligibility and Assistance 8 Standards sections 42-716, 42-717, and 42-718. 9 2. TERM 10 The term of this Agreement shall be for a period of three (3) years, commending on the 11 1"day of July 2016, through and including the 301h day of June 2019. This agreement may be 12 extended for two (2) additional consecutive twelve (12) month periods upon the approval of both 13 parties no later than thirty(30) days prior to the first day of the next twelve month extension period. 14 The Director of the Department of Social Services or designee is authorized to execute such written 15 approval on behalf of COUNTY based on CONTRACTOR's satisfactory performance. 16 3. TERMINATION 17 A. Non-Allocation of Funds - The terms of this Agreement, and the services to be 18 provided thereunder, are contingent on the approval of funds by the appropriating government agency. 19 Should sufficient funds not be allocated, the services provided may be modified, or this Agreement 20 terminated at any time by giving CONTRACTOR thirty(30) days advance written notice. 21 B. Breach of Contract - COUNTY may immediately suspend or terminate this 22 Agreement in whole or in part, where in the determination of COUNTY there is: 23 1) An illegal or improper use of funds; 24 2) A failure to comply with any term of this Agreement; 25 3) A substantially incorrect or incomplete report submitted to COUNTY; 26 4) Improperly performed service. 27 In no event shall any payment by COUNTY constitute a waiver by COUNTY of 28 any breach of this Agreement or any default which may then exist on the part of CONTRACTOR. — 2 — COUNTY OF FRESNO Fresno,CA 1 Neither shall such payment impair or prejudice any remedy available to COUNTY with respect to the 2 breach or default. COUNTY shall have the right to demand of CONTRACTOR the repayment to 3 COUNTY of any funds disbursed to CONTRACTOR under this Agreement, which in the judgment of 4 COUNTY were not expended in accordance with the terms of this Agreement. CONTRACTOR shall 5 promptly refund any such funds upon demand or, at COUNTY's option, such repayment shall be 6 deducted from future payments owing to CONTRACTOR under this Agreement. 7 C. Without Cause -Under circumstances other than those set forth above, this 8 Agreement may be terminated by CONTRACTOR or COUNTY or COUNTY's DSS Director, or 9 designee, upon the giving of thirty(30) days advance written notice of an intention to terminate the 10 Agreement. 11 4. COMPENSATION 12 For actual services provided as identified in the terms and conditions of this Agreement, 13 COUNTY agrees to pay CONTRACTOR and CONTRACTOR agrees to receive compensation in 14 accordance with Exhibit B, Budget, attached here to and by this reference incorporated herein. 15 Mandated travel shall be reimbursed based on actual expenditures and mileage reimbursement shall be 16 at CONTRACTOR's adopted rate per mile, not to exceed the IRS published rate. CONTRACTOR 17 agrees to limit administrative cost to a maximum of 15% of the total program budget and to limit 18 employee benefits to a maximum of 20% of total salaries for those employees working under this 19 Agreement during the term of this Agreement. Payment shall be made upon certification or other 20 proof satisfactory to COUNTY's DSS that services have actually been performed by CONTRACTOR 21 as specified in this Agreement. 22 For each twelve (12) month period of this Agreement, in no event shall services 23 performed under this Agreement be in excess of One Million One Hundred Twenty Five Thousand 24 Seven Hundred Fifty Four and No/100 Dollars ($1,125,754.00). The cumulative total of this 25 Agreement shall not be in excess of Five Million Six Hundred Twenty Eight Thousand Seven 26 Hundred Seventy and No/100 Dollars ($5,628,770.00). It is understood that all expenses incidental to 27 CONTRACTOR's performance of services under this Agreement shall be borne by CONTRACTOR. 28 Except as provided below regarding State payment delays,payments by — 3 — COUNTY OF FRESNO Fresno,CA 1 COUNTY shall be in arrears, for services provided during the preceding month, within forty-five (45) 2 days after receipt, verification and approval of CONTRACTOR's invoices by COUNTY's DSS. If 3 CONTRACTOR should fail to comply with any provision of this Agreement, COUNTY shall be 4 relieved of its obligation for further compensation. All final claims shall be submitted by 5 CONTRACTOR within sixty(60) days following the final month of service for which payment is 6 claimed. No action shall be taken by COUNTY on claims submitted beyond the sixty(60) day 7 closeout period. Any compensation which is not expended by CONTRACTOR pursuant to the terms 8 and conditions of this Agreement shall automatically revert to COUNTY. 9 The services provided by CONTRACTOR under this Agreement are funded in whole or 10 in part by the State of California. In the event that funding for these services is delayed by the State 11 Controller, COUNTY may defer payment to CONTRACTOR. The amount of the deferred payment 12 shall not exceed the amount of funding delayed by the State Controller to COUNTY. The period of 13 time of the deferral by COUNTY shall not exceed the period of time of the State Controller's delay of 14 payment to COUNTY plus forty-five (45) days. 15 5. INVOICING 16 CONTRACTOR shall invoice COUNTY in arrears by the tenth(I01h) of each month for 17 actual expenses incurred and services rendered in the previous month to: 18 DSSInvoices(cco.fresno.ca.us. A Monthly Activity Report shall accompany the invoice, reflecting 19 services supported by the invoiced expenditures and be in a form and in such detail as acceptable to 20 COUNTY's DSS. Supporting documentation shall include but is not limited to receipts, invoices 21 received and documented administrative/overhead costs. No reimbursement for services shall be 22 made until invoices, reports and outcomes are received, reviewed and approved by COUNTY's DSS. 23 At the discretion of COUNTY's DSS Director or designee, if an invoice is incorrect or is 24 otherwise not in proper form or substance, COUNTY's DSS Director or designee shall have the right 25 to withhold payment as to only that portion of the invoice that is incorrect or improper after five (5) 26 days prior notice to CONTRACTOR. CONTRACTOR agrees to continue to provide services for a 27 period of ninety(90) days after notification of an incorrect or improper invoice. If after the ninety(90) 28 day period, the invoice(s) is still not corrected to COUNTY's DSS satisfaction, COUNTY's DSS — 4 — COUNTY OF FRESNO Fresno,CA 1 Director or designee may elect to terminate this Agreement, pursuant to the termination provisions 2 stated in Paragraph Three (3) of this Agreement. In addition, for invoices received ninety(90) days 3 after the expiration of each term of this Agreement or termination of this Agreement, at the discretion 4 of COUNTY's DSS Director or designee, COUNTY's DSS shall have the right to deny payment of 5 any additional invoices received. 6 6. INDEPENDENT CONTRACTOR 7 In performance of the work, duties, and obligations assumed by CONTRACTOR under 8 this Agreement, it is mutually understood and agreed that CONTRACTOR, including any and all of 9 CONTRACTOR's officers, agents, and employees will at all times be acting and performing as an 10 independent contractor, and shall act in an independent capacity and not as an officer, agent, servant, 11 employee,joint venturer, partner, or associate of COUNTY. Furthermore, COUNTY shall have no 12 right to control or supervise or direct the manner or method by which CONTRACTOR shall perform 13 its work and function. However, COUNTY shall retain the right to administer this Agreement so as to 14 verify that CONTRACTOR is performing its obligations in accordance with the terms and conditions 15 thereof. CONTRACTOR and COUNTY shall comply with all applicable provisions of law and the 16 rules and regulations, if any, of governmental authorities having jurisdiction over matters which are 17 directly or indirectly the subject of this Agreement. 18 Because of its status as an independent contractor, CONTRACTOR shall have 19 absolutely no right to employment rights and benefits available to COUNTY employees. 20 CONTRACTOR shall be solely liable and responsible for providing to, or on behalf of, its employees 21 all legally-required employee benefits. In addition, CONTRACTOR shall be solely responsible and 22 save COUNTY harmless from all matters relating to payment of CONTRACTOR's employees, 23 including compliance with Social Security, withholding, and all other regulations governing such 24 matters. It is acknowledged that during the term of this Agreement, CONTRACTOR may be 25 providing services to others unrelated to COUNTY or to this Agreement. 26 7. MODIFICATION 27 A. Any matters of this Agreement may be modified from time to time by the written 28 consent of all the parties without, in any way, affecting the remainder. — 5 — COUNTY OF FRESNO Fresno,CA 1 B. Notwithstanding the above, changes to line items in the budget, attached hereto 2 as Exhibit B, in an amount not to exceed 10% of the total maximum compensation as identified in 3 Section Four(4) of this Agreement, may be made with the written approval of COUNTY's DSS 4 Director or designee and CONTRACTOR. Budget line item changes shall not result in any change to 5 the maximum compensation amount payable to CONTRACTOR, as stated herein. 6 C. CONTRACTOR hereby agrees that changes to the compensation under this 7 Agreement may be necessitated by a reduction in funding from State and/or Federal sources. 8 COUNTY's DSS Director or designee may modify the maximum compensation depending on State 9 and Federal funding availability, as stated in Section Four(4) in this Agreement. CONTRACTOR 10 further understands that this Agreement is subject to any restrictions, limitations or enactments of all 11 legislative bodies which affect the provisions, term or funding of this Agreement in any manner. 12 g, NON-ASSIGNMENT 13 Neither party shall assign, transfer or subcontract this Agreement nor their rights or 14 duties under this Agreement without the prior written consent of the other party. 15 9. HOLD-HARMLESS 16 CONTRACTOR agrees to indemnify, save, hold harmless, and at COUNTY's request, 17 defend COUNTY, its officers, agents and employees from any and all costs and expenses, including 18 attorney fees and court costs, damages, liabilities, claims and losses occurring or resulting to 19 COUNTY in connection with the performance, or failure to perform,by CONTRACTOR, its officers, 20 agents or employees under this Agreement, and from any and all costs and expenses, including 21 attorney fees and court costs, damages, liabilities, claims and losses occurring or resulting to any 22 person, firm or corporation who may be injured or damaged by the performance, or failure to perform, 23 of CONTRACTOR, its officers, agents or employees under this Agreement. In addition, 24 CONTRACTOR agrees to indemnify COUNTY for Federal, State of California and/or local audit 25 exceptions resulting from noncompliance herein on the part of the CONTRACTOR. 26 10. INSURANCE 27 Without limiting COUNTY's right to obtain indemnification from CONTRACTOR or 28 any third parties, CONTRACTOR, at its sole expense, shall maintain in full force and effect the — 6 — COUNTY OF FRESNO Fresno,CA 1 following insurance policies throughout the term of this Agreement: 2 A. Commercial General Liability 3 Commercial General Liability Insurance with limits of not less than One Million 4 Dollars ($1,000,000)per occurrence and an annual aggregate of Two Million Dollars ($2,000,000). This policy shall be issued on a per occurrence basis. 5 COUNTY may require specific coverage including completed operations, 6 product liability, contractual liability, Explosion, Collapse, and Underground (XCU), fire legal liability or any other liability insurance deemed necessary 7 because of the nature of the Agreement. 8 B. Automobile Liability 9 Comprehensive Automobile Liability Insurance with limits for bodily injury of not less than Two Hundred Fifty Thousand Dollars ($250,000)per person, Five 10 Hundred Thousand Dollars ($500,000)per accident and for property damages of 11 not less than Fifty Thousand Dollars ($50,000), or such coverage with a combined single limit of Five Hundred Thousand Dollars ($500,000). Coverage 12 should include owned and non-owned vehicles used in connection with this 13 Agreement. 14 C. Professional Liability 15 If CONTRACTOR employs licensed professional staff(e.g. Ph.D., R.N., L.C.S.W., M.F.C.T.) in providing services, Professional Liability Insurance with 16 limits of not less than One Million Dollars ($1,000,000)per occurrence, Three 17 Million Dollars ($3,000,000) annual aggregate. 18 D. Worker's Compensation 19 A policy of Worker's Compensation Insurance as may be required by the California Labor Code. 20 21 E. Equipment Insurance 22 A policy or policies with minimum coverage(s) of Five Thousand Dollars ($5,000) to replace any equipment provided by the COUNTY to 23 CONTRACTOR, or purchased by CONTRACTOR with funds provided through this Agreement. Said policy of policies shall provide coverage(s) against loss of 24 any such equipment resulting from casualty such as fire, theft or any other 25 disappearance, and damage that renders such equipment inoperable and regardless of cause. The policy of policies shall be endorsed naming County of 26 Fresno as loss payee. 27 CONTRACTOR shall obtain endorsements to the Commercial General Liability 28 insurance naming the C of Fresno, its officers, agents, and employees, individually and collectively, as — 7 — COUNTY OF FRESNO Fresno,CA 1 additional insured, but only insofar as the operations under this Agreement are concerned. Such 2 coverage for additional insured shall apply as primary insurance and any other insurance, or self- 3 insurance, maintained by COUNTY, its officers, agents and employees shall be excess only and not 4 contributing with insurance provided under CONTRACTOR's policies herein. This insurance shall 5 not be cancelled or changed without a minimum of thirty(30) days advance written notice given to 6 COUNTY. 7 Within thirty(30) days from the date CONTRACTOR signs this Agreement, 8 CONTRACTOR shall provide certificates of insurance and endorsements as stated above for all of 9 the foregoing policies, as required herein, to the County of Fresno, DSS, PO BOX 1912, Fresno, 10 California, 93718-1912, Attention: Contracts, stating that such insurance coverages have been 11 obtained and are in full force; that the County of Fresno, its officers, agents and employees will not be 12 responsible for any premiums on the policies; that such Commercial General Liability insurance 13 names the County of Fresno, its officers, agents and employees, individually and collectively, as 14 additional insured, but only insofar as the operations under this Agreement are concerned; that such 15 coverage for additional insured shall apply as primary insurance and any other insurance, or self- 16 insurance, maintained by COUNTY, its officers, agents and employees, shall be excess only and not 17 contributing with insurance provided under CONTRACTOR's policies herein; and that this insurance 18 shall not be cancelled or changed without a minimum of thirty(30) days advance, written notice given 19 to COUNTY. 20 In the event CONTRACTOR fails to keep in effect at all times insurance coverage as 21 herein provided, COUNTY may, in addition to other remedies it may have, suspend or terminate this 22 Agreement upon the occurrence of such event. 23 All policies shall be with admitted insurers licensed to do business in the State of 24 California. Insurance purchased shall be from companies possessing a current A.M. Best, Inc. rating 2 5 of A FSC VII or better. 26 11. CONFIDENTIALITY 27 All services performed by CONTRACTOR under this Agreement shall be in strict 28 conformance with all applicable Federal, State of California and/or local laws and regulations relating — 8 — COUNTY OF FRESNO Fresno,CA 1 to confidentiality including,but not limited to California Welfare and Institutions Code section 10850 2 and the California Department of Social Services (CDSS)Manual of Policies and Procedures, 3 Division 19-000 to assure that all applications and records concerning program recipients shall be kept 4 confidential and shall not be opened to examination, publicized, disclosed, or used for any purpose not 5 directly connected with administration of the program. CONTRACTOR shall inform all of its 6 employees, agents, officers, subcontractors, Board of Directors members, or partners of this provision 7 and that any person knowingly and intentionally violating this provision is guilty of a misdemeanor. 8 12. NON-DISCRIMINATION 9 A. Eli ig'bility for Services 10 CONTRACTOR shall prepare and make available to COUNTY and to the public 11 all eligibility requirements to participate in the program plan set forth in Exhibit B. No person shall, 12 because of ethnic group identification, age, sex, color, disability, medical condition, national origin, 13 race, ancestry, marital status, religion, religious creed, political belief or sexual preference be excluded 14 from participation, be denied benefits of, or be subject to discrimination under any program or activity 15 receiving Federal or State of California assistance. 16 B. Employment OpportunitX 17 CONTRACTOR shall comply with COUNTY policy, and the Equal 18 Employment Opportunity Commission guidelines, which forbids discrimination against any person on 19 the grounds of race, color, national origin, sex, religion, age, disability status, or sexual preference in 20 employment practices. Such practices include retirement, recruitment advertising, hiring, layoff, 21 termination, upgrading, demotion, transfer, rates of pay or other forms of compensation, use of 22 facilities, and other terms and conditions of employment. 23 C. Suspension of Compensation 24 If an allegation of discrimination occurs, COUNTY may withhold all further 25 funds,until CONTRACTOR can show clear and convincing evidence to the satisfaction of COUNTY 26 that funds provided under this Agreement were not used in connection with the alleged discrimination. 27 D. Nepotism 28 Except by consent of COUNTY's Department of Social Services Director, or — 9 — COUNTY OF FRESNO Fresno,CA 1 designee, no person shall be employed by CONTRACTOR who is related by blood or marriage to, or 2 who is a member of the Board of Directors or an officer of CONTRACTOR. 3 13. SUBCONTRACTS 4 CONTRACTOR shall obtain written approval from COUNTY's Department of Social 5 Services Director, or designee before subcontracting any of the services delivered under this 6 Agreement. Any transferee, assignee or subcontractor will be subject to all applicable provision of this 7 Agreement, and all applicable State and Federal regulations. Contractor shall be held primarily 8 responsible by COUNTY for the performance of any transferee, assignee or subcontractor unless 9 otherwise expressly agreed to in writing by COUNTY. The use of subcontractors by 10 COUNTRACTOR shall not entitle CONTRACTOR to any additional compensation than is provided 11 under this Agreement. 12 14. CONFLICT OF INTEREST 13 No officer, agent, or employee of COUNTY who exercises any function or 14 responsibility for planning and carrying out the services provided under this Agreement shall have any 15 direct or indirect personal financial interest in this Agreement. In addition, no employee of COUNTY 16 shall be employed by CONTRACTOR to fulfill any contractual obligations with COUNTY. 17 CONTRACTOR shall also comply with all Federal, State of California, and local conflict of interest 18 laws, statutes, and regulations, which shall be applicable to all parties and beneficiaries under this 19 Agreement and any officer, agent, or employee of COUNTY. 20 15. DISCLOSURE OF SELF-DEALING TRANSACTIONS 21 This provision is only applicable if CONTRACTOR is operating as a corporation (a for- 2 2 profit or non-profit corporation) or if during the term of this Agreement, CONTRACTOR changes its 23 status to operate as a corporation. 24 Members of CONTRACTOR's Board of Directors shall disclose any self-dealing 25 transactions that they are a party to while CONTRACTOR is providing goods or performing services 26 under this Agreement. A self-dealing transaction shall mean a transaction to which CONTRACTOR 27 is a party and in which one or more of its directors has a material financial interest. Members of the 28 Board of Directors shall disclose any self-dealing transactions that they are a party to by completing — 10 — COUNTY OF FRESNO Fresno,CA 1 and signing a Self-Dealing Transaction Disclosure Form, attached hereto as Exhibit C and by this 2 reference incorporated herein, and submitting it to COUNTY prior to commencing with the self- 3 dealing transaction or immediately thereafter. 4 16. LIMITED ENGLISH PROFICIENCY 5 CONTRACTOR shall provide interpreting and translation services to persons 6 participating in CONTRACTOR's services who have limited or no English language proficiency, 7 including services to persons who are deaf or blind. Interpreter and translation services shall be 8 provided as necessary to allow such participants meaningful access to the programs, services and 9 benefits provided by CONTRACTOR. Interpreter and translation services, including translation of 10 CONTRACTOR's "vital documents" (those documents that contain information that is critical for 11 accessing CONTRACTOR's services or are required by law) shall be provided to participants at no 12 cost to the participant. CONTRACTOR shall ensure that any employees, agents, subcontractors, or 13 partners who interpret or translate for a program participant, or who directly communicate with a 14 program participant in a language other than English, demonstrate proficiency in the participant's 15 language and can effectively communicate any specialized terms and concepts peculiar to 16 CONTRACTOR's services. 17 17. DATA SECURITY 18 For the purpose of preventing the potential loss, misappropriation or inadvertent 19 disclosure of COUNTY data including sensitive or personal client information; abuse of COUNTY 20 resources; and/or disruption to COUNTY operations, individuals and/or agencies that enter into a 21 contractual relationship with COUNTY for the purpose of providing services under this Agreement 22 must employ adequate data security measures to protect the confidential information provided to 23 CONTRACTOR by COUNTY, including but not limited to the following: 24 A. Contractor-Owned Mobile/Wireless/Handheld Devices may not be connected to 25 COUNTY networks via personally owned mobile, wireless or handheld devices, except when 26 authorized by COUNTY for telecommuting and then only if virus protection software currency 27 agreements are in place, and if a secure connection is used. 28 B. Contractor-Owned Computers or Computer Peripherals may not brought into 11 — COUNTY OF FRESNO Fresno,CA 1 COUNTY for use, including and not limited to mobile storage devices, without prior authorization 2 from COUNTY's Chief Information Officer or her designee. Data must be stored on a secure server 3 approved by COUNTY and transferred by means of a VPN (Virtual Private Network) connection, or 4 another type of secure connection of this type if any data is approved to be transferred. 5 C. COUNTY-Owned Computer Equipment—CONTRACTOR or anyone having an 6 employment relationship with COUNTY may not use COUNTY computers or computer peripherals 7 on non-COUNTY premises without prior authorization from COUNTY's Chief Information Officer or 8 her designee. 9 D. CONTRACTOR may not store COUNTY's private, confidential or sensitive 10 data on any hard-disk drive. 11 E. CONTRACTOR is responsible to employ strict controls to insure the integrity 12 and security of COUNTY's confidential information and to prevent unauthorized access to data 13 maintained in computer files, program documentation, data processing systems, data files and data 14 processing equipment which stores or processes COUNTY data internally and externally. 15 F. Confidential client information transmitted to one party by the other by means of 16 electronic transmissions must be encrypted according to Advanced Encryption Standards (AES) of 17 128 BIT or higher. Additionally, a password or pass phrase must be utilized. 18 G. CONTRACTOR is responsible to immediately notify COUNTY of any breaches 19 or potential breaches of security related to COUNTY's confidential information, data maintained in 20 computer files,program documentation, data processing systems, data files and data processing 21 equipment which stores or processes COUNTY data internally or externally. 22 H. In the event of a breach of security related to COUNTY's confidential client 23 information provided to CONTRACTOR, COUNTY will manage the response to the incident, 24 however, CONTRACTOR will be responsible to issue any notification to affected individuals as 25 required by law or as deemed necessary by COUNTY in its sole discretion. CONTRACTOR will be 26 responsible for all costs incurred as a result of providing the required notification. 27 28 12 — COUNTY OF FRESNO Fresno,CA 1 18. CLEAN AIR AND WATER 2 In the event the funding under this Agreement exceeds One Hundred Thousand and 3 No/100 Dollars ($100,000.00), CONTRACTOR shall comply with all applicable standards, orders, or 4 requirements issued under the Clean Air Act contained in 42 U.S. Code 7601 et seq.; the Clean Water 5 Act contained in 33 U.S. Code 1368 et seq.; and any standards, laws, and regulations promulgated 6 thereunder. Under these laws and regulations, CONTRACTOR shall assure: 7 A. No facility shall be utilized in the performance of the Agreement that has been 8 listed on the Environmental Protection Agency(EPA) list of Violating Facilities; 9 B. COUNTY shall be notified prior to execution of this Agreement of the receipt of 10 any communication from the Director, Office of Federal Activities, U.S. EPA indicating that a facility 11 to be utilized in the performance of this Agreement is under consideration to be listed on the EPA list 12 of Violating Facilities; 13 C. COUNTY and U.S. EPA shall be notified about any known violation of the 14 above laws and regulations; and 15 D. This assurance shall be included in every nonexempt subgrant, contract, or 16 subcontract. 17 19. DEBARMENT-CERTIFICATION REGARDING DEBARMENT, SUSPENSION, 18 INELIGIBILITY AND VOLUNTARY EXCLUSION-LOWER TIER COVERED 19 TRANSACTIONS 20 A. COUNTY and CONTRACTOR recognize that Federal assistance funds will be 21 used under the terms of this Agreement. For purposes of this paragraph, CONTRACTOR will be 22 referred to as the"prospective recipient". 23 B. This certification is required by the regulation implementing Executive Order 24 12549, Debarment and Suspension, 29 CFR Part 98, section 98.510, Participant's responsibilities. 25 1) The prospective recipient of Federal assistance funds certified by entering 26 into this Agreement, that neither it nor its principals are presently debarred, suspended, proposed for 27 debarment, declared ineligible, or voluntarily excluded from participation in this transaction by any 28 Federal department or agency. — 13 — COUNTY OF FRESNO Fresno,CA 1 2) The prospective recipient of funds agrees by entering into this Agreement, 2 that it shall not knowingly enter into any lower tier covered transaction with a person who is debarred, 3 suspended, declared ineligible, or voluntarily excluded from participation in this covered transaction, 4 unless authorized by the Federal department or agency with which this transaction originated. 5 3) Where the prospective recipient of Federal assistance funds is unable to 6 certify to any of the statements in this certification, such prospective participant shall attach an 7 explanation to this Agreement. 8 4) The prospective recipient shall provide immediate written notice to 9 COUNTY if at any time prospective recipient learns that its certification in Paragraph Nineteen (19) of 10 this Agreement was erroneous when submitted or has become erroneous by reason of changed 11 circumstances. The prospective recipient further agrees that by entering into this Agreement, it will 12 include a clause identical to Paragraph Nineteen(19) of this Agreement and titled"Certification 13 Regarding Debarment, Suspension, Ineligibility and Voluntary Exclusion-Lower Tier Covered 14 Transactions", in all lower tier covered transactions and in all solicitations for lower tier covered 15 transaction. 16 5) The certification in Paragraph Nineteen(19) of this Agreement is a material 17 representation of fact upon which COUNTY relied in entering into this Agreement 18 20. CHARITABLE CHOICE 19 CONTRACTOR may not discriminate in its program delivery against a client or 20 potential client on the basis of religion or religious belief, a refusal to hold a religious belief, or a 21 refusal to actively participate in a religious practice. Any specifically religious activity or service made 22 available to individuals by CONTRACTOR must be voluntary as well as separate in time and location 23 from COUNTY funded activities and services. CONTRACTOR shall inform COUNTY as to whether 24 it is faith-based. If CONTRACTOR identifies as faith-based it must submit to DSS a copy of its 25 policy on referring individuals to an alternate treatment provider, and include a copy of this policy in 26 its client admission forms. The policy must inform individuals that they may be referred to an 27 alternative provider if they object to the religious nature of the program, and include a notice to DSS. 28 Adherence to this policy will be monitored during annual site reviews, and a review of client files. If — 14 — COUNTY OF FRESNO Fresno,CA 1 CONTRACTOR identifies as faith-based,by July 1 of each year CONTRACTOR will be required to 2 report to DSS the number of individuals who requested referrals to alternate providers based on 3 religious objection. 4 21. LOBBYING ACTIVITY 5 None of the funds provided under this Agreement shall be used for publicity, lobbying 6 or propaganda purposes designed to support or defeat legislation pending in the Congress of the 7 United States of America or the Legislature of the State of California. 8 22. STATE ENERGY CONSERVATION 9 CONTRACTOR shall recognize the mandatory standard and policies relating to energy 10 efficiency in the State Energy Conservation Plan as required by the United States Energy Policy and 11 Conservation Act (42 U.S.C. section 6201, et seq). 12 23. GRIEVANCES 13 CONTRACTOR shall establish procedures for handling client complaints and/or 14 grievances. Such procedures will include provisions for informing clients of their rights to a State 15 Hearing to resolve such issues. 16 24. FRATERNIZATION 17 CONTRACTOR shall establish procedures addressing fraternization between 18 CONTRACTOR staff and clients. Such procedures will include provisions for informing 19 CONTRACTOR staff and clients regarding fraternization guidelines. 20 25. INTERPRETATION OF LAWS AND REGULATIONS 21 COUNTY reserves the right to make final interpretations or clarifications on issues 22 relating to Federal and State laws and regulations, to ensure compliance. 23 26. SINGLE AUDIT CLAUSE 24 As a subrecipient of Federal financial assistance, CONTRACTOR agrees to provide a 25 copy of its audit report, performed in accordance with the requirements of the Single Audit Act of 26 1984 (31 USC section 7502) and subject to the terms of Office of Management and Budget (OMB) 27 Circulars (A-110, A-122 and A-133), to the County of Fresno. Such audit shall be delivered to the 28 COUNTY Department of Social Services, Department of Employment and Temporary Assistance, for — 15 — COUNTY OF FRESNO Fresno,CA 1 review not later than nine (9) months after the close of the subrecipient's fiscal year in which the funds 2 supplied through this Agreement are expended and/or received for this program. The audit must 3 include a statement of findings or a statement that there were no findings. If there were negative 4 findings, CONTRACTOR must include a corrective action plan signed by an authorized individual. 5 Failure to comply with this Act may result in the COUNTY performing the necessary audit tasks, or, 6 at the COUNTY's option, contracting with a qualified accountant to perform this audit. All audit 7 costs related to this Agreement are the sole responsibility of the CONTRACTOR who agrees to take 8 corrective action to eliminate any material noncompliance or weakness found as a result of such audit. 9 Audit work performed by the COUNTY under this paragraph shall be billed at COUNTY cost as 10 determined by the COUNTY's Auditor-Controller/Treasurer-Tax Collector. 11 27. TAX EQUITY AND FISCAL RESPONSIBILITY ACT 12 To the extent necessary to prevent disallowance of reimbursement under section 1861(v) 13 (1) (I) of the Social Security Act, (42 U.S.C. § 1395x, subd. (v)(1)[I]), until the expiration of four (4) 14 years after the furnishing of services under this Agreement, CONTRACTOR shall make available, 15 upon written request to the Secretary of the United States Department of Health and Human Services, 16 or upon request to the Comptroller General of the United States General Accounting Office, or any of 17 their duly authorized representatives, a copy of this Agreement and such books, documents, and 18 records as are necessary to certify the nature and extent of the costs of these services provided by 19 CONTRACTOR under this Agreement. CONTRACTOR further agrees that in the event 20 CONTRACTOR carries out any of its duties under this Agreement through a subcontract, with a value 21 or cost of Ten Thousand and No/100 Dollars ($10,000.00) or more over a twelve (12) month period, 22 with a related organization, such Agreement shall contain a clause to the effect that until the expiration 23 of four (4) years after the furnishing of such services pursuant to such subcontract, the related 24 organizations shall make available, upon written request to the Secretary of the United States 25 Department of Health and Human Services, or upon request to the Comptroller General of the United 26 States General Accounting Office, or any of their duly authorized representatives, a copy of such 27 subcontract and such books, documents, and records of such organization as are necessary to verify 28 the nature and extent of such costs. — 16 — COUNTY OF FRESNO Fresno,CA 1 28. AUDITS AND INSPECTIONS 2 CONTRACTOR shall at any time during business hours, and as often as COUNTY may 3 deem necessary, make available to COUNTY for examination all of its records and data with respect 4 to the matters covered by this Agreement. CONTRACTOR shall, upon request by COUNTY,permit 5 COUNTY to audit and inspect all such records and data necessary to ensure CONTRACTOR's 6 compliance with the terms of this Agreement. 7 If this Agreement exceeds Ten Thousand and No/100 Dollars ($10,000.00), 8 CONTRACTOR shall be subject to the examination and audit of the State of California Auditor 9 General for a period of three (3) years after final payment under contract(California Government 10 Code section 8546.7). 11 In addition, CONTRACTOR shall cooperate and participate with COUNTY's fiscal 12 review process and comply with all final determinations rendered by the COUNTY's fiscal review 13 process. If COUNTY reaches an adverse decision regarding CONTRACTOR's services to 14 consumers, it may result in the disallowance of payment for services rendered; or in additional 15 controls to the delivery of services, or in the termination of this Agreement, at the discretion of 16 COUNTY's DSS Director or designee. If as a result of COUNTY's fiscal review process a 17 disallowance is discovered due to CONTRACTOR's deficiency, CONTRACTOR shall be financially 18 liable for the amount previously paid by COUNTY to CONTRACTOR and this disallowance will be 19 adjusted from CONTRACTOR's future payments, at the discretion of COUNTY's DSS Director or 20 designee. In addition, COUNTY shall have the sole discretion in the determination of fiscal review 21 outcomes, decisions and actions. 22 29. CHANGE OF LEADERSHIP/MANAGEMENT 11 Any and all notices between COUNTY and CONTRACTOR provided for or permitted 12 under this Agreement or by law, shall be in writing and shall be deemed duly served when personally 13 delivered to one of the parties, or in lieu of such personal service, when deposited in the United States 14 Mail, postage prepaid, addressed to such party. 15 In the event of any change in the status of CONTRACTOR'S leadership or 16 management, CONTRACTOR shall provide written notice to COUNTY within thirty(30) days from 17 the date of change. Such notification shall include any new leader or manager's name, address and 18 qualifications. "Leadership or management" shall include any employee, member, or owner of 19 CONTRACTOR who either a) directs individuals providing services pursuant to this Agreement,b) 20 exercises control over the manner in which services are provided, or c) has authority over 21 CONTRACTOR's finances. 22 32. The primary objective is to assist families with transitioning to self-sufficiency through unsubsidized employment by identifying and addressing the participant's barriers. Additional services include anger management, nutrition education, and parenting classes. As part of the job readiness workshop, participants will undergo a criminal and legal background check, driving record check, substance abuse screening, the ROPES course (a teambuilding exercise), and small group interaction. The criminal and legal background check and the driving record check will be completed by representatives from the District Attorney and Public Defender's office. A Substance Abuse Specialist from the Department of Behavioral Health will provide the substance abuse screening for the four week workshop. A Social Worker will also be available to address mental health concerns and domestic violence issues. SCHEDULE AND LOCATION OF SERVICES: Component activities shall be provided daily, except Holidays which are observed by the COUNTY. Facilities must be open from 8:00 A.M. to 5:00 P.M., Monday through Friday. The COUNTY may approve other holidays if appropriate. Workshop activities will be from 8:30 a.m. — 4:30 p.m. There shall be a minimum of Thirty (30) workshops conducted in Fresno County. These workshops will be conducted at Proteus' Fresno Location, West Fresno Regional Office, Selma, Reedley, and Coalinga as mutually agreed upon by CONTRACTOR and DSS. Exhibit A Page 2 of 6 TARGET POPULATION Services will be restricted to all post-assessed CalWORKs recipients who do not have active felonies and/or no-bail misdemeanor warrants. Services are provided to English and Spanish- speaking recipients. 1. CONTRACTOR's RESPONSIBILITIES CONTRACTOR shall provide comprehensive Jobs 2000 Job Readiness Workshops for referred CalWORKs recipients residing in Fresno County. The CalWORKs recipients to be referred will be identified and referred to CONTRACTOR by DSS. Prior to each workshop start date, CONTRACTOR will call participant 3-5 days before the start of the workshop to remind them of the workshop date/time/location and answer any questions. CONTRACTOR shall provide enough support staff to complement the Workshop facilitators. The Anger Management and Parenting Education course work must be provided by a certified facilitator/instructor. Transportation for group activities is required as well as occasional transportation assistance for recipients in the rural area on a case by case basis. A. MONTHLY REPORTS AND OUTCOMES Monthly program activity reports will include but are not limited to the following information: A. Number of clients referred/enrolled B. Number of clients currently in the workshop C. Number of clients attending the first day D. Number of clients who completed the program, dropped out, or exited the program E. Number of clients contacted within 45 days of obtaining employment F. Number of clients contacted 6-12 months of obtaining employment G. Number of resumes completed H. Number of clients who gained employment I. Wage and wage increase of clients who gained employment J. Number of barriers resolved B. CASE MANAGEMENT Participants will receive case management services, which shall include but is not limited to the following: A. Confirmation/verification of participant eligibility to services B. Tracking of all referrals made to assist client in removing barriers such as substance abuse, mental health etc. C. Monitoring of attendance and progress D. Ongoing coordination with DSS (timely compliance resolution, exchange of participant information, program changes). E. Maintenance of individual participant service records/case files. Exhibit A Page 3 of 6 F. Follow up with participants regarding employment 45 days/6 months/12 months post workshop completion. Case Management will include communication with the CalWORKs Case Managing Job Specialist (CMJS) and the Jobs 2000 Job Specialist liaison to ensure that participants receive necessary supportive services, including referrals for substance abuse, domestic abuse, and mental health services. Participant case files will include chronological records of interviews, counseling sessions, relevant information, documentation, and correspondence relating to the services provided. Additionally, case files will be maintained in a secure location with access limited to appropriate staff to ensure that confidentiality is maintained. Files must be kept for a period of three years from the last date payment is made for contracted services. C. JOB SEARCH During the fifth week of the workshop, all participants will conduct a five day job search with the CONTRACTOR. Participants that fail to complete the fifth week will not be able to attend court. Participants deemed not yet job ready will be referred back to CMJS. Prior to the fourth week, participants shall have completed the following: A. Development of a resume and cover letter B. Master application C. Mock interviewing D. Review appropriate dress attire for job search. E. Completed shopping field trip to purchase interview clothing. F. Registration into the Ready2Hire website. CONTRACTOR shall meet with participants daily during the job search activity to verify that the participant is completing the job search as required per COUNTY regulations. The job search forms will be included in the exit packet from Jobs 2000. Collaboration between the CONTRACTOR, the Jobs 2000 liaison, and the DSS Case Manager will ensure that the participant receives the necessary supportive services to conduct the job search. Additionally, CONTRACTOR shall keep verification records for all time spent on job search related activities. JOBS 2000 PROGRAM CURRICULUM Curriculum: Jobs 2000 will consist of a four-week job readiness workshop followed by a one week job search. A team of two Workshop Facilitators will conduct the workshops. The Workshop Facilitators will monitor the job search daily during the fifth week. DSS reserves the right to continuously monitor CONTRACTOR's facilitators to ensure quality service to the participants. Should a conflict arise with a facilitator, DSS reserves the right to request that the facilitator in question be removed from Jobs 2000. As part of the collaboration with other County Departments, staff from the District Attorney office, Public Defender office, Department of Child Support Services, and Department of Behavioral Health will be presenting information Exhibit A Page 4 of 6 during the first two weeks of the workshop. Clients wishing to obtain assistance with legal issues must attend the presentation by the legal team and complete all five weeks of the program. Exceptions can be made but will be reviewed on a case by case basis. The following elements are required at each service site unless otherwise noted: • CONTRACTOR must keep facilities open from 8:00 A.M. through 5:00 P.M. to allow partners to hold appointments outside class instruction hours • A large conference room must be made available to partners and clients at all times. • On the last day of the 5th week a graduation ceremony for participants and immediate family will be held. The graduation ceremony is to include refreshments. • CONTRACTOR will provide assistance with supportive services such as transportation, childcare, and employment barriers. • CONTRACTOR will provide referrals for mental health, domestic abuse, and substance abuse services as necessary. • All services provided during the program will be considered Job Readiness activities. These activities will only count towards meeting core hours during the first four weeks. COUNTY RESPONSIBILITIES The DSS CalWORKs Case Managers shall be responsible for referring appropriate participants to CONTRACTOR for Jobs 2000. It is anticipated that approximately 1,200 participants will be referred for Jobs 2000 services during the 12-month contract period. It is expected that approximately 50% of the participants referred will attend the workshop. Participants will be screened and enrolled during a face-to-face interview with a CMJS to determine their level of motivation and willingness necessary to make the commitment to the program. Exhibit A Page 6 of 6 • Jobs 2000 participants will be referred after a screening appointment has been made with their CMJS and a detailed explanation of Jobs 2000 activities has been presented. DSS staff will send an appointment letter to the participant and CONTRACTOR will call the participant prior to commencement of the workshop. • The Jobs 2000 liaison will discuss the exit plan with the Case Manager for metro Fresno participants. For metro Fresno, the Jobs 2000 liaison will be the point of contact for CONTRACTOR staff. For rural clients, the CMJS will be the point of contact for CONTRACTOR staff. • The CMJSs shall ensure that all referred participants have been assessed and have a current Welfare to Work plan on file. • The CMJSs shall ensure that CONTRACTOR is provided with all relevant information on each referred participant within the boundaries of confidentiality restrictions. • COORDINATION AND ASSISTANCE: DSS staff shall meet with CONTRACTOR's staff as often as needed to exchange pertinent information, resolve problems, and work together to effectively coordinate services. III. FEDERAL WORK PARTICIPATION RATE In response to the Federal Temporary Assistance to Needy Families (TANF) Program reauthorization, the County of Fresno Department of Social Services (DSS) is committed to implementing activities and practices that support to achieve TANF program goals and meet the Ca1WORK's Welfare To Work (WTW) Federal Work Participation Rates (WPR). WPR requires at least 50% work participation among all CalWORKs families and 90% for two parent families. Effective October 1, 2006, the State and counties are subject to Federal penalties on an annual basis if these rates are not met. As a result, DSS requires CONTRACTOR's assistance in engaging WTW participants in activities that will increase the County's WPR and assist recipients to become self-sufficient. Our primary objective is job placement and retention, work experience, and/or training activities that meet the WPR requirements. Counseling and supportive services in conjunction with job placement will assist our recipients in obtaining financial self- sufficiency.
