HomeMy WebLinkAboutAgreement A-16-069 with Children Families Commission of Fresno.pdf Agreement No. 16-069 County of Fresno Department of Public Health (Community Health & Maternal, Child and Adolescent Health) Department of Behavioral Health Contract#101516-1372 Community Learning Center Partnership COMMUNITY LEARNING CENTER (CLC) PARTNERSHIP AGREEMENT THIS COMMUNITY LEARNING CENTER PARTNERSHIP AGREEMENT (this "Agreement") is made and entered into this February 9"', 2016 (the "Effective Date"), by and between the CHILDREN & FAMILIES COMMISSION OF FRESNO COUNTY, a California public entity established in accordance with the California Children and Families Act of 1998 (the "Commission"), and the County of Fresno, a Political Subdivision of the State of California ("County"). The Commission and County are collectively referred to herein as the "Parties" or singularly by their individual names or as a "Party." RECITALS: A. The Commission is an independent governmental agency formed pursuant to California Health & Safety Code section 130100 et seq. B. The Commission is working with Lighthouse For Children, Me., a California public benefit corporation, to operate a building located in the northwest corner of Tulare and "O" streets in Downtown Fresno (the "Facility"). The Facility houses, among other things, a Community Learning Center (the "CLC") that will feature various public entities and community benefit organizations providing services to children aged 0-5 and their families. The Commission is the master tenant of the Facility. C. County provides services as collaborative partner Agencies to families with children ages 0-5 aligned with the Commission's focus areas known as the "Continuum of Care" and supports the lead agency partner to serve as a demonstration site for professional learning exchange on best practices of integrated care and desires to provide the services at the CLC as described in Exhibit "A," attached hereto and incorporated herein by this reference (the "Services"). D. The Parties desire to enter into this Agreement, whereby the Commission will allocate a certain amount of space (the "CLC Space") for County to use nonexclusively to provide the Services on those days and times specified in the Exhibit "A." As part of the Agreement, County agrees to abide by all the requirements in the CLC Partnership Guide which is incorporated herein by this reference, and which will be provided to County separately. In consideration for County providing the Services, the Commission shall not charge County for the use of the CLC Space. The Parties agree that, as a result of the partnership described herein, the total value of the leveraged resources from this Agreement is incorporated into Exhibit "A." NOW, THEREFORE, in consideration of the recitals set forth above, which are hereby incorporated by this reference, and the mutual promises contained herein, the receipt and adequacy of which is hereby acknowledged, the Parties agree as follows: ARTICLE I THE CLC SPACE 1.1 Use of the Facility. The Commission authorizes County the nonexclusive right to use that portion of the CLC Space specified in Exhibit "A." County's use of the Space shall be nonexclusive and other Commission partners may use the CLC Space on alternative days or hours and may share a portion of the CLC Space. The Commission makes no representation as to the availability of the specific CLC Space and may occasionally require, at its own election, to have County use difference space within the CLC. 1.2 Use of the Common Areas. County shall have the non-exclusive right (unless otherwise provided herein) in common with the Commission, building tenants, subtenants and invitees, to use the Facility 17172420 1164 53.0001 1 County of Fresno Department of Public Health (Community Health & Maternal, Child and Adolescent Health) Department of Behavioral Health Contract #101516-1372 Community Learning Center Partnership lobbies, common corridors and hallways, restrooms, and parking areas, stairways, elevators and other generally understood public or common areas (the "Common Areas") so long as such use is consistent with Commission direction and/or policy. 1.3 Utilities; Maintenance. As part of its obligation to allow County to use the CLC Space, the Commission shall provide all electricity, light, heat, air conditioning, power, water, fire sprinkler, sewer, garbage and or other services used, rendered or supplied in connection with the CLC Space. The Commission shall maintain the Common Areas of the Facility, including the roof, parking lot and exterior landscaping, in reasonably good order and condition. Notwithstanding the foregoing, County shall remain solely responsible for any damage caused to these portions of the Facility, including the CLC Space, by County or County's invitees excluding criminal or illegal activity. If County fails to make any repairs to the CLC Space, the Commission may make the repairs, and County shall reimburse the Commission for the costs incurred by the Commission. 1.4 Compliance with Law. County shall not do or suffer to be done on or about the Facility, anything that would or does violate or conflict (in any material respect) with any law, ordinance, rule or regulation now in force or effect, or that may hereinafter be enacted, promulgated, or adopted by any Federal, State or local authority. 1.5 Right of Entry. Commission shall always have the right and the ability, at all reasonable times, to enter the CLC Space for the purposes of inspection, confirmation of compliance with the terms of this Agreement, exercise of all rights under this Agreement, and all other lawful purposes. 1.6 CLC Space Requirements. County shall follow all applicable Commission policies regarding the CLC and the CLC Space located on Commission's website, http://www.first5fresno.orq/a bout- us/funding/contracting-policies/ or within the CLC Partnership Guide. Additionally, County recognizes that other individuals may have access to such property. Commission shall have no liability whatsoever for County's personal property located within the Facility, the CLC, or the CLC Space. ARTICLE II TERM AND TERMINATION 2.1. Term. The term of this Agreement shall commence on the Effective Date (as defined above) and, unless sooner terminated as provided by this Agreement, and shall be reviewed and renewed annually as agreed upon by both the Commission and the Community Learning Center Collaborative Partnership composed of members from the partner agencies. (the "Term"). 2.2 Early Termination. Either Party may terminate this Agreement without cause at any time upon not less than thirty (30) days advance written notice to the other Party Either Party may terminate this Agreement immediately for a material breach of the terms of this Agreement. In the event that County commits an act of default, as described in Section 2.3 below, Commission may terminate this Agreement with seventy- two (72) hours advance written notice. 2.3 Default. The occurrence of any and all of the following actions shall constitute a default under this Agreement by County'. (a) The failure of County to materially provide the Services in Commission's sole reasonable determination. (b) The failure by County to observe or perform any other material covenant, 17172420 116453.0001 2 County of Fresno Department of Public Health (Community Health & Maternal, Child and Adolescent Health) Department of Behavioral Health Contract#101516-1372 Community Learning Center Partnership condition, or provision of this Agreement to be observed or performed by County, where such failure continues for a period of two (2) calendar days after written notice from the Commission to County. 2.4 Default Remedies. If a default occurs, the Commission shall have the right to terminate County's nonexclusive right to the CLC Space, ARTICLE III MISCELLANEOUS 3.1 Independent Contractor. County is an independent contractor. All persons hired to provide the Services in this Agreement are employees or independent contractors of the County and not of the Commission. (a) In performance of the work, duties and obligations assumed by County under this Agreement, the Parties mutually understand and agree that County, including any and all of County's owners, officers, agents, employees, and independent contractors, will at all times be acting and performing as an independent contractor, and shall act in its independent capacity and not as an officer, agent, servant, employee, joint venturer, partner, or associate of the Commission. Furthermore, the Commission shall have no right to control, supervise, or direct the manner or method by which County shall perform its obligations under this Agreement. However, the Commission shall retain the right to administer this Agreement so as to verify that County is performing the Services and its obligations in accordance with the terms and conditions of this Agreement. (b) County shall have the sole obligation to provide its employees with all legally required notices and postings, as well as all employee wages and benefits, and will withhold therefrom all Social Security and other withholdings required by applicable Federal or state laws and regulations. 3.2 County Mutual Indemnification, Commission agrees to indemnify, save, hold harmless, and at County's request, defend the County, its officers, agents, and employees from any and all costs and expenses, including attorney fees and court costs, damages, liabilities, claims, and losses occurring or resulting to County in connection with third party claims made against County related to the performance, or failure to perform, by Commission, its officers, agents, or employees under this Agreement, and from any and all costs and expenses, including attorney fees and court costs, damages, liabilities, claims, and losses occurring or resulting to any person, firm, or corporation who may be injured or damaged by the performance, or failure to perform, of Commission, its officers, agents, or employees under this Agreement. County agrees to indemnify, save, hold harmless, and at Commission's request, defend the Commission, its officers, agents, and employees from any and all costs and expenses, including attorney fees and court costs, damages, liabilities, claims, and losses occurring or resulting to Commission in connection with third party claims made against Commission related to the performance, or failure to perform, by County, its officers, agents, or employees under this Agreement, and from any and all costs and expenses, including attorney fees and court costs, damages, liabilities, claims, and losses occurring or resulting to any person, firm, or corporation who may be injured or damaged by the performance, or failure to perform, of County, its officers, agents, or employees under this Agreement. 3.3 Insurance. On or before the Effective Date, each Party shall furnish to the other Party satisfactory proof of the required insurance (Certificates of Insurance), which shall include a commitment by the Party's insurers that they will mail notice of any cancellation or reduction of coverage below the amounts herein required, at least thirty (30) days prior to the effective date of such cancellation or change. Such required insurance shall include: (a) General Liability. Both Parties shall obtain comprehensive general liability 17172420 116453 0001 3 County of Fresno Department of Public Health (Community Health & Maternal, Child and Adolescent Health) Department of Behavioral Health Contract#101516-1372 Community Learning Center Partnership coverage of at least one million dollars ($1,000,000) per occurrence for bodily injury, personal injury and property damage. If commercial general liability insurance or other form with a general aggregate limit is used, either the general aggregate limit shall apply separately or the general aggregate limit shall be twice the required occurrence limit (i.e., $2,000,000). Each Party shall list the other Party, and the Other Party's directors, officers, employees, independent contractors, authorized volunteers and consultants as additional insureds. (b) Professional Liability (Errors and Omissions). If either the Commission or County employs or contracts with licensed professional staff to operate the Program or facility, Party shall obtain professional liability insurance with limits of not less than One Million Dollars ($1,000,000.00) per occurrence, Three Million Dollars ($3,000,000.00) annual aggregate. (c) Worker's Compensation. Each Party shall obtain workers' compensation insurance in accordance with the California Labor Code. (d) Child Abuse/Molestation and Social Services Liability. Both Parties shall obtain Sexual Abuse / Molestation Liability Insurance (including but not limited to corporal punishment liability, sexual abuse and molestation liability, and child abduction liability) with limits of not less than One Million Dollars ($1,000,000.00) per occurrence, Two Million Dollars ($2,000,000.00) annual aggregate. This policy shall be issued on a per occurrence basis. 3.4 Commission Representatives. The Executive Director of the Commission and his or her duly appointed representative(s) shall administer this Agreement, and shall have authority to act on behalf of the Commission. 3.5 Entire A reement. This Agreement, together with all exhibits attached hereto, constitutes the entire agreement between the Parties relating to the Facility, including the CLC Space and the Services, and supersedes all prior and contemporaneous agreements, representations, and understandings of the Parties with regard thereto. 3.6 Modification. No waiver, alteration, modification, or termination of this Agreement shall be valid unless made in writing. 3.7 Notices. All notices required or permitted by this Agreement or applicable law shall be in writing and may be delivered in person (by hand or by courser) or may be sent by regular, certified or registered mail or U.S. Postal Service Express Mail, with postage prepaid, by facsimile transmission, or by electronic transmission (email) and shall be deemed sufficiently given if served in a manner specified in this Subparagraph (e), The addresses and addressees noted below shall be that Party's designated address and addressee for delivery or mailing of notices. Any Party may by written notice to the other specify a different address for notice. Any notice sent by registered or certified mail, return receipt requested, shall be deemed given on the date of delivery shown on the receipt card, or if no delivery date is shown, three (3) days after the postmark thereon. If sent by regular mail the notice shall be deemed given forty-eight (48) hours after the same is addressed as required herein and mailed with postage prepaid. Notices delivered by United States Express Mail or overnight courier that guarantee next day delivery shall be deemed given twenty-four (24) hours after delivery of the same to the Postal Service or courier. Notices transmitted by facsimile transmission or similar means (including email) shall be deemed delivered upon telephone or similar confirmation of delivery (confirmation report from fax machine is sufficient), provided a copy is also delivered via personal delivery or mail. These non-discrimination and equal opportunity requirements shall apply, without limitation, to retirement, recruitment advertising, hiring, layoff, termination, upgrading, demotion, transfer, rates of pay or other forms of compensation, use of facilities, and other terms and conditions of employment. 3.9 Assignment and Binding Effect, County shall not assign all or any part of this Agreement, or any obligation or interest hereof, without the prior written consent of the Commission, which consent may be withheld in the Commission's sole discretion. Subject to the provisions of the preceding sentence, this Agreement shall be binding upon, and inure to the benefit of, the respective heirs, executors, administrators, successors and assigns of the Parties. 3.10 Headings. The subject headings of the sections and paragraphs of this Agreement are included for purposes of convenience only and shall not affect the construction or Interpretation of any of its provisions. 3.11 Construction. All words used in this Agreement shall be construed to include the plural as well as the singular number, and vice versa; words used in this Agreement in the present tense shall include the future as well as the present; and words used in this Agreement in the masculine gender shall include the feminine and neuter genders, whenever the context so requires. 3.12 Costs and Expenses. Each Party shall pay a[I costs and expenses incurred, or to be incurred, by it in negotiating and preparing this Agreement and all exhibits to this Agreement, and in closing and carrying out the transactions contemplated by this Agreement, including, without limitation, its attorneys', paralegals', and other professionals' fees and costs. 3.13 Attorneys' Fees. If an action at law or in equity is necessary to enforce or interpret the terms of this Agreement, the prevailing Party shall be entitled to reasonable attorneys', paralegals' and other professionals' fees and costs in addition to any other reasonable relief to which it may be entitled. 17172420/16453.0001 5 County of Fresno Department of Public Health (Community Health & Maternal, Child and Adolescent Health) Department of Behavioral Health Contract#101516-1372 Community Learning Center Partnership 3.14 Governing Law and Venue. This Agreement shall be governed by and construed in accordance with the laws of the State of California, The Parties agree that venue for any dispute or litigation arising under this Agreement shall be in the County of Fresno, State of California, if instituted in the State courts, or the Eastern District of California (Fresno), if instituted in the Federal courts, 3.15 Waiver. A waiver of any breach of this Agreement by the Parties to this Agreement shall not constitute a continuing waiver, or a waiver of any subsequent breach of the same, or any breach of another provision of this Agreement. 3.16 Partial Invalidity. If any provision of this Agreement, or any portion thereof, is held by a court of competent jurisdiction to be invalid, void or unenforceable, the remaining provisions of this Agreement, including, without limitation, the portions thereof not held to be invalid, void or unenforceable, shall nevertheless continue to be in full force and effect without being impaired or invalidated in any way. 3.17 Time. Time is of the essence of this Agreement and all of its provisions. 3.18 Counterparts. This Agreement may be executed in any number of counterparts and each such counterpart shall be deemed to be an original instrument, all of which together shall constitute one and the same instrument. 3.19 Dispute Resolution. If a dispute arises during the Term, then within three (3) business days after a written request by either Party, the Commission's representative and County's representative, or a person designated by either such representative, shall confer to resolve the issue. If the Parties' representatives or the designated person, as the case may be, cannot resolve the dispute or either Party determines they are not making progress toward resolution of the issue within twenty (20) business days after their initial conference, then the Parties reserve the right to resolve such dispute in any manner provided by law. 3.20 Faith-based Funding Policy. County shall comply with Commission's Faith-based Funding policy, whereby County, among other things, acknowledges the right of individuals to participate in programs without coercion or unsolicited exposure to faith. Therefore, the Commission will not fund/support religious activities and/or activities that appear to promote a particular religious belief over others by way of its funding practices. The Faith-based Funding policy is contained in the Commission's Service Provider Manual. 3.21 Tobacco Policy, County shall comply with Commission's Tobacco policy, whereby County, among other things, acknowledges the importance of protecting the health and safety of children, families, employees, visitors and others, and has adopted a Tobacco Policy requiring a tobacco-free provision be present in any agreement between the Commission and CLC Partners. The Tobacco policy is contained in the Manual. 3.22. Materials Identification and Ownership. County will acknowledge and give proper credit to the Commission in all publications that are used by County to provide the Services ("Information Materials"). These Information Materials inciude, but are not limited to, posters, press releases, brochures, and other publicity or public relations materials. To appropriately credit Commission, County must comply with the "Proper Crediting Policy" in the CLC Partnership Guide, as amended, 3.23 Confidentiality (a) County acknowledges that during the Term it might have access to Confidential Information (as defined below) required for effective coordination and delivery of services to children 17172420 /16453.0001 6 County of Fresno Department of Public Health (Community Health & Maternal, Child and Adolescent Health) Department of Behavioral Health Contract#101516-1372 Community Learning Center Partnership and their families. County will ensure that all of its employees, agents, contractors, and representatives will comply with the terms and conditions of this Agreement and all applicable laws regarding the access, use, and dissemination of Confidential Information. All confidential discussions, deliberations, and Confidential Information generated, submitted, or maintained in connection with this Agreement must be disclosed only to persons who have a specific and bona fide "need to know" and authority to access Confidential Information, Furthermore, County must not disclose to third parties (i) any Confidential Information without the express written consent of the Commission, and (ii) any individually identifiable Confidential information related to a child without the additional written authorization from the child's parent or legally authorized representative. (b) For purposes of this Agreement and to the extent permitted by law, "Confidential Information" includes, but is not limited to, any data, ideas, know-how, materials, products, formulas, processes, technology, computer programs, specifications, drawings, diagrams, manuals, plans, policies, software, financial information, personnel information, client information, any information entered into or contained in the Commission's Persimmony database (or other data management program used by the Commission), and other information disclosed or submitted, orally, in writing, or by any other media; provided, however, that Confidential Information shall not include information that (i) is or becomes generally available to or known by the public other than as a result of a disclosure made by the Parties; (ii) is disclosed by County because such information was compelled by court order; or (iii) was available to County on a non-confidential basis prior to disclosure by the Commission or an affiliate of the Commission and prior to the Effective Date. Slsta'Talk Is a program sponsored by Public Health Nursing Division's Black Infant Health program. Sista'Talk groups are geared towards pregnant and/or parenting African American women who are 18 years of age and older. The program provides weekly getups that address the health and social conditions that are relevant,oullurally affirming and empowering to women. Activities are designed to connect women to their Afrocentdc roots so that our young women develop a positive self-identity.
