1 AMENDMENT IV TO AGREEMENT WITH INTEGRATED VOTING SOLUTIONS, INC.
2 THIS AMENDMENT IV TO AGREEMENT (hereinafter "Amendment IV") is made and
entered into this 17th day of November, 2015, by and between COUNTY OF FRESNO, a
4 Political Subdivision of the State of California, Fresno, California (hereinafter "COUNTY"), and
5 Integrated Voting Solutions, Inc., a Corporation, whose address is 1931 G Street, Fresno, CA
6 93706 (hereinafter"CONTRACTOR").
7 WITNESSETH:
8 WHEREAS, COUNTY and CONTRACTOR entered into Agreement No. 10-143, dated
9 the 23rd of March, 2010 (hereinafter "Agreement"), pursuant to which CONTRACTOR agreed
10 to provide ballot printing, vote by mail processing and vote by mail envelopes to COUNTY;
11 and
12 WHEREAS, COUNTY and CONTRACTOR entered into Amendment No. 1, dated the
13 15 th of March, 2011 in order to increase the maximum compensation of the Agreement; and
14 WHEREAS, COUNTY and CONTRACTOR entered into Amendment No. 11, dated the
15 23d of April, 2013 in order to extend the term and increase the maximum compensation of the
16 Agreement; and
17 WHEREAS, COUNTY and CONTRACTOR entered into Amendment No. III, dated the
18 16 th of June, 2015 in order to extend the term and increase the maximum compensation of the
19 Agreement; and
20 WHEREAS, the parties now desire to amend the Agreement, as amended, in order to
21 terminate the Agreement effective November 17, 2015; and
22 WHEREAS, all references hereafter to the Agreement, as amended, shall refer to the
23 Agreement, as amended by Amendment 1, Amendment 11, Amendment III, and Amendment
24 IV; and
I NOW, THEREFORE, for good and valuable consideration, the receipt and adequacy of
2 which is hereby acknowledged, COUNTY and CONTRACTOR agree as follows:
3 1 That the following text in the Agreement, Page Two (2), beginning with
4 Paragraph Four (4), Line Eleven (11) with the word "TERM", and ending on
5 Page Two (2), Line Sixteen (16) with the word "Agreement" be deleted and the
6 following inserted in its place:
7 ((4. TERM
8 This Agreement shall become effective upon execution and shall terminate on
9 the 17 th day of November, 2015."
10 2. COUNTY and CONTRACTOR agree that this Amendment IV is sufficient to
11 amend the Agreement and, that upon execution of this Amendment IV, the
12 Agreement, Amendment 1, Amendment 11, Amendment 111, and Amendment IV
13 together shall be considered the Agreement.
14 The Agreement, as hereby amended, is ratified and continued. All provisions, terms,
15 covenants, conditions and promises contained in the Agreement and not amended herein
16 shall remain in full force and effect. Amendment IV shall become effective upon execution.
