1 THIRD AMENDMENT TO AGREEMENT
2 THIS THIRD AMENDMENT, is made and entered this 8th day of
3 December , 2015, by and between the COUNTY OF FRESNO,a Political Subdivision of
4 the State of California,hereinafter referred to as "COUNTY,"the FRESNO COUNTY IN-
5 HOME SUPPORTIVE SERVICES PUBLIC AUTHORITY, a corporate public body,
6 hereinafter referred to as"PUBLIC AUTHORITY,"and LANGUAGE LINE SERVICES,
7 INC. , a For-Profit Corporation, whose address is 1 Lower Ragsdale Drive, Monterey, CA
8 93940, hereinafter referred to as"CONTRACTOR" (collectively the"parties").
9 WHEREAS,the parties entered into that certain Agreement, identified as COUNTY
0 Agreement No. l 3-018, effective January 1, 2013, whereby CONTRACTOR agreed to provide
11 telephonic interpreting services which benefit certain Fresno County residents;
12 WHEREAS, COUNTY and Contractor entered into Amendment I & II TO Agreement
13 No. 13-018, dated June 3, 2014, in order to amend the Scope of Work and compensation and
14 increase the maximum compensation amount and to update Health Insurance Portability and
15 Accountability Act(HIPAA)language as required by law(herein after County Agreement No.
16 13-018,together with Amendment I &II to Agreement No. 13-018, shall be referred to as the
1 7 "Agreement").
18 WHEREAS the parties desire to amend the Agreement regarding changes as stated
19 below and restate the Agreement in its entirety.
20 NOW, THEREFORE, in consideration of their mutual promises, covenants and
21 conditions, hereinafter set forth,the sufficiency of which is acknowledged, the parties agree as
22 follows:
23 1. That the existing Agreement , Page Three(3), beginning with Section Three (3),
24 Line Two (2)with the number"3." and ending on Page Three(3), Line Five (5)with the word
25 "Agreement", be deleted and the following inserted in its place:

27 "3. TERM
28 This Agreement shall become effective as of the I" of January 2013, and

1 shall terminate on the 30ih day of June,2016, unless earlier terminated as set forth in section
2 Four(4) of the Agreement."
3 2. That the existing Agreement, Section 5 (COMPENSATION),
4 subsection B, on page Four(4), be deleted in its entirety and replaced with the following:
5 "B. For the provision of telephonic interpreting services, in no event
6 shall the maximum compensation paid by COUNTY and the PUBLIC AUTHORITY to
7 CONTRACTOR for actual services performed for the period of January 1, 2013 through
8 December 31, 2013 be in excess of Sixty-One Thousand Eight Hundred Fifty and No/100
9 Dollars($61,850.00). For the period of January 1, 2014 through December 31, 2014, in no
10 event shall the maximum compensation of this Agreement for actual services performed
11 exceed One Hundred Thirty-Eight Thousand Three Hundred Fifty and No./100 Dollars
12 ($138,350.00). For the period of January 1, 2015 through June 30,2016, in no event shall the
13 maximum compensation of this Agreement for actual service performed exceed One Hundred
14 Thirty-Eight Thousand Three Hundred Fifty and No/100 Dollars ($138,350.00). In no event
15 shall the cumulative total of this Agreement for actual services performed exceed Three
16 Hundred Thirty-Eight Thousand Five Hundred Fifty and No/100 Dollars($338,550.00)."
17 3. COI JNTY,the P1 JBLiC AUTHORITY and CONTRACTOR agree that this
18 Third Amendment is sufficient to amend County Agreement No. 13-018; and that upon
19 execution of this Third Amendment, the original Agreement and Amendment I, Amendment II
20 AND Third Amendment shall together be considered the Agreement.
21 This Agreement, as hereby amended, is ratified and continued. All provision,
22 terms,covenants, conditions and promises contained in the Agreement,not amended herein,
23 shall remain in full force and effect. This Third Amendment shall become effective upon
24 execution by all parties.
