Agreement No. 15-423 5-102: 1 THIRD PARTY ADMINISTRATOR CONSULTANT AGREEMENT 2 3 THIS AGREEMENT is made and entered into this 1st day of September 2015, 4 by and between the County of Fresno, a Political Subdivision of the State of 5 California, hereinafter referred to as "County," and Buada Associates, Inc., whose 6 address is 4872 N Arcade Avenue, Fresno, CA 93704, hereinafter referred to as 7 "Consultant." 8 WITNESSETH 9 WHEREAS, on February 26, 2015, pursuant to County Resolution No. 12492, 10 subject to the Conditions listed therein, the County Planning Commission certified 11 Environmental Impact Report (EIR) No. 6606 for the Riverbend Sand and Gravel 12 Project (State Clearinghouse No. 2013071097) ("Project"), approving Unclassified 13 Conditional Use Permit ("UCUP") No. 3390, and adopting a Mitigation Monitoring and 14 Reporting Plan and Condition Compliance Matrix ("Monitoring Plan") for the Project; 15 and 16 WHEREAS, Riverbend Sand and Gravel, LLC is the owner of the Project 17 ("Applicant") and will be operating and developing the Project approved under UCUP 18 No. 3390, consisting of a sand and gravel extraction facility on a 619-acre portion of a 19 833-acre site. Exhibit "A", attached hereto and incorporated herein by reference, 20 reflects the legal description of the land in question; and 21 WHEREAS, the Monitoring Plan is attached hereto as Exhibit "B" and 22 incorporated herein by reference. This Agreement is for UCUP No. 3390 and 23 Applicant will be responsible for the Project described under UCUP No. 3390. The 24 County Planning Commission approved a Reclamation Plan as a component of the 25 UCUP for the Project on February 26, 2015; and 26 WHEREAS, Condition of Approval No. 11 of UCUP No. 3390 requires that the 27 Applicant enter into an agreement with the County of Fresno to implement the 28 Monitoring Plan via a third party consultant in accordance with Section 21081.6 of the {00020614;1 } 1 California Public Resources Code and Section 15097 of Title 14, Chapter 3 of the 2 California Code of Regulations; and 3 WHEREAS, the Consultant's Proposal for Riverbend Sand and Gravel 4 Mitigation Monitoring and Conditions Compliance, dated July 9, 2015 ("Proposal") is 5 attached hereto as Exhibit "C" and incorporated herein by reference. The Proposal 6 includes Tasks 1 — 3 under Scope of Services; and 7 WHEREAS, this Agreement shall cover monitoring the Project's Mitigation 8 Measures and Conditions of Approval, as provided in the Monitoring Plan (Exhibit 9 "B"); and 10 WHEREAS, the Consultant represents that it is qualified, able, and willing to 11 monitor the Project's Mitigation Measures and Conditions of Approval, which 12 representation the County specifically relies upon. 13 NOW, THEREFORE, in consideration of the Covenants and Conditions set 14 forth herein, the parties agree as follows: 15 1. Obligations of the Consultant 16 A. Services To Be Provided: Consultant will monitor Applicant's 17 compliance with all Project Mitigation Measures and Conditions of Approval 18 (described in Exhibit "B"), as set forth in the Proposal (Exhibit "C"). 19 B. Reporting: Consultant will provide County a written report by e- 20 mail within 30 days of each monitoring visit to document the site conditions. If a 21 failure to comply with applicable Mitigation Measures or Conditions of Approval is 22 identified, the report shall indicate the issue, the person(s) contacted, and the 23 corrective action(s) recommended. 24 2. Obligations of the County 25 A. County shall make available to Consultant all documents, studies, 26 and other information, not otherwise confidential or privileged, in its possession 27 related to the Project. 28 B. County shall compensate Consultant as provided in Section 3 of 2 1 this Agreement. 2 3. Invoicing and Compensation 3 A. Invoices: Consultant shall submit two copies of each invoice, 4 which shall describe the tasks performed during the period covered by the invoice. 5 The invoice shall specify: (1) hours worked and the billing rates, as set forth in Exhibit 6 "C", and (2) the total amount billed to-date for the Project. 7 B. Compensation to Consultant: In full compensation for services 8 performed under this Agreement, County agrees to pay Consultant, and Consultant 9 agrees to accept, compensation according to the Hourly Rate and Expense Schedule 10 specified in Exhibit "C". 11 Within 45 days of receipt of a proper invoice, County shall determine 12 whether Consultant has adequately performed to the satisfaction of County the 13 item(s) for which Consultant seeks payment, and shall remit payment thereof to 14 Consultant. 15 If County determines that Consultant has not adequately performed any 16 such task or services, County shall inform Consultant of those acts in writing which 17 are necessary for satisfactory completion of the item(s). Consultant shall undertake 18 any and all work to satisfactorily complete the item(s) at no additional charge to 19 County. 20 Notwithstanding any other provision in this Agreement, compensation 21 paid to Consultant shall not exceed Nine Thousand Dollars ($9,000) annually 22 (September 1st—August 31 st) for the entire term of this Agreement. The maximum 23 amount payable for the entire term of this Agreement is $45,000. 24 C. Consultant to Bear Expenses: It is understood that the 25 Consultant shall bear all expenses incidental to the performance of his obligations 26 under this Agreement. 27 4. Term 28 This Agreement shall become effective on September 1, 2015 and shall 3 1 terminate on August 31, 2020. 2 5. Termination 3 A. The County may immediately suspend or terminate this 4 Agreement in whole or in part, where in the determination of the County there is: 5 i. A discontinuance by Applicant of operation of the Project; 6 ii. A failure by Applicant to timely remit reimbursement to 7 County for an invoice submitted by Consultant to County; 8 iii. An illegal or improper use of funds by Consultant; 9 iv. A failure by Consultant to comply with any term of this 10 Agreement; 11 V. A substantially incorrect or incomplete report submitted to 12 the County by Consultant; 13 vi. Inadequately performed services by Consultant. 14 B. Consultant or County may terminate this Agreement upon 180 15 days prior written notice to the other party. If the Consultant terminates the 16 Agreement, Consultant shall reimburse the County, up to a maximum of Five 17 Thousand Dollars ($5,000), for the actual expense of issuing a Request For Proposal, 18 engaging a new Consultant, and the new Consultant's cost in becoming familiar with 19 the Project, its operations to date, and its compliance with the Project Monitoring Plan 20 set forth in Exhibit "B". 21 C. If this Agreement is terminated as provided in this section, the 22 Consultant shall be compensated for satisfactorily performed services completed to 23 the date of termination based upon the compensation rates set forth in Section 3 of 24 this Agreement. 25 6. Hold Harmless and Insurance 26 A. The Consultant shall hold the County, its Boards, Commissions, 27 officers, agents, and employees harmless and indemnify and, at County's request, 28 defend the County, its Boards, Commissions, officers, agents and employees, against 4 1 the payment of any and all costs and expenses (including reasonable attorney fees 2 and court costs), claims, losses, damages, causes of action, lawsuits, and liability for 3 bodily and personal injury to or death of any person and for injury or loss of any 4 property resulting from, or arising out of, or in any way connected with any negligent 5 or wrongful acts or omissions of the Consultant, its officers, agents, and employees, in 6 performing or failing to perform any work, services, or functions provided for, or 7 referred to, or in any way connected with any work, services, or functions to be 8 performed under this Agreement and against the payment of any and all costs and 9 expenses (including reasonable attorney fees and court costs), claims, losses, 10 damages, causes of action, lawsuits and liability for bodily and personal injury to, or 11 death of any person, and for injury or loss of any property resulting from or arising out 12 of, or in any way occurring to any person, firm, or corporation who may be so injured 13 by any negligent or wrongful act or omission of the Consultant, its officers, agents, 14 and employees in performing or failing to perform any work service or functions 15 provided for, or referred to, or in any way connected with any work, service, or 16 functions to be performed under this Agreement. 17 B. Without limiting the County's right to obtain indemnification from 18 the Consultant or any third parties, the Consultant, at its sole expense, shall maintain 19 in full force and effect the following insurance policies throughout the term of this 20 Agreement: (1) Commercial General Liability Insurance with limits of not less than One- 21 Million Dollars ($1,000,000.) per occurrence and an annual aggregate of Two Million 22 Dollars ($2,000,000.). This policy shall be issued on a per occurrence basis. County 23 may require specific coverages including completed operations, products liability, 24 contractual liability, Explosion-Collapse-Underground, fire legal liability, or any other 25 liability insurance deemed necessary because of the nature of this contract; (2) 26 Comprehensive Automobile Liability Insurance with limits for bodily injury of not less 27 than Two Hundred Fifty Thousand Dollars ($250,000.) per person, Five-Hundred 28 Thousand Dollars ($500,000.) per accident and for property damages of not less than 5 1 Fifty Thousand Dollars ($50,000.), or such coverage with a combined single limit of Five 2 Hundred Thousand Dollars ($500,000.). Coverage should include owned and non- 3 owned vehicles used in connection with this Agreement; (3) Professional Liability 4 Insurance, if Consultant employs licensed professional staff, (e.g., Ph.D., R.N., 5 L.C.S.W., M.F.C.C.) in providing services, with limits of not less than One Million Dollars 6 ($1,000,000.) per occurrence, Three Million Dollars ($3,000,000.) annual aggregate; and 7 (4)A policy of Worker's Compensation Insurance as may be required by the California 8 Labor Code. 9 The General Liability and Automobile Liability Insurance policies shall name the 10 County, its officers, agents, and employees, individually and collectively, as additional 11 insured, but only insofar as the operations under this Agreement are concerned. 12 Such coverage for additional insured shall apply as primary insurance and any other 13 insurance, or self-insurance, maintained by the County, its officers, agents, and 14 employees, shall be excess only and not contributing with insurance provided under 15 the Consultant's policies herein. This insurance shall not be canceled or changed 16 without a minimum of 30 days advance, written notice given to County. 17 Prior to the commencement of performing its obligations under this Agreement, 18 the Consultant-shall provide Certificates of Insurance on the foregoing policies, as 19 required herein, to the County's Department of Public Works and Planning, stating 20 that such insurance coverages have been obtained and are in full force; that the 21 County, its officers, agents, and employees shall not be responsible for any premiums 22 on the policies; that such insurance (General Liability and Automobile Liability only) 23 names the County, its officers, agents, and employees, individually and collectively, 24 as additional insured, but only insofar as the operations under this Agreement are 25 concerned; that such coverages for additional insured shall apply as primary 26 insurance and any other insurance, or self-insurance, maintained by the County, its 27 officers, agents, and employees, shall be excess only and not contributing with 28 insurance provided under the Consultant's policies herein; and that this insurance 6 1 shall not be canceled or changed without a minimum 30 days advance, written notice 2 given to the County. 3 In the event the Consultant fails to keep in effect at all times insurance 4 coverages as herein provided, the County may, in addition to other remedies it may 5 have, suspend or terminate this Agreement upon the occurrence of such event. 6 7. Work Product 7 A. Any and all reports, studies, data, or other information, prepared 8 or assembled by the Consultant under this Agreement shall not be provided to any 9 person, association, corporation, or other organization during the term of this 10 Agreement without the prior written consent of the County. 11 B. The County shall have the unlimited authority to forever publish, 12 disclose, distribute and otherwise use throughout the world, in whole or in part, and 13 allow others to do so, any and all reports, studies, data, or other information prepared 14 by the Consultant pursuant to this Agreement. 15 C. All documents prepared or obtained by the Consultant shall 16 become the exclusive property of the County. Upon termination of this Agreement 17 and prior to any compensation received from the County for unpaid services, the 18 Consultant shall surrender to the County all work products created pursuant to this 19 Agreement without any reservation of rights therein. Consultant may retain such 20 documents only for so long as the County authorizes such work product to be retained 21 to allow the completion of work as provided in Subsection 5.13 of this Agreement. 22 Consultant may retain copies of any documents prepared or obtained by the 23 Consultant and designated as public records under the Public Records Act, and such 24 documents may be used by the Consultant in any manner after this Agreement has 25 been terminated. 26 D. The Consultant shall provide (submit, reproduce and distribute) 27 all materials related to Tasks 1 - 3 of the Proposal. The County will require that the 28 Consultant provide documents in both Microsoft Word Office 2010 (or newer) and 7 1 PDF file formats. 2 8. Independent Contractor 3 In performance of the work, duties, and obligations assumed by the 4 Consultant under this Agreement, it is mutually understood and agreed that the 5 Consultant, including any and all of the Consultant's officers, agents, and employees, 6 will at all times be acting and performing as an independent contractor, and shall act 7 in an independent capacity and not as an officer, agent, servant, employee, joint 8 venture, partner, or associate of the County. Furthermore, the County shall have no 9 right to control or supervise or direct the manner or method by which the Consultant 10 shall perform its works and function. However, the County shall retain the right to 11 administer this Agreement so as to verify that the Consultant is performing its 12 obligations in accordance with the terms and conditions thereof. The Consultant and 13 the County shall comply with all applicable provisions of law and the rules and 14 regulations, if any, of Governmental authorities having jurisdiction over matters the 15 subject thereof. 16 Because of its status as an independent contractor, the Consultant shall 17 have absolutely no right to any and all employment rights and benefits available to 18 County employees. The Consultant shall be solely liable and responsible for 19 providing to, or on behalf of its employees, all legally-required employees benefits. In 20 addition, the Consultant shall be solely responsible and save the County harmless 21 from all matters relating to payment of the Consultant's employees, including 22 compliance with Social Security withholding, and all other regulations governing such 23 matters. It is acknowledged that during the term of this Agreement, Consultant may 24 be providing services to others unrelated to the County or to this Agreement. 25 9. Governing Law 26 Venue for any action arising out of, or related to this Agreement shall 27 only be in Fresno County, California. 28 The rights and obligations of the parties and all interpretation and 8 1 performance of this Agreement shall be governed in all respects by the laws of the 2 State of California. 3 10. Amendments 4 Any changes to this Agreement requested either by the County or the 5 Consultant may only be affected if mutually agreed upon in writing by duly authorized 6 representatives of the parties hereto. This Agreement shall not be modified or 7 amended or any rights of a party to it waived except by such writing. 8 11. Compliance With Laws 9 The Consultant shall comply with all Federal, State, and local laws, 10 ordinances, regulations, and Fresno County Charter Provisions applicable in the 11 performance of its services. 12 12. Audits and Inspections 13 The Consultant shall at any time during business hours, and as often as 14 the County may deem necessary, make available to the County for examination all of 15 its records and data with respect to the matters covered by this Agreement. The 16 Consultant shall, upon request by the County, permit the County to audit and inspect 17 all of such records and data necessary to ensure the Consultant's compliance with the 18 terms of this Agreement. 19 If this Agreement exceeds Ten Thousand Dollars ($10,000.), the 20 Consultant shall be subject to the examination and audit of the Auditor General for a 21 period of three (3) years after final payment under this Agreement (Government Code 22 Section 8546.7). 23 13. Non-Assignment 21 Neither party shall assign, transfer, or sub-contract this Agreement nor 22 their rights or duties under this Agreement without the written consent of the other 23 party. 24 16. Disclosure Of Self-Dealing Transactions 25 This provision is only applicable if the CONTRACTOR is operating as a 26 corporation (a for-profit or non-profit corporation) or if during the term of the 27 agreement, the CONTRACTOR changes its status to operate as a corporation. 28 Members of the CONTRACTOR's Board of Directors shall disclose any 10 1 self-dealing transactions that they are a party to while CONTRACTOR is providing 2 goods or performing services under this agreement. A self-dealing transaction shall 3 mean a transaction to which the CONTRACTOR is a party and in which one or more 4 of its directors has a material financial interest. Members of the Board of Directors 5 shall disclose any self-dealing transactions that they are a party to by completing and 6 signing a Self-Dealing Transaction Disclosure Form, attached hereto as Exhibit "D" 7 and incorporated herein by reference, and submitting it to the COUNTY prior to 8 commencing with the self-dealing transaction or immediately thereafter. 9 17. Consultant's Legal Authority 10 Each individual executing or attesting this Agreement on behalf of the 11 Consultant hereby covenants, warrants, and represents: (i) that he or she is duly 12 authorized to execute or attest and deliver this Agreement on behalf of the 13 Consultant's Corporation; and (ii) that this Agreement is binding upon such 14 Corporation. 15 18. Binding Upon Successors 16 This Agreement shall be binding upon and inure to the benefit of the 17 parties and their respective successors in interest, assigns, legal representatives, and 18 heirs. 19 J/ 20 21 22 II 23 /I 24 /J 25 26 27 28 IJ 11 1 19. FirStAMa7'can We EXHIBIT B MITIGATION MONITORING AND REPORTING PROGRAM AND CONDITIONS COMPLIANCE MATRIX FOR THE RIVERBEND SAND AND GRAVEL PROJECT INTRODUCTION The Mitigation Monitoring and Reporting Program ("MMRP") has been prepared to implement the mitigation measures identified in the Riverbend Sand and Gravel Project("Project") Environmental Impact Report ("EIR"). Section 21081.6 of the California Environmental Quality Act ("CEQA") requires adoption of a monitoring or reporting program when mitigation measures have been identified that would reduce or avoid significant environmental effects. This MMRP contains measures identified in the EIR that would be implemented through monitoring of an activity, such as grading or excavation, and other measures that would be implemented through a reporting mechanism, such as obtaining an air quality permit or an Emergency/Contingency Plan. The law states that the MMRP shall be designed to ensure compliance during implementation of the Project. When implemented, environmental effects associated with the Project will be reduced or eliminated. Therefore, the MMRP has been prepared as a matrix containing the following elements: • Measures that would mitigate significant impacts on the environment are recorded with a description of the action and the procedure necessary to ensure compliance. • A procedure of compliance and verification has been outlined for each measure. This procedure designates what action will be taken and when, who will take action, and to whom and when compliance will be reported. • The MMRP has been designed to provide focused, yet flexible guidelines. As monitoring progresses, changes to compliance procedures may be necessary based upon recommendations by those responsible for the program. PROGRAM MANAGEMENT The MMRP will be in place through all phases of the Project. The Project planner, assigned by the Fresno County ("County") planning director, shall coordinate enforcement of the MMRP and oversee it to ensure that proper action is taken on each mitigation measure. Each County department or division shall ensure that the Project complies with the conditions (mitigation) that relate to that department. The Project planner or responsible County department has the authority to stop the work of the operator if compliance with any aspects of the MMRP is not occurring after written notification has been issued. The Project planner or responsible County department also has the authority to deny entry into a new mining phase until compliance with a mitigation measure occurs. CONDITIONS COMPLIANCE MATRIX The MMRP that was circulated as Chapter 4.0 in the Final EIR has been revised to include the recommended conditions of approval for the Project.
