1 FIRST AMENDMENT TO AGREEMENT

3 This FIRST AMENDMENT to AGREEMENT 09-478 (hereinafter FIRST
4 AMENDMENT) is made and entered into this 7th day of April , 2015, by and between the
5 COUNTY OF FRESNO, a Political Subdivision of the State of California, hereinafter referred to as
6 "COUNTY", and the Canteen of Fresno, Inc., a California corporation, 527 'L" Street, Fresno, CA
7 93721, hereinafter referred to as "CONTRACTOR".
8 WITNESSETH:
9 WHEREAS, COUNTY and CONTRACTOR entered into Agreement Number 09-478
10 effective October 1, 2009 (hereinafter, the "Agreement") pursuant to which CONTRACTOR
11 agreed to provide commissary services at the Fresno County Jail Facilities in connection with
12 the operation of its Correctional Facilities for a term of October 1, 2009 —April 30, 2015;
13 WHEREAS, COUNTY and CONTRACTOR now desire to amend the agreement in
14 order to extend the current agreement to October 31, 2015.
15 NOW THEREFORE, for good and valuable consideration, the receipt and adequacy
16 of which is hereby acknowledged, COUNTY and CONTRACTOR agree to amend the
17 AGREEMENT as follows:
18 1. Section 8 (TERM), beginning on page 13, line 23 with the word "This" and
19 ending on page 14, line 4, with the word "Agreement" shall be deleted and the following language
20 inserted in its place:
21 "This Agreement shall become effective on the 1st day of October, 2009 and
22 shall terminate on the 315t day of October 2015."
23 2. Section 10 (NOTICES), beginning on page 14, line 24 with the number"2" and
24 ending on page 14, line 25 with the word "Manager" shall be deleted and the following
25 language inserted in its place:
26 "2. COUNTY: Sheriff 2200 Fresno Street, Fresno CA 93721, Attention:
27 Business Manager."
28 This Amendment I will be effective as of the date first written above. COUNTY and

1 CONTRACTOR agree that this Amendment I is sufficient to amend the Agreement and that upon
2 execution of this Amendment I, the Agreement and Amendment I together shall be considered the
3 Agreement.
4 The Agreement, as hereby amended is ratified and continued. All provisions, terms
5 covenants, conditions and promises contained in the Agreement and not amended herein shall
6 remain in full force and effect.
