HomeMy WebLinkAboutAgreement A-10-551-1 with CBI Environmental Infrastructure Inc..pdf AGT. # 10-551-1 1 FIRST AMENDMENT TO AGREEMENT FOR ENGINEERING CONSULTANT SERVICES 2 3 THIS FIRST AMENDMENT (hereinafter called "AMENDMENT") TO AGREEMENT NO. 4 10-551 FOR SPECIALIZED PROFESSIONAL ENGINEERING CONSULTANT SERVICES 5 (hereinafter called "AGREEMENT'), is made and entered into this day o c 6 2015, and is effective retroactively to October 1, 2014, by and between the County of Fresno, a 7 political subdivision of the State of California, (hereinafter called "COUNTY"), and CB&I 8 Environmental and Infrastructure, Inc., 180 Promenade Circle, Sacramento, CA 95834 g (hereinafter called "CONSULTANT"). 10 WITNESSETH: 11 WHEREAS, on September 28, 2010, COUNTY entered into the AGREEMENT with 12 Shaw Environmental & Infrastructure, Inc. (hereinafter called "SHAW")to provide civil design 13 engineering consultant services as more thoroughly specified therein, including the following: to 14 develop Final Closure and Post closure Maintenance Plans (hereinafter referred to as 15 "CPCMP")for the Coalinga Disposal Site (hereinafter referred to as "the CDS"), in accordance 16 with California Code of Regulations (CCR) Title 27 §21769 et seq.;to assist in obtaining all 17 regulatory approvals of the CPCMP; to prepare plans, specifications and Engineer's estimates 18 for the contemplated public works project for construction of the final cover and appurtenances 19 and gas monitoring network of the CDS (hereinafter"CDS Closure Construction Project"), once 20 regulatory approval for the CPCMP has been obtained; and to prepare a Construction Quality 21 Assurance Plan ("CQA Plan") and to provide such construction observation services as are 22 consistent with the approved CQA Plan during the CDS Closure Construction Project; and all 23 such design and engineering services provided under the AGREEMENT, including those 24 specifically listed above in this paragraph, shall hereinafter be referred to collectively as 25 "PROJECT"; and 26 WHEREAS, SHAW was selected to provide such professional design and engineering 27 consultant services necessary for PROJECT in accordance with COUNTY'S Ordinance Code 28 Chapter 4.10, governing the selection of architects, engineers, and other professional 1 1 consultants to provide such services as required by COUNTY; and 2 WHEREAS, SHAW subsequently was acquired by CONSULTANT, whereupon 3 CONSULTANT assumed the contractual duties and obligations of SHAW under the 4 AGREEMENT; and 5 WHEREAS, the term of the AGREEMENT was extended to June 30, 2016, by written 6 notification to CONSULTANT from DIRECTOR dated January 23, 2014, in accordance with the 7 provisions of Article XIX, Section B of the AGREEMENT; and 8 WHEREAS, CONSULTANT contends that it is entitled to additional compensation in 9 excess of that provided for in AGREEMENT; and 10 WHEREAS, said CONSULTANT represents that it is qualified and willing to perform the 11 engineering services required by COUNTY for PROJECT, under the terms and conditions 12 specified in AGREEMENT, as modified by this AMENDMENT. 13 WHEREAS, COUNTY and CONSULTANT agree that it is in their mutual best interests 14 for CONSULTANT to perform its remaining obligations under AGREEMENT while both 15 COUNTY and CONSULTANT expressly reserve their respective rights as to whether 16 CONSULTANT is entitled to additional compensation under AGREEMENT. 17 NOW, THEREFORE, the parties hereby agree as follows: 18 1. Article I, Section B of AGREEMENT is hereby deleted and replaced with the 19 following: 20 "B. Exhibit A is hereby deleted and replaced with Exhibit Al, which exhibit is 21 attached hereto and incorporated herein by this reference. CONSULTANT may retain 22 subconsultants as necessary for completion of the work encompassed by PROJECT. All 23 subconsultants used by CONSULTANT shall be approved by COUNTY'S Department of Public 24 Works and Planning Director or his designee (hereinafter called "DIRECTOR") before they are 25 retained by CONSULTANT, which approval shall not be unreasonably withheld. The 26 subconsultants listed in Exhibit Al, attached to this AMENDMENT and incorporated herein, 27 shall be considered as approved by DIRECTOR. Should CONSULTANT retain any 28 subconsultants, the maximum amount of compensation to be paid to CONSULTANT under 2 t 1 Article V below shall not be increased, and any additional compensation to be paid to 2 CONSULTANT for such subconsutant(s)' work shall be limited to a maximum of ten percent 3 (10%) of the total costs incurred by CONSULTANT as a result of the subconsultant(s)' 4 involvement in PROJECT. Additional fees other than the 10% markup on subconsultant 5 charges will not be reimbursed." 6 2. Article I, Section C of AGREEMENT is hereby deleted and replaced with the 7 following: 8 "C. Exhibit B is hereby deleted and replaced with Exhibit 61, which exhibit is 9 attached hereto and incorporated herein by this reference. CONSULTANT'S staff for its 10 PROJECT team shall be as listed in Exhibit 131. Any substitutions of personnel shall be 11 requested in writing by CONSULTANT and approved by DIRECTOR, which approval shall not 12 be unreasonably withheld. The approval by DIRECTOR shall be in writing and DIRECTOR 13 shall have a minimum of 15 working days to respond to CONSULTANT'S request for 14 substitutions of personnel. CONSULTANT shall notify DIRECTOR of the names and 15 classifications of employees assigned to PROJECT, and shall not reassign such employees to 16 other projects of CONSULTANT without notification to and prior approval by DIRECTOR." 17 3. Article I, Section F of AGREEMENT is hereby deleted and replaced with the 18 following: 19 "F. Article V, Section A, Paragraphs 1 through 3, inclusive, at page 12, line 13 28 through page 13, line 10 of AGREEMENT, are hereby deleted and replaced with the 3 1 following: 2 W. COMPENSATION: 3 A. Total Fee: 4 1. Exhibit C is hereby deleted and replaced with Exhibit C1, which exhibit is 5 attached hereto and incorporated herein by this reference. Notwithstanding any other 6 provisions in this Agreement, the Total Fee (Basic Fee and Extra Services Allocation)for the 7 services required under this Agreement shall not exceed the total sum of$520,000, comprised 8 of a Basic Fee of$450,045 and an Extra Services allocation of$69,955, which shall be 9 computed at the hourly and cost rates shown in Exhibit C prior to the effective date of this 10 AMENDMENT, and at the hourly and cost rates shown in Exhibit C1 from and after the effective 11 date of this AMENDMENT, as more thoroughly provided in the immediately following 12 Paragraphs 2 and 3 of this Section V.A. 13 2. Except as provided in Subparagraph (b) of this Paragraph V.A.2, the 14 hourly and cost rates listed herein for services rendered by CONSULTANT and subconsultants 15 of CONSULTANT shall remain in effect for the entire duration of AGREEMENT; provided, 16 however, and notwithstanding the foregoing: 17 (a) If AGREEMENT is in effect longer than one (1) year, then 18 CONSULTANT may make a request to MANAGER no earlier than the one-year anniversary of 19 the effective date of AGREEMENT (and may make such request on an annual basis thereafter), 20 that the rates in Exhibit C be adjusted prospectively, so long as the percentage adjustment does 21 not exceed the percentage adjustment in the Consumer Price Index for All Urban Consumers 22 (CPI-U)for San Francisco, Oakland and San Jose Area, for the most recent prior calendar year 23 for which such CPI adjustment information is available. Any such adjustment of the listed rates 24 in Exhibit C, pursuant to this Paragraph, may be authorized by the written approval of 25 MANAGER; and 26 (b) From and after the effective date of this AMENDMENT, Exhibit C 27 shall be deleted and replaced with Exhibit C1, so that the rates listed in Exhibit C1 thereafter 28 shall govern with respect to CONSULTANT'S hourly and cost rates. 4 1 3. Those expenses incidental to CONSULTANT'S and subconsultant's 2 performance of services under Article III of AGREEMENT that are listed in Exhibit C shall be 3 charged at the rates listed in Exhibit C prior to the effective date of this AMENDMENT, and at 4 the rates listed in Exhibit C1 from and after the effective date of this AMENDMENT, subject to 5 any adjustments that may be approved in accordance with the immediately preceding 6 Paragraph V.A.2. All other expenses incidental to CONSULTANT'S and subconsultant's 7 performance of the services under Article III of AGREEMENT that are not specifically listed in 8 Exhibit C or Exhibit C1 shall be borne by CONSULTANT." g 5. Article V, Section B is hereby deleted and replaced by the following: 10 "B. Basic Fee: 11 1. Notwithstanding any other provisions in this Agreement, there will 12 be a maximum Basic Fee of$450,045 over the entire term of AGREEMENT. The Basic Fee 13 shall consist of a maximum fee for services enumerated in Article III or Exhibit G of 14 AGREEMENT. 15 2. Exhibit H is hereby deleted and replaced with Exhibit 1-11, which exhibit is 16 attached hereto and incorporated herein by this reference. The maximum Basic Fee is as 17 shown in Exhibit H1 and shall be divided as follows: 18 Task 1. Meetings and Project Management $20,281.00 19 Task 2. Preliminary Engineering $77,351.00 20 Task 3. Develop Final Closure and Postclosure Maintenance Plans $40,152.00 21 Task 4. Plans, Specifications and Engineer's Estimate $46,963.00 22 Task 5. Construction Quality Assurance $219,248.00 23 Task 6. Evapotranspirative (ET) Cover Pan Lysimeter $46,050.00 24 Total Basic Fee $450,045.00" 25 6. Article V, Section C, Paragraphs 1 through 4, inclusive, at page 14, lines 1 26 through 15, inclusive, are hereby deleted and replaced with the following: 27 "C. Extra Services: 28 1. There will be a maximum allocation of$69,955 over the entire 5 1 term of AGREEMENT to pay for authorized Extra Services. Payment of Extra Services in 2 excess of said amount is unauthorized except pursuant to another subsequent written 3 Amendment, approved in accordance with the provisions of Article XIV of this Agreement. 4 2. The CONSULTANT shall not undertake any Extra Services 5 without the advance written authorization of MANAGER. The CONSULTANT and the COUNTY 6 shall expressly confirm in writing the authorization and maximum cost for any such services 7 before the CONSULTANT performs Extra Services. 8 3. MANAGER shall have the discretion to adjust in writing the Basic Fee and 9 Extra Services limits as long as the Total Fee of$520,000 for the entire term of AGREEMENT is 10 not exceeded. 11 4. Payment for Extra Services will be at the hourly and cost rates set 12 forth in Exhibit C for such work performed prior to the effective date of this AMENDMENT, and 13 at the hourly and cost rates set forth in Exhibit C1 for such work performed from and after the 14 effective date of this AMENDMENT." 15 7. Article XIX, Paragraph A of AGREEMENT is hereby deleted and replaced 16 with the following: 17 "A. Exhibit D is hereby deleted and replaced with Exhibit D1, which exhibit is 18 attached hereto and incorporated herein by this reference. The CONSULTANT shall adhere to 19 the timeline established in Exhibit D1. Time limits established by the schedule approved by 20 MANAGER shall not, except as provided herein in AGREEMENT and Exhibit D1, be exceeded 21 by CONSULTANT. CONSULTANT shall maintain the PROJECT schedule and status report that 22 shall be updated and submitted to COUNTY on a monthly basis. Any changes to the schedule 23 shall be submitted for MANAGER'S approval and shall be accompanied by an explanation for 24 the requested change." 25 8. Article XIX, Paragraph B of AGREEMENT is hereby deleted and replaced 26 with the following: 27 "B. CONSULTANT shall complete all services required under AGREEMENT 28 in a timely manner, and shall complete performance of all of its contractual duties and 6 1 obligations under AGREEMENT by December 31, 2015; and AGREEMENT shall expire on 2 June 30, 2016, unless its term is further extended in writing by DIRECTOR, or it is terminated 3 earlier in accordance with the provisions of Article XX. It is the current intent of the parties that 4 the terms of AGREEMENT, as modified by this AMENDMENT and as subsequently may be 5 further modified or extended in accordance with the provisions of AGREEMENT, shall remain in 6 effect until completion including all regulatory approvals of PROJECT has been attained." 7 9. The following Article XXVII is hereby added to AGREEMENT: 8 "XXVII. Fees stated in this fee schedule are for geotechnical, environmental, construction inspection, materials testing, and drilling services provided by Moore Twining Associates, Inc. Analytical Chemistry fees are presented separately in Moore Twining Associates, Inc. 2013 Analytical Chemistry Fee Schedule. 2. The fees listed herein are typical of engineering, environmental, inspection, testing, and drilling services most frequently provided by Moore Twining Associates, Inc. Fees for other services and special quotations will be provided upon request. Special consideration is given to projects involving protracted periods of time or volume testing. All fees are subject to change without notice. 3. A minimum of two hours per day will be charged for all field services plus travel time to and from job site. Field services over two hours will be charged at two-hour increments thereafter. A cancellation charge of two hours will be billed in the event the client fails to notify our office of a cancellation at least 24 hours prior to the scheduled inspection. 4. Time Schedule: Basis of sampling, observation, drilling, travel, and other fees: Rate of Changes Period Regular Time Monday through Friday—eight hours from 8:00 a.m. to 5:00 p.m. Time and One-Half Monday through Friday—after continuous eight hours and Saturdays Double Time Work performed beyond 12 hours,Sundays and Holidays Shift Differential Second (Swing)Shift Regular hourly rate plus 10%for the first eight hours worked; time in excess of eight hours will be charged at overtime rate Third (Graveyard) Shift Regular hourly rate plus 15%for the first eight hours worked; time in excess of eight hours will be charged at overtime rate 5. Fees reflect per-unit test and only include reporting of laboratory and/or field results not requiring engineering evaluation, recommendations, and/or conclusions. 6. Vehicle mileage, when applicable, is $0.575 per mile. Drill rig, heavy equipment trucks, and four- wheel drive vehicles are $1.00 per mile. All vehicle mileage charges (except for drill rigs) are from Moore Twining Associates, Inc.'s nearest office. 7. Projects set for drilling must be confirmed within 24 hours. Unconfirmed drilling dates may risk loss of that date to other firms who desire that equipment. Drilling is scheduled on a first-come, first- served basis. 8. When the drill rig is left on-site, a charge of $65/hour will be applied for travel time and mileage, excluding mobilization and demobilization days. Work requiring special equipment, machinery rental, outside consultants, etc., will be charged at cost-plus-15% unless otherwise noted. The cost of replacing equipment that is damaged due to client's request and/or negligence will be assessed. 10. For drilling services, daily services tickets will be furnished by Moore Twining's field personnel to the client (or his representative) to acknowledge that said equipment and/or materials are being transported to and from the job site and are in operation. It will be the client's responsibility to acknowledge or dispute the service tickets on a daily basis. Failure to do so constitutes acceptance of all charges and the client relinquishes all rights to challenge unsigned services tickets. If, for any reason, the client does not agree with the hours, services, materials, and/or equipment set forth on the service ticket(s), and the matter cannot be resolved with our field personnel, the client should contact our office and discuss the matter with Moore Twining's Drilling Division. 11. For delivery of additional materials and/or equipment to the job site, pick-up of materials requested, and/or equipment ordered but not used, there will be a charge of $70/hour. There will be a restocking fee of 20% on all materials returned. Any special rental equipment such as air compressors, generators, cement mixers, etc. can be provided at cost-plus-15%, plus pick-up and delivery charges. Other equipment necessary to meet your project's special needs can be obtained upon request. Clients ordering specialized materials will be billed for the full amount pf purchase regardless of utilization of only a portion thereof. 12. Staff billing rates will be imposed for requested research into technical files or records. 13. Requests for additional copies of reports are charged at secretarial rate plus photocopying fee of $0.10 per page. 14. Facsimiles are charged at$1.00 per page for local calls and $1.50 for long-distance calls. 15. Public carriers, i.e. overnight mail, FedEx, UPS, Greyhound, etc. will be charged at cost plus secretarial time. 16.
