RE: Notice of Assignment and Request for Acknowledgement
Quincy Engineering, Incorporated (Quincy)was acquired and became a wholly owned subsidiary of Consor North
America, Incorporated' (Consor) in May 2019. Contracts between Fresno County and Quincy may contain contract
requirements requiring notice forthe transfer and assignment of those contracts to any entity other than Quincy.
This letter serves as our request to assign the following Contracts (and all associated amendments,addenda,task
orders,and work orders)to our parent Consor:
Agreement Dated September 26,2022- For Architectural and Engineering Consultant Services
Consor employs all staff currently working on these agreements,and you should see no change in the day-to-day
progress and conduct of the work under these contracts. Consor agrees to assume full responsibility for
execution and completion of all contracts with Fresno County effective immediately. Consor agrees that the
provision of services under the agreements will be unchanged.
Foryour records,attached are the following:
• Consor's W-9 Form
• Certificate of Insurance
• Updated Tax Forms (to be sent separately)
An updated certificate of insurance,with all coverages identical to those currently provided under Quincy's
certificate of insurance. Note that Consor assumes responsibility for all Quincy's prior acts and has Quincy listed
as an insured under Consor's professional liability insurance policy,with full prior acts coverage.
In light of the information noted above and the documents attached,we respectfully request that Fresno County
acknowledge the assignment of the aforementioned agreements to Consor. Except as expressly set forth herein,
this acknowledgement letter neither amends, modifies, nor otherwise alters the terms and conditions of the
Contracts/Agreements your agency has negotiated,which remain in full force and effect.
This Assignment will become effectively immediately upon your signature. Please return a copy to our attention at
