SUBJECT: Amendment to Agreement with Care Coordination Systems, LLC
RECOMMENDED ACTION(S):
Approve and authorize the Chairman to execute First Amendment to Agreement with Care
Coordination Systems, LLC to accommodate additional users within the integrated data sharing
platform for the Department's community health worker programs, effective upon execution with no
change to the term of May 17, 2022 through May 16, 2027 and increasing the maximum
compensation by$323,500 for a total of$1,169,250.
There is no additional Net County Cost associated with the recommended action. The recommended action
will allow for Care Coordination Systems, LLC (CCS)to provide 60 additional user licenses and trainings to
County staff and subcontractors for use of the CCS integrated data sharing system, as well as provide
additional coordination services to create custom data mapping and collection forms as recommended by
the Department's Epidemiology, Surveillance, and Data Management(ESDM) Division. The recommended
action will also increase CCS's total compensation for the term by$323,500 to pay for the additional user
licenses, trainings, and services. CCS is currently utilized by the Department's Advancing Health Literacy
and Health Disparities programs. As these programs expand, additional user licenses and trainings are
required to track, monitor, and evaluate services provided through community health worker(CHW)
programs across the County. The recommended action is fully funded with existing grant funds. This item is
countywide.
ALTERNATIVE ACTION(S):
Should your Board not approve the recommended action, the County will be unable to access additional
user licenses and trainings from CCS. Without additional licenses,the number of County staff and
subcontracted partners utilizing the integrated data sharing system for CHW activities throughout the County
will be significantly reduced, resulting in less tracked interventions provided to community members. Not
approving the recommended action would also prohibit CCS from providing custom data collection forms,
which will result in exclusion of important metrics when screening community members for factors affecting
their health, ultimately limiting the County's ability to track gaps in services and reducing program
intervention and impact.
FISCAL IMPACT:
There is no increase in Net County Cost associated with the recommended action. The maximum
compensation of the agreement with CCS will increase by$323,500 to $1,169,250 for the contract term.
The recommended action is fully funded by federal grant revenues including The Centers for Disease
Control and Prevention's Initiative to Address COVID-19 Related Health Disparities (Health Disparities)and
Epidemiology and Laboratory Capacity COVID-19 (ELC)funds. Sufficient appropriations and estimated

revenues are included in the Department of Public Health's Org 5620 FY 2022-23 Adopted Budget and will
be included in subsequent budget requests.
DISCUSSION:
On May 17, 2022, your Board approved agreement No. 22-214 which allowed the County to contract with
CCS to provide an integrated data sharing platform, user licenses, and trainings to County staff as well as
subcontracted partners. Since the agreement's execution, CCS has acted as a referral source and data
sharing platform for multiple County programs currently implementing CHW network activities. CCS has
been foundational in the success of current Department CHW programs through streamlining data entry and
referrals across partnerships.
The Department plans to build upon program success and expand to areas of the County currently not
served by CHW interventions. With expansion comes the need for additional licenses as the network grows
at a rate faster than previously anticipated. Seven additional vendors, each serving unique and previously
untargeted areas of the County, have been identified through a competitive bid procurement process to
supplement ongoing CHW activities. The related agreements will be brought to your Board for approval at a
later date.
CCS is an integral component as the Department transitions to an outcomes-based payment model,where
invoices can be generated based on deliverables achieved, in future CHW work. Approval of the
recommended action will allow the County to provide new user training and increase the total number of
users in the CCS platform to account for the growing CHW network. Approval will also allow CCS to
collaborate with the Department's ESDM team to customize data collection and design custom reports to
track the unique needs of County residents, a module not included in the current agreement. The
recommended action will also increase the total compensation of agreement No. 22-214 to pay for additional
users, trainings, and services.

1 AMENDMENT NO. # 1 TO SERVICE AGREEMENT
2 This Amendment No. 1 to Service Agreement ("Amendment No.1") is dated
3 March 28, 2023 and is between Care Coordination Systems LLC, a Domestic Limited
4 Liability Company ("Contractor"), and the County of Fresno, a political subdivision of the State of
5 California ("County").
6 Recitals
7 A. On May 17, 2022, the County and the Contractor entered Agreement with Care
8 Coordination Systems, LLC: Community Health Record Integrated Data Sharing Platform, which
9 is County agreement number 22-214 ("Agreement'), for use of the Care Coordination Systems
10 integrated data sharing platform and software training.
11 B. WHEREAS, County requires Sixty (60) additional user licenses for the Community
12 Health Record System provided by Contractor; and
13 C. WHEREAS, each new user requires Community Health Worker Activation Training
14 provided by Contractor; and
15 D. WHEREAS, County requires customization of data collection forms, data mapping,
16 reports, and additional services provided by Contractor; and
17 E. WHEREAS, the annual cost for sixty (60) additional user licenses is Forty-five thousand
18 dollars and 00/100 (45,000.00); and
19 F. WHEREAS, the total cost to train sixty (60) additional users is Ninety thousand dollars
20 and 00/100 (90,000.00); and
21 G. WHEREAS, the total cost to customize data collection forms, data mapping, reports, and
22 additional services is Eight thousand and Five hundred dollars and 00/100 ($8,500.00); and
23 H. WHEREAS, the parties desire to amend the Agreement regarding changes as stated
24 below and restate the Agreement in its entirety.
25 I. The County and the Contractor now desire to amend the Agreement to add sixty(60)
26 additional annual user licenses, one time training for each new user, and customization services
27 as identified in Exhibit A, attached hereto and by this reference incorporated herein; and

1 J. The County and the Contractor now desire to amend the Agreement to increase the total
2 compensation of the Agreement to account for the additional user licenses, training, and
3 customization services.
4 The parties therefore agree as follows:
5 1. In the Specifications Section of the Community Health Record Software License
6 Agreement located on Page Twenty (20) that the paragraph starting with "Community Health
7 Record" and ending with the word "Agreements." be deleted in its entirety and replaced with the
8 following:
9 "Community Health Record. license for a 5-year term, including up to 164 Licensed Users,
10 including invoicing and agency payout, medication reconciliation, patient activation measure
11 screening, real time advanced reporting, benchmarks, data visualization dashboards,
12 HealthBridge.care integration maintenance, user support, and standard system upgrades. In
13 no event shall services performed under this and all Agreements be in excess of One Million
14 One Hundred and Sixty-Nine Thousand Two Hundred and Fifty Dollars and No/100
15 ($1,169,250.00)during the initial term of these Agreements."
16 2. In the Specifications Section of the Community Health Record Software License
17 Agreement located on Page twenty (20) under the Annual Software License Fee section that the
18 paragraph starting with "The Base Annual Fee" and ending with the Number 104." be deleted in
19 its entirety and replaced with the following:
20 "The Base Annual Fee shall be further increased by $750 per year for each Licensed User
21 in excess of 164."
22 3. Appendix A—Service Deliverable of the Training Services Agreement located at the top
23 of page thirty-one (31) is deleted in its entirety and replaced with the following:
24 "Activation Training for Users and Software for all care coordinators, supervisors,
25 operations, and Health Engagement Team members: 7 sessions of up to 27 students each —
26 164 total.

1 4. In the Training Service Agreement located on Page twenty-eight (28) under Section 12.
2 Miscellaneous subparagraph (a) Entire Agreement that the paragraph starting with "This
3 Agreement" and ending with the word "Agreement." be deleted in its entirety and replaced with
4 the following:
5 "This Agreement is the complete and exclusive statement of the agreement between
6 Customer and CCS as it relates to the Training and other subject matter of this Agreement
7 including all pages one through sixty-four (1-64) of all Agreements, and supersedes any
8 proposal or prior agreement, oral or written, and any other communications between the parties
9 relating to the Training and other subject matter of this Agreement."
10 5. The "Fresno County Products and Pricing" attachment of the Agreement located at
11 pages sixty-three through sixty-five (63-65) be deleted in its entirety and replaced with "Exhibit
12 A"which includes pages sixty-three through sixty-four (63-64). Exhibit A is attached and
13 incorporated by this reference.
14 6. When both parties have signed this Amendment No. 1, the Agreement, and this
15 Amendment No. 1 together constitute the Agreement.
16 7. The Contractor represents and warrants to the County that:
17 a. The Contractor is duly authorized and empowered to sign and perform its obligations
18 under this Amendment.
19 b. The individual signing this Amendment on behalf of the Contractor is duly authorized
20 to do so and his or her signature on this Amendment legally binds the Contractor to
21 the terms of this Amendment.
22 8. The parties agree that this Amendment may be executed by electronic signature as
23 provided in this section.
24 a. An "electronic signature" means any symbol or process intended by an individual
25 signing this Amendment to represent their signature, including but not limited to (1) a
26 digital signature; (2) a faxed version of an original handwritten signature; or(3) an
27 electronically scanned and transmitted (for example by PDF document) version of an
28 original handwritten signature.

1 b. Each electronic signature affixed or attached to this Amendment (1) is deemed
2 equivalent to a valid original handwritten signature of the person signing this
3 Amendment for all purposes, including but not limited to evidentiary proof in any
4 administrative or judicial proceeding, and (2) has the same force and effect as the
5 valid original handwritten signature of that person.
6 c. The provisions of this section satisfy the requirements of Civil Code section 1633.5,
7 subdivision (b), in the Uniform Electronic Transaction Act (Civil Code, Division 3, Part
8 2, Title 2.5, beginning with section 1633.1).
9 d. Each party using a digital signature represents that it has undertaken and satisfied
10 the requirements of Government Code section 16.5, subdivision (a), paragraphs (1)
11 through (5), and agrees that each other party may rely upon that representation.
12 e. This Amendment is not conditioned upon the parties conducting the transactions
13 under it by electronic means and either party may sign this Amendment with an
14 original handwritten signature.
15 9. This Amendment may be signed in counterparts, each of which is an original, and all of
16 which together constitute this Amendment.
17 10. The Agreement as amended by this Amendment No. 1 is ratified and continued. All
18 provisions of the Agreement and not amended by this Amendment No. 1 remain in full force and
19 effect.
