1 AMENDMENT ITO AGREEMENT
2 THIS AMENDMENT, hereinafter referred to as Amendment I, is made and entered into this 28th
3 day of February , 2023, by and between the COUNTY OF FRESNO, a Political Subdivision of the
4 State of California, hereinafter referred to as "COUNTY', and each CONTRACTOR to be listed in
5 Revised Exhibit A"List of Contractors" attached hereto and incorporated herein by reference, and
6 collectively hereinafter referred to as "CONTRACTORS'. Reference in this Agreement to party or
7 "parties" shall be understood to refer to COUNTY and each individual CONTRACTOR(S), unless
8 otherwise specified.
9 WHEREAS, the parties entered into that certain Agreement, identified as COUNTY Agreement No.
10 20-015, effective January 1, 2020, whereby CONTRACTORS are qualified and willing to provide such
11 specialty mental health services through telemedicine, as defined in 9 C.C.R. 1810.247, excluding
12 Therapeutic Behavioral Services (TBS), as part of the Mental Health Plan; and
13 WHEREAS, CONTRACTOR Dr. John L. Schaeffer, Inc., DBA American Telepsychiatrists was
14 included in COUNTY Agreement No. 20-015 when it was executed on January 7, 2020. It has updated its
15 "Rates of Reimbursement," which is attached to this Amendment as Revised Exhibit B-2.
16 WHEREAS, CONTRACTOR Thomas Milam MD, Inc. DBA Iris Telehealth Medical Group was
17 included in COUNTY Agreement No. 20-015 when it was executed on January 7, 2020. It has updated its
18 "Rates of Reimbursement," which is attached to this Amendment as Revised Exhibit B-1.
19 WHEREAS, the DBH Director previously added CONTRACTOR LocumTenens.com LLC to
20 COUNTY Agreement No. 20-015, through to her authority to add contractors pursuant to Section 9 of
21 COUNTY Agreement No. 20-015, effective May 18, 2021. Its current "Rates of Reimbursement" and
22 signature page is attached to this Amendment as Exhibit B-4.
23 WHEREAS, the DBH Director previously added CONTRACTOR ExMed, Inc. to COUNTY
24 Agreement No. 20-015, through to her authority to add contractors pursuant to Section 9 of COUNTY
25 Agreement No. 20-015, effective October 16, 2020. Its current"Rates of Reimbursement" and signature
26 page is attached to this Amendment as Exhibit B-5.
27 WHEREAS, the DBH Director previously added CONTRACTOR Dr.Wanted.com LLC to COUNTY
28 Agreement No. 20-015, through to her authority to add contractors pursuant to Section 9 of COUNTY

1 Agreement No. 20-015, effective October 22, 2021. Its current"Rates of Reimbursement" and signature
2 page is attached to this Amendment as Exhibit B-6.
3 WHEREAS, the DBH Director previously added CONTRACTOR AB Staffing Solutions, LLC to
4 COUNTY Agreement No. 20-015, through to her authority to add contractors pursuant to Section 9 of
5 COUNTY Agreement No. 20-015, effective September 21, 2020. Its current "Rates of Reimbursement"
6 and signature page is attached to this Amendment as Exhibit B-7.
7 WHEREAS, all CONTRACTORS have been added to Revised Exhibit A, which is attached to this
8 Amendment.
9 WHEREAS, the parties now desire to amend the Agreement to memorialize these changes as
10 described below.
11 NOW, THEREFORE, for good and valuable consideration, the receipt and adequacy of which is
12 hereby acknowledged, the parties agree as follows:
13 1. That all references in the existing Agreement No. 20-015 to "Exhibit A" shall be deemed
14 references to "Revised Exhibit A", which is attached and incorporated by this reference.
15 2. That all references in existing COUNTY Agreement No. 20-015 to "Exhibit B" shall be
16 deemed references to CONTRACTORS' corresponding Exhibit B sub-part, "Rates of Reimbursement,"
17 as indicated on Revised Exhibit A. Each corresponding Exhibit B sub-part as indicated on Revised
18 Exhibit A is attached and incorporated by this reference.
19 3. The Exhibit B sub-parts described above shall include the signature pages executed by
20 the CONTRACTORS. The Exhibit B sub-parts will be included with and attached to COUNTY
21 Agreement No. 20-015 after execution by the CONTRACTORS. Pursuant to Section 9 of COUNTY
22 Agreement No. 20-015, this Amendment is hereby executed by the COUNTY without notice to or
23 approval of any of the other CONTRACTORS to COUNTY Agreement No. 20-015, as amended.
24 4. That parties agree that upon execution of this Amendment, COUNTY Agreement No. 20-
25 015 is further revised, updated and amended to add CONTRACTOR(S) (1) Traditions Psychology
26 Group, Inc. DBA Traditions Behavioral Health effective October 26, 2020.
27 5. CONTRACTORS hereby agree to all terms of the Agreement, as amended, and agree to
28 be bound by the terms of the Agreement, as amended. CONTRACTORS hereby acknowledge that they

1 have received a complete copy of the Agreement, as amended.
2 6. The parties agree that this Amendment I is sufficient to amend the Agreement; and that
3 upon execution of the Amendment, the Agreement and Amendment I together shall be considered the
4 Agreement.
5 7. The Agreement, as hereby amended, is ratified and continued. All provisions, terms,
6 covenants, conditions, and promises contained in the Agreement and not amended herein shall remain in
7 full force and effect. This Amendment I shall be effective upon execution.
