1 AMENDMENT ITO AGREEMENT
2 THIS AMENDMENT, hereinafter referred to as Amendment I, is made and entered into this 28tn
3 day of February , 2023, by and between the COUNTY OF FRESNO, a Political Subdivision of the
4 State of California, hereinafter referred to as "COUNTY', and each CONTRACTOR to be listed in
5 Revised Exhibit A"List of Contractors" attached hereto and incorporated herein by reference, and
6 collectively hereinafter referred to as "CONTRACTORS'. Reference in this Agreement to party or
7 "parties" shall be understood to refer to COUNTY and each individual CONTRACTOR(S), unless
8 otherwise specified.
9 WHEREAS, the parties entered into that certain Agreement, identified as COUNTY Agreement No.
10 19-200, effective May 7, 2019, whereby CONTRACTORS are qualified and willing to source, screen,
11 present, and coordinate certain logistics for locum tenens psychiatrists; and
12 WHEREAS, CONTRACTOR Jackson & Coker LocumTenens, Inc. was included in COUNTY
13 Agreement No. 19-200 when it was executed effective May 7, 2019. It has updated its "Rates" and
14 signature page, which is attached to this Amendment as Exhibit B-1.
15 WHEREAS, the DBH Director previously added CONTRACTOR LocumTenens.com, LLC to
16 COUNTY Agreement No. 19-200 through her authority to add CONTRACTORS pursuant to Section 16 of
17 COUNTY Agreement No. 19-200, with an effective date of November 16, 2020. Its current"Rates" and
18 signature page is attached to this Amendment as Exhibit B-2.
19 WHEREAS, the DBH Director previously added CONTRACTOR ExMed, Inc. to COUNTY
20 Agreement No. 19-200 through her authority to add CONTRACTORS pursuant to Section 16 of COUNTY
21 Agreement No. 19-200, with an effective date of November 9, 2021. Its current"Rates" and signature
22 page is attached to this Amendment as Exhibit B-3.
23 WHEREAS, the DBH Director previously added CONTRACTOR DrWanted.com, LLC to COUNTY
24 Agreement No. 19-200 through her authority to add CONTRACTORS pursuant to Section 16 of COUNTY
25 Agreement No. 19-200, with an effective date of October 22, 2021. Its current"Rates" and signature page
26 is attached to this Amendment as Exhibit B-4.
27 WHEREAS, the COUNTY now desires to add CONTRACTOR Curative Talent, LLC to COUNTY
28 Agreement No. 19-200. Its current"Rates" and signature page is attached to this Amendment as Exhibit

2 WHEREAS, the COUNTY now desires to add CONTRACTOR Cross Country Staffing, Inc. to
3 COUNTY Agreement No. 19-200. Its current"Rates" and signature page is attached to this Amendment
4 as Exhibit B-6.
5 WHEREAS, the parties now desire to amend the Agreement to memorialize these changes as
6 stated below.
7 NOW, THEREFORE, for good and valuable consideration, the receipt and adequacy of which is
8 hereby acknowledged, the parties agree as follows:
9 1. That all references in the existing Agreement No. 19-200 to "Exhibit A" shall be deemed
10 references to "Revised Exhibit A", which is attached and incorporated by this reference.
11 2. That all references in existing COUNTY Agreement No. 19-200 to "Exhibit B" shall be
12 deemed references to each CONTRACTORS' corresponding Exhibit B sub-part, "Rates," as indicated
13 on Revised Exhibit A. Each corresponding Exhibit B sub-part is attached and incorporated by this
14 reference.
15 3. The parties agree that upon execution of this Amendment, COUNTY Agreement No. 19-
16 200 is further revised, updated and amended to add CONTRACTOR(S) (1) Curative Talent, LLC and
17 (2) Cross Country Staffing, Inc.
18 4. CONTRACTORS hereby agree to all terms of the Agreement, as amended, and agree to
19 be bound by the terms of the Agreement, as amended. CONTRACTORS hereby acknowledge that
20 they have received a complete copy of the Agreement, as amended.
21 5. Each CONTRACTOR'S corresponding Exhibit B sub-part described above shall include
22 the signature pages executed by the CONTRACTORS. The Revised Exhibit B sub-parts will be
23 included with and attached to COUNTY Agreement No. 19-200 after execution by the
24 CONTRACTORS. Pursuant to Section 16 of COUNTY Agreement No. 19-200, this Amendment is
25 hereby executed by the COUNTY without notice to or approval of any of the other CONTRACTORS
26 to COUNTY Agreement No. 19-200, as amended.
27 6. The parties agree that this Amendment I is sufficient to amend the Agreement; and that
28 upon execution of the Agreement and Amendment I together shall be considered the Agreement.

1 7. The Agreement, as hereby amended, is ratified and continued. All provisions, terms,
2 covenants, conditions, and promises contained in the Agreement and not amended herein shall remain in
3 full force and effect. This Amendment I shall be effective upon execution.
