AMENDMENT NO. 1 TO SERVICE AGREEMENT
This Amendment No. 1 ("Amendment")to the Service Agreement(P-20-199)effective as of May 26, 2020
(the"Agreement") is entered into by and between The Mockingbird Society("TMS")and County of Fresno
Department of Social Services ("Fresno DSS"), and is effective as of the date of last signature below (the
"Amendment Effective Date"). All capitalized terms used but not defined in this Amendment have the
meanings set forth in the Agreement.
WHEREAS the parties desire to amend the Agreement to extend the duration of the Agreement on the
terms and conditions set forth in this Amendment.
NOW, THEREFORE, in consideration of foregoing and other good and valuable consideration, the receipt
and sufficiency of which are hereby acknowledged, the parties agree as follows:
1. Fees and Payment. Section 5.1 of the Agreement (Fees and Payment) is amended by adding the
following at the end of the section:
"Commencing January 1, 2023, FRESNO DSS will pay MOCKINGBIRD an annual license fee of
$3,000.00, payable on January 1 of each year."
2. Term. Section 7.1 of the Agreement (Term) is amended to state the Agreement will remain in force
until December 31, 2024.
3. Miscellaneous. The terms of this Amendment will only apply to the Agreement from and following the
Amendment Effective Date. Except as expressly amended by this Amendment, the Agreement will
remain in full force and effect. This Amendment, together with the Agreement as amended by this
Amendment, constitutes the entire agreement between the parties with respect to the subject matter
contained herein, and supersedes all prior and contemporaneous understandings, agreements,
representations, and warranties, both written and oral, with respect to such subject matter.
