1 INTER-DEPARTMENTAL AGREEMENT
2 THIS INTER-DEPARTMENTAL AGREEMENT is made and entered into this 9th day
3 of December 2022 and between the FRESNO COUNTY DEPARTMENT OF PUBLIC
4
HEALTH, hereinafter referred to as "DPH", and FRESNO COUNTY DEPARTMENT OF
5
INTERNAL SERVICES, hereinafter referred to as "INTERNAL SERVICES", both separate
6
7 departments of the County of Fresno.
8 WITNESSETH
9 WHEREAS, DPH has a need for professional purchasing services; and
10 WHEREAS, INTERNAL SERVICES has the responsibility, facilities, and personnel
11 skilled to perform such services.
12 NOW, THEREFORE, in consideration of their mutual covenants and conditions, the
13 parties hereto agree as follows:

I. SERVICES

INTERNAL SERVICES shall provide purchasing services to DPH, in accordance
16
17 with current County policies and procedures. Those purchasing services shall include, but not
18 be limited to, the following:
19 A. Make readily available time of the professional buying staff.
20 B. Reduce any backlog of requisitions, bids, proposals, purchase orders, contracts,
21 and payment documents as quickly as possible and maintain such backlog at a
22 minimum.

C. Explore and develop new methodologies for processing requisitions, bids,
24
proposals, purchase orders, contracts, and payment documents for enhanced
25
26 products and services.
27 D. Provide necessary updates and training to DPH staff as needed or requested,
28 when new processes, forms or systems are developed for County staff use.

1 II. TERM
2 This Inter-Departmental Agreement shall become effective upon execution and
3 remain in effect through the 30th day of June 2023. This Agreement shall continue to
4
automatically renew for successive one-year periods thereafter, unless terminated as
5
provided in Section 3 below.

III. TERMINATION

8 Non-Allocation of funds — The terms of this Inter-Departmental Agreement and the
9 services to be provided thereunder is contingent on the approval of funds by the appropriating
1 o government agency. Should sufficient funds not be allocated, the services may be modified,
11 or this Inter-Departmental Agreement terminated with fifteen (15) days prior written notice
12 given by one party to the other.
13 Without Cause — Under Circumstances other than those set forth above, this Inter-
14
15 Departmental Agreement may be terminated by either party upon the giving of thirty (30) days
advance written notice of an intention to terminate.

17 IV. COMPENSATION
18 DPH agrees to pay INTERNAL SERVICES AND INTERNAL SERVICES agrees to
19 receive compensation for purchasing services provided by INTERNAL SERVICES.
20 INTERNAL SERVICES shall prepare monthly automated journals through the PeopleSoft
21 Financial System. In no event shall payment for services performed under the Inter-
22 Departmental Agreement be in excess of the amount set forth in the Intrafund & Interfund
23
Revenue Form signed by both DPH and INTERNAL SERVICES for the then current fiscal
24
year. For fiscal year 2022-23 that amount is a maximum of One Hundred Two Thousand
25
26 Seven Hundred Seventy-Eight Dollars ($102,778.00) for services to be provided to DPH
27 (56201500). Payment for services will be due on or about the first of each month beginning
28 November 2022 and each month thereafter through the term of this Inter-Departmental

I Agreement. DPH understands it is their obligation to monitor the amounts paid to INTERNAL
2 SERVICES during the term of this Agreement in relation to the maximum amounts payable
3 and to pay for all purchasing services rendered under this Agreement regardless of the stated
4
maximum amounts. It is understood that all expenses incidental to INTERNAL SERVICES'
5
6 performance of services under this Inter-Departmental Agreement shall be borne by
INTERNAL SERVICES.

8 DPH agrees to reimburse INTERNAL SERVICES in arrears, upon receipt of
9 Intrafund & Interfund Revenue Form.
10 V. MODIFICATION
11 Any matters of this Inter-Departmental Agreement may be modified from time to
12 time by the written consent of all the parties without, in any way, affecting the remainder.
13 VI. CONFIDENTIALITY

All Services performed by INTERNAL SERVICES under this Inter-Departmental
15
16 Agreement shall be in strict conformance with all applicable Federal, State of California and/or
17 local laws and regulations relating to confidentiality.
18 VII. NON-ASSIGNMENT
19 Neither party shall assign, transfer, or subcontract this Inter-Departmental
20 Agreement nor their rights or duties under this Inter-Departmental Agreement without the prior
21 written consent of the other party.
22 VIII. RELATIONSHIP

It is understood that this Inter-Departmental Agreement by and between two (2)
24
separate agencies of the County of Fresno is not intended and shall not be construed to
25
26 create a relationship of agent, servant, employee, partnership, joint venture, or association.

2 Agreement as of the day and year first hereinabove written.
