HomeMy WebLinkAboutAgreement A-22-487 Amendment to Agreement with MHS.pdf Agreement No. 22-487 1 AMENDMENT II TO AGREEMENT 2 THIS AMENDMENT, hereinafter referred to as Amendment II, is made and entered into 3 this 25th day of October 12022, by and between the COUNTY OF FRESNO, a 4 Political Subdivision of the State of California, hereinafter referred to as "COUNTY," and Mental Health 5 Systems, Inc., a California Non-Profit Corporation, whose address is 9465 Farnham Street, San 6 Diego, CA 92123 hereinafter referred to as "SUBRECIPIENT." 7 WITNESSETH: 8 WHEREAS, the parties entered into that certain Agreement, identified as COUNTY Agreement 9 No. 19-258, effective June 4, 2019, COUNTY's Amendment I, identified as Agreement No. 19-258-1, 10 effective December 15, 2020 ("Amendment I"), hereinafter referred to collectively as COUNTY's 11 Agreement No. 19-258, for homeless services for COUNTY's Departments of Social Services (DSS); 12 and 13 WHEREAS, COUNTY issued Request for Proposal (RFP) No. 19-053 for bridge emergency 14 shelter services within the County of Fresno and County of Madera; and 15 WHEREAS, SUBRECIPIENT responded to said RFP and was selected to provide services in 16 accordance with the RFP and SUBRECIPIENT's submitted response; and 17 WHEREAS, the COUNTY, continues to have a significant population of homeless individuals in 18 need of services; and 19 WHEREAS, both parties now desire to amend Agreement No. 19-258 regarding changes as 20 stated below. 21 NOW, THEREFORE, in consideration of their mutual promises, covenants and conditions, 22 hereinafter set forth, the sufficiency of which is acknowledged, the parties agree as follows: 23 1. That the existing COUNTY Agreement No. 19-258, Page One (1), Section One (1) 24 beginning with Line Twenty-One (1), with the number One 1" and ending on Page Three (3), Line 25 Eleven (11) with the word "DSS," as amended by Amendment I, Page Two (2), Line Nine (9) ending on 26 Page Four (4), Line Nine (9) be deleted and the following inserted in its place: 27 111. OBLIGATIONS 28 A. SUBRECIPIENT shall perform all services set forth in Revised Exhibit A-1, 1 - COUNTY OF FRESNO Fresno,CA I Summary of Services, attached hereto and by this reference incorporated herein. 2 B. SUBRECIPIENT shall provide services pursuant to the staffing pattern and 3 program expenses detailed in Revised Exhibit B-1, Compensation, attached hereto and by this 4 reference incorporated herein. 5 C. SUBRECIPIENT shall maintain membership in the FMCoC and participate in 6 Coordinated Entry throughout the term of this Agreement, as described in Revised Exhibit A-1. If, for 7 any reason, this status is not maintained, the COUNTY may terminate this Agreement pursuant to 8 Section Three (3) of this Agreement. 9 D. COUNTY, as the Administrative Entity for HEAP grant funds awarded to the 10 FMCoC, has entered into an agreement with the State of California for HEAP funding (Agreement No. 11 18-HEAP-0027), a copy of which is attached hereto as Exhibit C and is incorporated herein by this 12 reference. Services provided by SUBRECIPIENT under this Agreement shall be funded in part with 13 HEAP funding and, therefore, SUBRECIPIENT shall be aware of, agree to, and comply with all State 14 requirements governing the use of HEAP funds; and all conditions in Exhibit C. Failure to comply with 15 these requirements and conditions may result in termination of this Agreement pursuant to Section 16 Three (3) of this Agreement. 17 E. COUNTY, as the Administrative Entity for CESH-1 grant funds awarded to 18 FMCoC, has entered into an agreement with the State of California for CESH funding (Agreement No. 19 19-452), a copy of which is attached hereto as Exhibit D and is incorporated herein by this reference. 20 Services provide by SUBRECIPIENT under this Agreement shall be funded in part with CESH funding 21 allocated to the COUNTY and, therefore, SUBRECIPIENT shall be aware of, agree to, and comply with 22 all State requirements governing the use of CESH funds; and all conditions in Exhibit D. Failure to 23 comply with these requirements and conditions may result in termination of this Agreement pursuant to 24 Section Three (3) of this Agreement. 25 F. COUNTY has entered into an agreement for HHAP-1 grant funds awarded to 26 COUNTY with the State of California for HHAP funding (Agreement No. 20-HHAP-00096), a copy of 27 which is attached hereto as Exhibit E and is incorporated herein by this reference. Services provided by 28 SUBRECIPIENT under this Agreement shall be funded in part with HHAP funding allocated to the - 2 - COUNTY OF FRESNO Fresno,CA I COUNTY and, therefore, SUBRECIPIENT shall be aware of, agree to, and comply with all State 2 requirements governing the use of HHAP funds; and all conditions in Exhibit E. Failure to comply with 3 these requirements and conditions may result in termination of this Agreement pursuant to Section 4 Three (3) of this Agreement. 5 G. COUNTY, as the Administrative Entity for HHAP-1 grant funds awarded to 6 FMCoC, has entered into an agreement with the State of California for HHAP funding (Agreement No. 7 20-HHAP-00097), a copy of which is attached hereto as Exhibit F and is incorporated herein by this 8 reference. Services provided by SUBRECIPIENT under this Agreement shall be funded with HHAP 9 funding, and therefore, SUBRECIPIENT shall be aware of, agree to, and comply with all State 10 requirements governing the use of HHAP funds; and all conditions in Exhibit F. Failure to comply with 11 these requirements and conditions may result in the termination of this Agreement pursuant to Section 12 Three (3) of this Agreement. 13 H. COUNTY anticipates entering into an agreement with the State of California for 14 HHAP-3 funding. Upon entering into such an agreement with the State, COUNTY will provide written 15 notice to the SUBRECIPIENT, and services provided by SUBRECIPIENT under this Agreement shall 16 be funded, in part, with HHAP-3 funding, and therefore, SUBRECIPIENT shall be aware of, agree to, 17 and comply with all applicable State requirements governing the use of HHAP-3 funds. Should the 18 COUNTY and the State not enter into a HHAP-3 funding Agreement, the COUNTY will provide 19 SUBRECIPIENT written notice and the parties will negotiate an amendment to this Agreement to 20 reduce the compensation payable under this Agreement. 21 2. That the existing COUNTY Agreement No. 19-258, Page Three (3), Section Two (2) 22 beginning with Line Twelve (12), with the number Two "2" and ending on Page Three (3), Line 23 Fourteen (14) with the year "2021," as amended by Amendment I, Page Four (4), Line Thirteen (13) 24 through Line Eighteen (18) be deleted and the following inserted in its place: 25 "2. TERM 26 This Agreement shall be effective on June 4, 2019 and terminates on October 31, 2023." 27 3. That the existing COUNTY Agreement No. A-19-289, Page Four (4), Section Four (4) 28 beginning with Line Eight (8), with the number 'A" and ending on Page Five (5), Line Ten (10) with the — 3 — COUNTY OF FRESNO Fresno,CA I word "Agreement," as amended by Amendment I, Page Four (4), Line Nineteen (19) through Page Five 2 (5), Line Twenty-Five (25) be deleted and the following inserted in its place: 3 "4. COMPENSATION 4 The COUNTY agrees to pay, and the SUBRECIPIENT agrees to receive, compensation 5 for the performance of its services under this Agreement as described in Revised Exhibit B-1, to this 6 Agreement, titled "Compensation." 7 The maximum compensation payable to the SUBRECIPIENT under this Agreement is 8 Two Million, Nine Hundred Thirty Thousand, Nine Hundred Eighty-Nine and No/100 Dollars 9 ($2,930,989). In no event shall services performed under this Agreement exceed One Million, Three 10 Hundred Forty-Four Thousand, Eight Hundred Four and No/100 Dollars ($1,344,804) for the period of 11 June 4, 2019 through and including June 30, 2021; In no event shall services performed under this 12 Agreement exceed Two Hundred Eighty Thousand, Seven Hundred Seventy and No/100 Dollars 13 ($280,770) for the period of July 1, 2021 through and including November 30, 2021; In no event shall 14 services performed under this Agreement exceed Six Hundred Seventeen Thousand, Six Hundred 15 Ninety-Three and No/100 Dollars ($617,693) for the period of December 1, 2021, to October 31,2022; 16 In no event shall services performed under this Agreement exceed Six Hundred Eighty-Seven 17 Thousand, Seven Hundred Twenty-Two and No/100 Dollars ($687,722) for the period of November 1, 18 2022, to October 31, 2023 as set forth in Revised Exhibit B-1. 19 The services provided by the SUBRECIPIENT under this Agreement are funded in whole 20 or in part by the State of California and the United States Federal government. In the event that funding 21 for these services is delayed by the State Controller or the Federal government, COUNTY may defer 22 payment to SUBRECPIENT. The amount of the deferred payment shall not exceed the amount of 23 funding delayed to the COUNTY. The period of time of the deferral by COUNTY shall not exceed the 24 period of time of the State Controller's or Federal government's delay of payment to COUNTY plus 25 forty-five (45) days. 26 The SUBRECIPIENT acknowledges that the COUNTY is a local government entity and 27 does so with notice that the COUNTY's powers are limited by the California Constitution and by State 28 law, and with notice that the SUBRECIPIENT may receive compensation under this Agreement only for - 4 - COUNTY OF FRESNO Fresno,CA I services performed according to the terms of this Agreement and while this Agreement is in effect, and 2 subject to the maximum amount payable under this section. The SUBRECIPIENT further 3 acknowledges that COUNTY employees have no authority to pay the SUBRECIPIENT except as 4 expressly provided in this Agreement." 5 4. That the following sections are being added to existing County Agreement No. 19-258, 6 beginning on Page Eighteen (18), Line Ten (10), just prior to Section Thirty-Three (Entire Agreement), 7 as Sections Thirty-Four (34), Thirty-Five (35), Thirty-Six (36), Thirty-Seven (37), Thirty-Eight (38), Thirty- 8 Nine (39), Forty (40), and Forty-One (41): 9 "34. GRIEVANCES 10 SUBRECPIENT shall establish procedures for handling client complaints and/or 11 grievances. Such procedures will include provisions for informing clients of their rights to a State 12 Hearing to resolve such issues when appropriate. 13 35. INTERPRETATION OF LAWS AND REGULATIONS 14 COUNTY reserves the right to make final interpretations or clarifications on issues 15 relating to Federal and State laws and regulations, to ensure compliance. 16 36. COMPLIANCE WITH APPLICABLE LAWS AND REGULATIONS 17 SUBRECPIENT, its officers, consultants, subcontractors, agents and employees shall 18 comply with all applicable State, Federal and local laws, regulations, and executive orders, as well as 19 Federal policies, procedures, and directives governing projects that utilize State and Federal Funds. 20 This includes laws, rules and regulations that pertain to construction, health and safety, labor, fair 21 employment practices, environmental protection, equal opportunity, fair housing, and all other matters 22 applicable or related to SUBRECPIENT's services, the SUBRECPIENT, its subcontractors, and all 23 eligible activities. 24 SUBRECPIENT shall be responsible for obtaining all permits, licenses, and approvals required 25 for performing any activities under this Agreement, including those necessary to perform design, 26 implementation, operation, and maintenance of the activities. SUBRECPIENT shall be responsible for 27 observing and complying with any applicable federal, state, and local laws, rules, and regulations 28 affecting any such work, specifically those including, but not limited to, environmental protection, — 5 — COUNTY OF FRESNO Fresno,CA 1 procurement, and safety laws, rules, regulations, and ordinances. SUBRECIPIENT shall provide copies 2 of permits and approvals to COUNTY upon request. 3 37. RECORDS 4 A. Record Establishment and Maintenance 5 SUBRECPIENT shall establish and maintain records in accordance with those 6 requirements prescribed by COUNTY, with respect to all matters covered by this Agreement. 7 SUBRECPIENT shall retain all fiscal books, account records and client files for services performed 8 under this Agreement for at least five (5) years from date of final payment under this Agreement or until 9 all State and Federal audits are completed for that fiscal year, whichever is later. 10 B. Cost Documentation 11 1) SUBRECIPIENT shall submit to COUNTY within ten (10) calendar days 12 following the end of each month, all fiscal and program reports for that month. SUBRECIPIENT shall 13 also furnish to COUNTY such statements, records, data and information as COUNTY may request 14 pertaining to matters covered by this Agreement. In the event that SUBRECPIENT fail to provide 15 reports as provided herein, it shall be deemed sufficient cause for COUNTY to withhold payments until 16 compliance is established. 17 2) All costs shall be supported by properly executed payrolls, time records, 18 invoices, vouchers, orders, or any other accounting documents pertaining in whole or in part to this 19 Agreement and they shall be clearly identified and readily accessible. The support documentation 20 must indicate the line budget account number to which the cost is charged. 21 3) COUNTY shall notify SUBRECPIENT in writing within thirty (30) days of any 22 potential State or Federal audit exception discovered during an examination. Where findings indicate 23 that program requirements are not being met and State or Federal participation in this program may be 24 imperiled in the event that corrections are not accomplished by SUBRECIPIENT within thirty (30) days 25 of receipt of such notice from COUNTY, written notification thereof shall constitute COUNTY'S intent to 26 terminate this Agreement. 2 7 1H 28 1H — 6 — COUNTY OF FRESNO Fresno,CA I C. Service Documentation 2 SUBRECIPIENT agrees to maintain records to verify services under this Agreement 3 including names and addresses of clients served, if applicable, and the dates of service and a 4 description of services provided on each occasion. These records and any other documents pertaining 5 in whole or in part to this Agreement shall be clearly identified and readily accessible. 6 38. CHILD SUPPORT COMPLIANCE ACT 7 If this Agreement includes State funding in excess of$100,000, the SUBRECIPIENT 8 acknowledges in accordance with Public Contract Code 7110, that: 9 A. SUBRECIPIENT recognizes the importance of child and family support 10 obligations and shall fully comply with all applicable state and federal laws relating to child and family 11 support enforcement, including, but not limited to, disclosure of information and compliance with 12 earnings assignment orders, as provided in Chapter 8 (commencing with section 5200) of Part 5 of 13 Division 9 of the Family Code; and 14 B. SUBRECIPIENT to the best of its knowledge is fully complying with the earnings 15 assignment orders of all employees and is providing the names of all new employees to the New Hire 16 Registry maintained by the California Employment Development Department. 17 39. SUBRECIPIENT'S NAME CHANGE 18 An amendment, assignment, or new agreement is required to change the name of 19 SUBRECIPIENT as listed on this Agreement. Upon receipt of legal documentation of the name change 20 COUNTY will process the agreement. Payment of invoices presented with a new name cannot be paid 21 prior to approval of said agreement. 22 40. ELECTRONIC SIGNATURE 23 The parties agree that this Agreement may be executed by electronic signature as 24 provided in this section. An "electronic signature" means any symbol or process intended by an 25 individual signing this Agreement to represent their signature, including but not limited to (1) a digital 26 signature; (2) a faxed version of an original handwritten signature; or (3) an electronically scanned and 27 transmitted (for example by PDF document) of a handwritten signature. Each electronic signature 28 affixed or attached to this Agreement (1) is deemed equivalent to a valid original handwritten signature — 7 — COUNTY OF FRESNO Fresno,CA I of the person signing this Agreement for all purposes, including but not limited to evidentiary proof in 2 any administrative or judicial proceeding, and (2) has the same force and effect as the valid original 3 handwritten signature of that person. The provisions of this section satisfy the requirements of Civil 4 Code section 1633.5, subdivision (b), in the Uniform Electronic Transaction Act (Civil Code, Division 3, 5 Part 2, Title 2.5, beginning with section 1633.1). Each party using a digital signature represents that it 6 has undertaken and satisfied the requirements of Government Code section 16.5, subdivision (a), 7 paragraphs (1) through (5), and agrees that each other party may rely upon that representation. This 8 Agreement is not conditioned upon the parties conducting the transactions under it by electronic means 9 and either party may sign this Agreement with an original handwritten signature. 10 41. DISPUTES 11 In the event of any dispute, claim, question, or disagreement arising from or relating to 12 this agreement or the breach thereof, the parties hereto shall use their best efforts to settle the dispute, 13 claim, question, or disagreement. To this effect, they shall consult and negotiate with each other in 14 good faith and, recognizing their mutual interests, attempt to reach a just and equitable solution 15 satisfactory to both parties. During this time, the parties will continue meeting their contract 16 responsibilities. If the parties do not reach such solution within a period of 60 days, then the parties 17 may take whatever action is available to them by law." 18 5. That Section Thirty-Three (33) (ENTIRE AGREEMENT) of the existing County 19 Agreement No. 19-258, beginning with Page Eighteen (18), Line Ten (10), with the number"33" and 20 ending on Page Eighteen (18), Line Fourteen (14) with the word "Agreement", shall remain as the last 21 section of the agreement and be renumbered sequentially to read as Section Forty-Two (42) of the 22 amended Agreement. 23 6. That all references in existing COUNTY Agreement No. 19-258 to Revised Exhibit A shall 24 be changed to read "Revised Exhibit A-1," where appropriate, which is attached hereto and 25 incorporated herein by this reference. 26 7. That all references in existing COUNTY Agreement No. 19-258 to Revised Exhibit B shall 27 be changed to read "Revised Exhibit B-1," where appropriate, which is attached hereto and 28 incorporated herein by this reference. — 8 — COUNTY OF FRESNO Fresno,CA 1 8. When both parties have signed this Amendment 11, the Agreement, Amendment I and this 2 Amendment 11 together constitute the Agreement. 3 9. The SUBRECIPIENT represents and warrants to the County that: 4 a. The SUBRECIPIENT is duly authorized and empowered to sign and perform its 5 obligations under this amendment. 6 b. The individual signing this Amendment on behalf of the SUBRECIPIENT is duly 7 authorized to do so and his or her signature on this Amendment legally binds the SUBRECIPIENT to 8 the terms of this Amendment. 9 10. The parties agree that this Amendment may be executed by electronic signature as 10 provided in this section. 11 a. COUNTY and SUBRECIPIENT agree that this Amendment II is sufficient to amend — 9 — COUNTY OF FRESNO Fresno,CA I Agreement No. A-19-258 and, that upon execution of this Amendment 11, the original Agreement, 2 Amendment I and this Amendment II, shall together be considered the Agreement. 3 The Agreement as previously amended and as amended by this Amendment II is ratified and 4 continued. Clinton Avenue, Fresno, CA 93705 TELEPHONE: (858) 573-2600 CONTACT: Wendy Broughton, Chief Operating Officer EMAIL: wbroughton@mhsinc.org CONTRACT: Bridge Emergency Housing Services CONTRACT TERM: June 4, 2019 to June 30, 2021 July 1, 2021 to November 30, 2021 December 1, 2021 to October 31, 2022 November 1, 2022 to October 31, 2023 SUMMARY OF SERVICES Mental Health Systems (MHS) shall provide Bridge Emergency Housing services, including 24- hour emergency housing that offers low-barrier access to dormitory or private accommodations with on-site, housing-focused services. MHS will provide thirty-three (33) Bridge emergency housing beds to homeless individuals. Bridge emergency housing serves as short-term housing when a household has been offered a permanent housing intervention, but the permanent housing opportunity is still being arranged. The goal of the program is to place households into safe and secure shelter while making the necessary preparations for the household to enter into permanent housing. This service will ensure that those preparing to enter permanent housing are easily located and are receiving the necessary services to access permanent housing in a timely manner. Services will be housing-focused and highly integrated with the permanent housing provider. STAFFING Bridge Emergency Housing staffing provided by MHS must meet the minimum staffing levels outlined in the Budget Summary (Exhibit B) of this agreement. Housing Specialist and Case Manager staffing levels may be adjusted beyond the minimum requirement to meet client needs provided those adjustments are approved by the County and supported by the available budget. TARGET POPULATION The target population of Bridge Emergency Housing services is individuals or families that are experiencing homelessness or are at imminent risk of homelessness in Fresno and Madera Counties. BRIDGE EMERGENCY HOUSING SERVICES 1. Emergency Housing: Operate 33 emergency housing beds for households that have been assessed for permanent housing utilizing the Fresno Madera Continuum of Care Revised Exhibit A-1 Page 2 of 3 (FMCoC) Coordinated Entry System (CES). Emergency housing beds will be restricted to referrals from the FMCoC CES and Triage Centers. Basic services will include meals. The maximum length of stay is six (6) months, subject to exceptions for documented situations. 2. Case Management: Provide services and activities necessary to assist participants prepare for permanent housing placement and to achieve long-term housing stability. Services include, but are not limited to the following: a. Development of a housing plan based on each household's unique circumstances; b. Coordination of services with permanent housing providers to ensure necessary appointments are made and that the participants attend; c. Provision of supports necessary to foster self-sufficiency; and d. Linkage to community resources to increase benefits or employment income. 3. Diversion Pre-Screening: If appropriate, assess guests who present for homeless services at the Bridge Housing facility for potential Diversion services, and if deemed eligible, refer immediately to Diversion program staff. CONTRACTOR RESPONSIBILITIES • MHS shall provide annual Civil Rights training to their staff in the beginning of every calendar year and will provide relevant proof to the County of Fresno by April 1. • Adhere to a low-barrier shelter policy. Bridge housing must be open to all eligible applicants regardless of sexual orientation, marital status, or gender identification. Guests must be allowed to enter with their partners, possessions, and pets. • Register all guests upon their arrival to the program. • Allow for 24-hour guest access and not exclude people because of intoxication or mental illness. • Accept referrals from the FMCoC CES and Triage Centers. • MHS shall assume responsibility for providing case management and navigation services for all participants once they have been placed in the Bridge Housing program. MHS shall coordinate with the referring agency to collect needed background information and ensure a smooth transition from the previous case management or navigation service provider. • Distribute a weekly Bridge Housing bed availability report to the FMCoC and the Triage Centers. MHS will engage in daily, ongoing collaboration and communication with the FMCoC and the Triage Centers to ensure that they are aware of available Bridge Housing beds. • The Bridge Housing facility will be a Coordinated Entry access point, providing information and linkage to appropriate homeless services through a warm hand-off to the FMCoC CES. • In the event the number of referrals exceeds the number of available beds, MHS will prioritize referrals using the following criteria: unsheltered homelessness, length of homelessness, composition of household, medical conditions, and any other relevant factors. • The Bridge Housing facility must be staffed 24 hours a day, 7 days a week. • Maintain a minimum staff-to-client ratio of 1:30 during daytime hours. Revised Exhibit A-1 Page 3 of 3 • Enter guest information into the Homeless Management Information System (HMIS) in compliance with HEAP, CESH, HHAP and HUD data collection, management, and reporting standards. Client HMIS data must be made available for the California Business, Consumer Services and Housing Agency statewide data system or warehouse. • Adhere to a "Good Neighbor" policy, whereby MHS will secure and maintain the perimeter of the Bridge Housing facility, keeping clear of any nuisances and code violations. • Comply with all shelter and housing habitability standards as identified in 24 CFR 576.403 PERFORMANCE OUTCOMES MHS shall provide complete and accurate monthly activity reports to the County of Fresno, in a report format approved by the County by the 10th of each month. MHS shall meet the following outcomes: • A minimum of 90% bed utilization as measured by HMIS. • Provide Bridge emergency housing services for a minimum of 66 unduplicated participants annually. • A minimum of 65% of participants will be connected to a safe exit, as defined by one of the following destinations: rental with or without subsidy, permanent shared-living arrangement with family or friends, drug treatment facility, or psychiatric treatment facility. • Participants will be placed in permanent housing (or other safe exit) within 6 months of program entry.
