HomeMy WebLinkAboutJensen Project Specific Supplemental Agreement.pdf PROJECT SPECIFIC SUPPLEMENT AGREEMENT 1 (Pursuant to Master Dual Jurisdiction Cooperative Agreement) 2 3 This Project Specific Supplement Agreement("PSS") is made and entered into this 4 3 J day of 0L45�f20 J , by and between the City of Fresno, a municipal corporation 5 ("City"), and the County of Fresno, a political subdivision of the State of California 6 7 ("County") (collectively, the "Parties"), pursuant to that certain Master Dual Jurisdiction 8 Cooperative Agreement dated September 10, 2019, (the "Master Agreement"). 9 RECITALS: 10 A. City and County are parties to the Master Agreement, which is incorporated herein 11 by this reference. All defined terms not otherwise defined herein, shall have the 12 13 same meaning provided in the Master Dual Jurisdiction Cooperative Agreement. 14 B. Pursuant to the Master Agreement, the Parties generally will enter into a Project 15 Specific Supplement Agreement for each individual discrete dual jurisdictional 16 Project. 17 18 C The City and the County are each the lead agency on a different construction 19 project located on Jensen Avenue. The County's construction project consists of 20 two separately funded segments that will be constructed together by the County; 21 while the City's construction project consists of one separately funded segment 22 that will be constructed by the City. 23 24 D. The County's construction project consists of the segment of West Jensen Avenue 25 between South Fig/ MLK and South Fruit Avenues (hereinafter the "Fig/MLK to 26 Fruit Segment") which is located across City/County jurisdictional boundaries, with 27 eleven percent (11%) within the jurisdiction of County and eighty-nine percent 28 1 1 (89%) within the jurisdiction of City as shown on "Exhibit A-V hereto and the 2 segment of West Jensen Avenue between South Fruit and South West Avenues 3 (hereinafter the "Fruit to West Segment") which is located across City/County 4 jurisdictional boundaries, with forty-three percent (43%) within the jurisdiction of 5 County and fifty-seven percent (57%) within the jurisdiction of City as shown on 6 7 "Exhibit A-2" hereto. Both segments include road reconstruction consisting of hot 8 mix asphalt, base, striping, and signage. Existing manhole frames/covers and 9 water valve lids will be adjusted to finish grade. Eight-foot wide paved shoulders 10 will be reconstructed for the Fruit to West Segment. The Fig/MLK to Fruit Segment 11 will be widened to accommodate bike lanes and parking on the north side of the 12 13 road and an eight-foot paved shoulder on the south side of the road. Curb ramps 14 will be replaced along the north side of Jensen Avenue to meet current Americans 15 with Disabilities Act standards. 16 E. The City's construction project consists of the segment of West Jensen Avenue 17 between South Cornelia Avenue and South Chateau Fresno Avenue (hereinafter 18 19 the "Cornelia to Chateau Fresno Segment") which is located across City/County 20 jurisdictional boundaries, with thirty-six percent (36%) within the jurisdiction of the 21 County and sixty-four percent (64%) within the jurisdiction of the City as shown on 22 "Exhibit A-Y hereto. The project consists of asphalt rehabilitation consisting of a 23 24 combination of Full-Depth Reclamation and grind and overlay. The project will 25 include striping, and signage. Existing manhole frames/covers will be adjusted to 26 finish grade. Four-foot wide shoulders will be included for areas within the County's 27 jurisdiction. 28 2 1 F. City and County desire to complete the improvements and work within the projects' 2 limits. The County's and the City's construction projects outlined in Recitals C, D 3 & E are collectively referred to as "the Projects," herein. 4 G. City and County now wish to establish the conditions specifically applicable to the 5 Projects and under which the Projects will be completed. 6 7 NOW, THEREFORE, in consideration of the mutual acknowledgments, covenants, 8 and conditions herein contained, it is hereby agreed as follows: 9 1. Recitals. Each and all of the foregoing recitals of background facts are 10 incorporated herein. 11 2, Master Agreement. Unless otherwise noted herein, all applicable terms and 12 13 provisions contained in the Master Agreement shall apply to these segments of the 14 Projects. 15 3. Lead Agency. The Lead Agency shall be the County for the construction of the 16 Fig/MLK to Fruit and Fruit to West segments of the Projects. The Lead Agency 17 18 shall be the City for the construction of the Cornelia to Chateau Fresno segment 19 of the Projects. 20 4. Participating Agency. The Participating Agency for the Fig/MLK to Fruit and Fruit 21 to West segments of the Projects shall be the City of Fresno. The Participating 22 Agency for Cornelia to Chateau Fresno segment of the Projects shall be the 23 24 County of Fresno. 25 5. Engineer's Estimate. Preliminary Engineer's Estimates and the most recent 26 Federal Transportation Improvement Program (FTIP) obligations and Federal 27 Highway Administration Authorization to Proceed (E-76) for each project are 28 3 attached hereto as Exhibits B-1, B-2 and B-3 and are incorporated herein by this 1 2 reference. Exhibits B-1, B-2 and B-3 may be revised by the Parties at any time, by 3 written approval of both respective Directors, to reflect the estimated costs of 4 modifications and refinements to the Projects. 5 6. Jurisdictional Cost Share. The primary anticipated funding sources for each of 6 7 the Projects is the Federal Surface Transportation Block Grant (STBG) Program 8 and Regional Surface Transportation Program (RSTP). For the Preliminary 9 Engineering (PE) phases for each segment, each jurisdiction will pay its share of 10 the local match or Agency programmed Federal funding (i.e. lifeline, Targeted 11 Performance Program (TPP), or Toll Credits) based on the jurisdictional cost 12 13 sharing in proportion to the respective percentages of jurisdictional responsibilities 14 identified in Recitals D and E above. For the right-of-way phase, which is only on 15 the Fig/MLK to Fruit Segment, each agency will pay the entire local match or 16 Agency programmed Federal funding (i.e. lifeline, TPP, or Toll Credits) for right-of- 17 18 way acquired in its jurisdiction, while equally splitting the local match for right-of- 19 way support costs. For the Construction phase of each segment, each jurisdiction 20 shall be responsible for its respective share of the local match or Agency 21 programmed Federal funding (i.e. lifeline, TPP, or Toll Credits) based on the 22 jurisdictional cost sharing defined herein. It is anticipated that the sum balance of 23 24 Participating Agency shares of costs for the Projects will not result in a substantial 25 net total share of cost for either party. During closeout for the last segment of the 26 Projects, the actual construction costs for the Projects will be used to calculate 27 each party's total share of costs, and the party with the higher total share of costs 28 4 1 will pay the difference between the parties'total shares, in order to bring the parties 2 into balance. If at the close of the Projects, costs for any segments are lower than 3 anticipated, the Lead Agency will maximize reimbursement ratios and reallocate 4 any unused Federal funds, excluding Agency programmed Federal lifeline or TPP 5 funds, from any phase to another phase, which may reduce the Participating 6 7 Agency's share of costs. If there are any non-participating Federal costs, they will 8 be divided according to each agency's share, unless the costs can be directly 9 attributable solely to one agency or the other. As shown in Exhibit B, the Fig/MLK 10 to Fruit and Fruit to West segments have Utility Relocations with non-participating 11 bid items that will be paid for under separate utility agreements between the 12 13 County and the City of Fresno Public Utilities Division. Each Party shall be 14 responsible for the actual costs of its respective obligations, as initially identified in 15 the Preliminary Engineer's Estimate, and as revised pursuant to Section 5 above 16 once the actual construction costs have been finally determined. 17 18 7. Special Terms. The parties agree that the following special or specific terms shall 19 apply to the performance of the Projects: Each Lead Agency will include 20 Participating Agency staff in pre-construction meetings, and coordinate with 21 Participating Agency staff for material submittal review and approval. City and 22 County staff will concurrently review and approve all Traffic Control Plans. Final 23 24 as-built drawings will be created by the Lead Agency and provided to the 25 Participating Agency. 26 8. Assignment. Neither Party shall assign, transfer, or sub-contract this Agreement, 27 nor any of its respective rights or duties hereunder, without the written consent of 28 5 1 the other Party. 2 9. Waiver. Waiver of any breach of this Agreement by any party hereto shall not 3 constitute a continuing waiver or a waiver of any breach of the same or another 4 provision of this Agreement. 5 10. Counterparts. This Agreement may be executed in one or more counterparts, 6 7 each of which when executed will be deemed to constitute one and the same 8 instrument and agreement. 9 11. Severable. The provisions of this Agreement are severable. The invalidity or 10 unenforceability of any one provision of this Agreement shall not affect the other 11 provisions. 12 13 12. Amendment. This Agreement may be modified only by written instrument 14 executed by duly authorized representatives of both City and County. 15 13. Entire Agreement.
