Approve and authorize the Chairman to execute Amendment No. 19-10323, A01 with the California Department of Public Health Nutrition Education and Obesity Prevention Branch Supplemental Nutrition Assistance Program-Education,for the CalFresh Healthy Living Program, extending the term by one year from October 1,2022 to September 30, 2023 and increasing the maximum by$1,786,482 to a total of$7,145,928; 2. There is no increase in Net County Cost associated with the recommended actions as the costs are fully funded by the Nutrition Education and Obesity Prevention (NEOP) Branch Supplemental Nutrition Assistance Program-Education (SNAP-Ed)grant provided by the California Department of Public Health (CDPH).Approval of the first recommended action will extend the term of the CalFresh Healthy Living Program (CalFresh) grant by one year with additional funding to allow the CalFresh program to continue providing nutrition education activities and interventions to low-income County residents. Approval of the second recommended action will extend the term by one year and increase the maximum to allow Fresno County Superintendent of Schools (FCSS)to continue providing school wellness activities through FFY 2022-23. Approval of the third recommended action with California Health Collaborative (CHC)will extend the term by one year and modify the budget to add a new bilingual part-time staff position, with no change to the maximum compensation. Approval of the last recommended action with California State University (CSU), Fresno Foundation through its Central Valley Health Policy Institute will extend the term by one year to allow CSU Fresno Foundation to continue providing comprehensive evaluation education and obesity prevention services for the NEOP CalFresh Program, with no change to the maximum compensation.This County of Fresno page 1 File Number.22-0842 File Number:22-0842 item is countywide. ALTERNATIVE ACTION(S): Should your Board not approve the recommended actions, the Department would be unable to fund the NEOP Program and its related subcontracts for the additional extension year which could impact the completion of required CalFresh grant activities and put the program at risk for non-compliance with the CDPH. FISCAL IMPACT: There is no increase in Net County Cost associated with the recommended actions. The first recommended action will increase the NEOP CalFresh grant maximum by$1,786,482 for FFY beginning October 1, 2022 through September 30, 2023; $7,145,928 for the term. This increase will cover contractual costs, staffing, services, and supplies in support of program activities and interventions. The total cost for the second recommended action with FCSS is $336,500 for FFY 2022-23; $2,229,000 for the term. The total cost for the third recommended action with CHC is $311,603 for FFY 2022-23; $1,558,015 for the term. The total cost for the fourth recommended action with CSU Fresno Foundation is $108,000 for FFY 2022-23; $540,000 for the term. Sufficient appropriations and estimated revenues are included in the Department's Org 5620 FY 2022-23 Adopted Budget. DISCUSSION: On September 24, 2019, your Board approved the 2019-2022 NEOP SNAP-Ed CalFresh revenue agreement to allow the Department to support nutrition education and obesity prevention activities and interventions for low-income County residents.Approval of the first recommended action will extend the term of the NEOP CalFresh grant agreement one year with additional funding to ensure that by September 30, 2023, Fresno NEOP will have: • Provided individual direct educational strategies to promote healthy eating, food resource management, and/or physical activity to 15,246 CalFresh eligible residents in Fresno; • Work with and/or support 43 partners and 7 coalitions in support of increased healthy eating and physical activity behavior and access; • Work in 30 sites to engage the CalFresh community in program planning and implementation, and 15 sites will put sustainability measures in place to ensure changes to support healthy eating and physical activity are continued. On December 13, 2016, your Board approved Agreement No. 16-698 with FCSS to provide nutrition education activities in classrooms and afterschool programs in targeted low-income County communities. On June 20, 2017, your Board approved First Amendment No. 16-698-1 to increase the maximum to expand the school wellness services. On May 12, 2020, your Board approved Second Amendment No. 16-698-2 to revise the scope of work to increase community training events and redistribute budget line items to correspond with the revised scope of work. On August 10, 2021, your Board approved Third Amendment No.16-698-3 to extend the term and increase the maximum by$336,500 to continue providing the school wellness activities during COVID-19 pandemic. On December 14, 2021, your Board approved Forth Amendment No. A-21-543 to revise the budget to offset FCSS salary increases without increasing the maximum compensation. Approval of the second recommended action will extend the term by one year and increase the funding to ensure FCSS will continue to provide and complete the same school wellness activities that were delayed due to the COVID-19 pandemic closures to public schools that started in March 2020. On September 24, 2019, your Board approved Agreement No.A-19-473 with CHC for healthy retail, and healthcare clinic and hospital obesity prevention services. Approval of the third recommended action will allow CHC to continue to provide the healthy retail activities with local retail vendors and complete the County of Fresno page 2 File Number:22-0842 File Number:22-0842 obesity prevention activities with local healthcare clinics and hospitals that were delayed due to COVID-19 business closures and the restrictions on how businesses could operate moving forward. On February 26, 2019, your Board approved Agreement No. A-19-099 with CSU, Fresno Foundation, for required evaluation education and obesity prevention services for the Department's NEOP CalFresh program. Approval of the fourth recommended action will ensure CSU, Fresno Foundation can continue to provide the evaluation activities in the targeted communities in the County that were delayed or restricted from occurring as a result of the COVID-19 pandemic. It is the intention of the funder, that this extra year will provide the time needed to complete any activities that the COVID-19 pandemic may have interrupted and continue providing the same services from the FFY 2023 Integrated Work Plan. That all references in COUNTY Agreement Nos. A-16-698 and A-21-543 to "Revised 5 Exhibit 134" be changed to read "Revised Exhibit 135", attached hereto and incorporated herein by 6 reference. 7 2. Section Two (2) of the Agreement, located on page Two (2), beginning on line Three (3) 8 through Line Ten (10), is deleted in its entirety and replaced with the following: 9 112. TERM: The term of this Agreement shall commence on January 1, 2017 and will 10 terminate on September 30, 2023." 11 3. Section Four (4) of the Agreement, located on Page Three (3), beginning on Line Five 12 (5) and ending on Page Four (4), Line One (1), with the word "CONTRACTOR" is deleted in its entirety 13 and replaced with the following: 14 'A. COMPENSATION: COUNTY agrees to pay CONTRACTOR and CONTRACTOR 15 agrees to receive compensation at the rates as identified in Revised Exhibit B5, attached hereto and 16 incorporated herein by this reference. 17 For the period beginning January 1, 2017 through and including September 30, 2017, in 18 no event shall actual services performed exceed Two Hundred Ten Thousand and No/100 Dollars 19 ($210,000.00). 20 For the period beginning October 1, 2017 through and including September 30, 2018, in 21 no event shall actual services performed exceed Three Hundred Thirty-Six Thousand Five Hundred 22 and No/100 Dollars ($336,500.00). 23 For the period beginning October 1, 2018 through and including September 30, 2019, in 24 no event shall actual services performed exceed Three Hundred Thirty-Six Thousand Five Hundred 25 and No/100 Dollars ($336,500.00). 26 For the period beginning October 1, 2019 through and including September 30, 2020, in 27 no event shall actual services performed exceed Three Hundred Thirty-Six Thousand Five Hundred 28 and No/100 Dollars ($336,500.00). - 2 - 1 For the period beginning October 1, 2020 through and including September 30, 2021, in 2 no event shall actual services performed exceed Three Hundred Thirty-Six Thousand Five Hundred 3 and No/100 Dollars ($336,500.00). 4 For the period beginning October 1, 2021 through and including September 30, 2022, in 5 no event shall actual services performed exceed Three Hundred Thirty-Six Thousand Five Hundred 6 and No/100 Dollars ($336,500.00). 7 For the period beginning October 1, 2022 through and including September 30, 2023, in 8 no event shall actual services performed exceed Three Hundred Thirty-Six Thousand Five Hundred 9 and No/100 Dollars ($336,500.00). 10 In no event shall the total compensation payable to CONTRACTOR during the entire term 11 of this Agreement exceed the sum of Two Million Two Hundred Twenty-Nine Thousand and No/100 12 Dollars ($2,229,000.00). It is understood that all expenses incidental to CONTRACTOR'S performance 13 of services under this Agreement shall be borne by CONTRACTOR. 14 A. Payments by COUNTY shall be in arrears, for the services provided during the 15 preceding month, within forty-five (45) days after receipt and verification of CONTRACTOR's invoices by 16 COUNTY's Department of Public Health. If CONTRACTOR should fail to comply with any provision of 17 this Agreement, COUNTY shall be relieved of its obligation for further compensation. 18 B. COUNTY shall not be obligated to make any payments under this Agreement if the 19 request for payment is received by the COUNTY more than forty-five (45) days after this Agreement has 20 terminated or expired. 21 C. COUNTY agrees to pay CONTRACTOR and CONTRACTOR agrees to receive 22 compensation based upon actual expenditures incurred by CONTRACTOR for monthly program costs 23 in accordance with the budget identified in Revised Exhibit B5. 24 D. CONTRACTOR shall be held financially liable for any and all future 25 disallowances/audit exceptions due to CONTRACTORS deficiency discovered through the State audit 26 process. At COUNTY's selection, the disallowed amount will be remitted within forty-five (45)days to 27 County upon notification or shall be withheld from subsequent payments to CONTRACTOR." 28 COUNTY and CONTRACTOR agree that this Fifth Amendment is sufficient to amend the - 3 - 1 Agreement and, that upon execution of this Fifth Amendment, the Agreement and this Fifth 2 Amendment together shall be considered the Agreement. 3 The parties agree that this Fifth Amendment may be executed by electronic signature as 4 provided in this section. An "electronic signature" means any symbol or process intended by an 5 individual signing this Amendment to represent their signature, including but not limited to (1) a digital 6 signature; (2) a faxed version of an original handwritten signature; or (3) an electronically scanned and 7 transmitted (for example by PDF document) of a handwritten signature. Each electronic signature 8 affixed or attached to this Amendment (1) is deemed equivalent to a valid original handwritten 9 signature of the person signing this Amendment for all purposes, including but not limited to 10 evidentiary proof in any administrative or judicial proceeding, and (2) has the same force and effect as 11 the valid original handwritten signature of that person. The provisions of this section satisfy the 12 requirements of Civil Code section 1633.5, subdivision (b), in the Uniform Electronic Transaction Act 13 (Civil Code, Division 3, Part 2, Title 2.5, beginning with section 1633.1). Each party using a digital 14 signature represents that it has undertaken and satisfied the requirements of Government Code 15 section 16.5, subdivision (a), paragraphs (1)through (5), and agrees that each other party may rely 16 upon that representation. This Fourth Amendment is not conditioned upon the parties conducting the 17 transactions under it by electronic means and either party may sign this Fifth Amendment with an 18 original handwritten signature. 19 The Agreement, as hereby amended, is ratified and continued.
