HomeMy WebLinkAboutAgreement A-22-354.pdf 22-0612 Agreement No. 22-354 1 AMENDMENT NO. 2 TO SERVICE AGREEMENT 2 This Amendment No. 2 to Service Agreement ("Amendment No. 2") is dated 3 August 9, 2022 and is between Clean Earth Environmental Solutions, Inc., 933 First 4 Avenue, Ste. 200, King of Prussia, PA 19406, a Delaware corporation ("Consultant"), and the 5 County of Fresno, a political subdivision of the State of California ("County"). 6 Recitals 7 A. On the 20th day of June 2017, the County and the Consultant, formerly known as 8 Stericycle Environmental Solutions, Inc., entered into Consultant Agreement, 9 which is County agreement number 17-316 ("Agreement'), for services for the 10 operation of the permanent regional household hazardous waste facility, which is 11 currently located at 310 South West Avenue, Fresno CA 93706 ("HHW Facility"). 12 B. On the 29`h day of April 2020, Consultant changed its name from Stericycle 13 Environmental Solutions, Inc. to Clean Earth Environmental Solutions, Inc. 14 C. On 22 June 2021, the County and the Consultant amended Agreement 17-316 15 with Amendment 1 to amend all references to Stericycle Environmental Solutions, 16 Inc. in the agreement to refer to Clean Earth Environmental Solutions, Inc. 17 D. The term of agreement is for a period of 3 years beginning August 1, 2017 and 18 terminating on July 31, 2020, with two (2) one-year extensions upon written 19 approval of both parties, and was extended an additional two years terminating on 20 July 31, 2022. 21 E. The existing HHW facility located at 18950 W. American Avenue, Kerman CA 22 93630 closed on May 16, 2022. The new HHW Facility at 310 South West Avenue, 23 Fresno CA 93706 is scheduled to be completed June of 2022, and In order to 24 accomplish a smooth transition with minimal interruption of service and maintain a 25 continuity of service performance County staff recommend an extension to the 26 current agreement. 27 F. An RFP for a new contract was issued, with qualified contractor responses 28 evaluated and the recommended contractor will be presented for the Board of 1 1 Supervisors' consideration and approval at a future date prior to the end of the 2 term of the recommended extension. 3 G. The County and the Consultant now desire to further amend the Agreement to 4 extend the contract term ending on July 31, 2022 for an additional six months to 5 end on January 31, 2023 at a total budgeted maximum cost of$750,000, utilizing 6 the updated price list in attached Exhibit A. 7 The parties therefore agree as follows: 8 1. Section XVIII. "TERM OF AGREEMENT" of the Agreement, starting at page 53, line 7 9 shall be amended to add the following paragraph starting at page 53, line 16: 10 "This agreement shall be extended for an additional period of six (6) months 11 beginning August 1, 2022 through January 31, 2023. The County agrees to pay, 12 and the Consultant agrees to receive, compensation for the performance of its 13 services under this Agreement as described in Exhibit A, attached hereto and 14 incorporated herein to this agreement. The maximum amount to be paid to 15 Consultant under the term of this 6- month extension is $750,000.00. " 16 2. When both parties have signed this Amendment No. 2, the Agreement, Amendment No. 17 1 and this Amendment No. 2 together constitute the Agreement. 18 3. The Consultant represents and warrants to the County that: 19 a. The Consultant is duly authorized and empowered to sign and perform its obligations 20 under this Amendment. 21 b. The individual signing this Amendment on behalf of the Consultant is duly authorized 22 to do so and his or her signature on this Amendment legally binds the Consultant to 23 the terms of this Amendment. 24 4. The parties agree that this Amendment may be executed by electronic signature as 25 provided in this section. 26 c. An "electronic signature" means any symbol or process intended by an individual 27 signing this Amendment to represent their signature, including but not limited to (1) a 28 digital signature; (2) a faxed version of an original handwritten signature; or (3) an 2 I electronically scanned and transmitted (for example by PDF document) version of an 2 original handwritten signature. 3 d. Each electronic signature affixed or attached to this Amendment (1) is deemed 4 equivalent to a valid original handwritten signature of the person signing this 5 Amendment for all purposes, including but not limited to evidentiary proof in any 6 administrative or judicial proceeding, and (2) has the same force and effect as the valid 7 original handwritten signature of that person. 8 e. The provisions of this section satisfy the requirements of Civil Code section 1633.5, 9 subdivision (b), in the Uniform Electronic Transaction Act (Civil Code, Division 3, Part 10 2, Title 2.5, beginning with section 1633.1). 11 f. Each party using a digital signature represents that it has undertaken and satisfied the 12 requirements of Government Code section 16.5, subdivision (a), paragraphs (1) 13 through (5), and agrees that each other party may rely upon that representation. 14 g. This Amendment is not conditioned upon the parties conducting the transactions under 15 it by electronic means and either party may sign this Amendment with an original 16 handwritten signature. 17 5. This Amendment may be signed in counterparts, each of which is an original, and all of 18 which together constitute this Amendment. 19 6. The Agreement, as previously amended and as amended by this Amendment No. 2 is 20 ratified and continued.
