SUBJECT: Amendment to Agreement with Professional Asbestos Removal Corporation
RECOMMENDED ACTION(S):
Approve and authorize the Chairman to execute First Amendment to Agreement with Professional
Asbestos Removal Corporation, d.b.a. PARC Environmental for asbestos and lead paint abatement,
hazardous waste pickup and disposal, and removal and disposal of debris associated with
homelessness encampments, and emergency response services, effective August 1, 2022,with no
change to the term of February 25, 2020 through June 30, 2025 and increasing the maximum
compensation by$580,000 to a total of$1,200,000.
Approval of the recommended action will increase the maximum compensation to fund an increased
number of debris and homeless encampment cleanups throughout the County.The increase will be funded
with revenue budgeted in County Administrative Office Org 2540 and Public Works and Planning- Roads
Org 4510,with no increase in Net County Cost. This item is countywide.
ALTERNATIVE ACTION(S):
Should your Board not approve the recommended amendment, cleanup response will be delayed in
situations that are often unpredictable, critical, and require urgent intervention to preserve public health and
public safety.
FISCAL IMPACT:
There is no increase in Net County cost associated with the recommended action. The recommended
amendment increases the maximum compensation by$580,000 to$1,200,000. Sufficient appropriations
and estimated revenues are included in the County Administrative Office Org 2540. Department of Public
Health Org 5620, and Public Works and Planning - Roads Org 4510 FY 2022-23 Recommended Budget
and will be included in future budget requests.
DISCUSSION:
On February 25, 2020, your Board approved Agreement No. 207085 with Professional Asbestos Removal
Corporation (PARC)for asbestos and lead paint abatement, hazardous waste pickup and disposal, and
removal and disposal of debris associated with homelessness encampments, and emergency response
services. The agreement included three departments: Public Works and Planning ($500,000), the
Department of Public Health ($50,000)and the County Administrative Office ($70,000).To date the
departments have expended approximately$504,500 or 81% of the maximum agreement compensation
with over 60% of the agreement term remaining.

With your Board's approval of the recommended amendment, $330,000 will be added to the County
Administrative Office's allotment and $250,000 to Public Works and Planning's allotment. The increase is
needed to continue funding debris and homeless encampment cleanups to preserve public health and public
safety.

1 AMENDMENT I TO AGREEMENT
2 This AMENDMENT, hereinafter referred to as Amendment I, is made and entered into this
3 121h day of July , 2022 by and between COUNTY OF FRESNO, a Political
4 Subdivision of the State of California, hereinafter referred to as "COUNTY", and Professional Asbestos
5 Removal Corporation, d.b.a. PARC Environmental, a California corporation, whose address is 2864 E.
6 Dorothy Ave. Fresno, CA 93706, hereinafter referred to as "CONTRACTOR".
7 WHEREAS, the parties entered into that certain Agreement, identified as COUNTY Agreement
8 No. 20-085, effective February 25, 2020, to provide services for asbestos and lead paint abatement,
9 hazardous waste pickup and disposal, and removal and disposal of debris associated with homeless
10 encampments, and emergency response services; and
11 WHEREAS, the COUNTY desires to amend this Agreement to include additional funding for
12 said services; and
13 WHEREAS, the parties desire to amend the Agreement regarding said change and restate as
14 set forth herein.
15 NOW, THEREFORE, in consideration of the mutual promises, covenants, and conditions,
16 hereinafter set forth, the sufficiency of which is acknowledged, the parties hereto agree as follows:
17 1. That the existing COUNTY Agreement No. 20-085, Page 8, SECTION 4. —
18 COMPENSATION, beginning with Line 8 and ending on Page 9, Line 4 be deleted and replaced in its
19 entirety as follows:
20 SECTION 4. -COMPENSATION
21 A. SERVICES —The COUNTY shall only provide compensation and payment to CONTRACTOR for
22 work authorized by the COUNTY. COUNTY agrees to pay CONTRACTOR and CONTRACTOR
23 agrees to receive compensation in accordance with CONTRACTOR's respective rates provided in
24 Attachment A. All rates listed in Attachment A are valid for the Term of this Agreement. All rates
25 listed in Attachment A are "fully loaded," as they include all direct and indirect costs and fees or
26 profit as well as ancillary materials not described in Attachment A. CONTRACTOR shall not
27 undertake any services without the advance written authorization of the COUNTY. If the COUNTY
28 requests a service not specified in Attachment A, then such services will be negotiated between

1 the COUNTY and the CONTRACTOR and shall be based on prices similar to those outlined in
2 Attachment A.
3 B. In no event shall services provided to the following departments of the COUNTY under this
4 Agreement exceed the following amounts during the potential maximum five (5) year and four(4)
5 month term: The Department of Public Works & Planning shall not exceed the sum of seven
6 hundred and fifty thousand dollars ($750,000), the Department of Public Health shall not exceed
7 fifty thousand dollars ($50,000), and the County Administrative Office shall not exceed four
8 hundred thousand dollars ($400,000).
9 C. CONTRACT MAXIMUM — In no event shall the total compensation paid to CONTRACTOR during
10 the entire potential five (5) year and four (4) month term of this Agreement for Routine, Emergency
11 Response, and Callback services exceed the sum of one million two hundred thousand dollars
12 ($1,200,000).
13 This Agreement, as hereby amended, is ratified and continued. All provisions, terms, covenants,
14 conditions, and promises contained in this Agreement not amended herein shall remain in full force
15 and effect. This Amendment I shall become effective August 1, 2022.
