SUBJECT: Retroactive Amendment I to Agreement No.A-21-067, COVID-19 Vaccination
RECOMMENDED ACTION(S):
Approve and authorize the Chairman to execute a retroactive First Amendment to Agreement No.
A-21-067 with Pinnacle Training Systems, LLC expanding COVID-19 vaccination portability to
additional County departments, and expanding COVID-19 vaccination to the general public,with no
change to the term of February 15,2021 through December 31, 2021, or compensation maximum of
$500,000.
There is no increase in Net County Cost associated with the recommended action.Approval of the
recommended action will expand vaccine portability to any county department to allow services to clinics
held through community medical/vaccination events or through employers, and to allow for additional
vaccine administration to the general public.This item is countywide.
ALTERNATIVE ACTION(S):
There are no viable alternative actions. Should your Board choose to not approve the recommended action,
the County would need to discontinue use of Pinnacle for vaccination administration services to Fresno
County residents,which will cause delays in the public getting vaccinated.
RETROACTIVE AGREEMENT:
The recommended Amendment is retroactive to February 15, 2021 due to the immediate need to provide
COVID-19 vaccinations to County employees in accordance with the State of California's tiered vaccination
schedule. Due to the limited availability of contractors and the ongoing need to provide vaccination services
to Fresno County residents, Pinnacle Training Systems, LLC (Pinnacle)transitioned to offer vaccination
services to the general public on March 27, 2021, prior to finalizing the amendment.
FISCAL IMPACT:
There is no Net County Cost associated with the recommended action.All costs associated with this
agreement will be paid for with a combination of funding from the CARES Act allocation and State funding.
The compensation rates are being changed to align with DPH's contracted vendors providing similar
services. There are no pending outstanding invoices related to this agreement. Sufficient appropriations and
estimated revenues will be included in the Department's Org 5620 FY 2021-22 Recommended Budget.

On March 9, 2021, your Board made a finding that it was in the best interest of the County to suspend the
competitive bidding process in an emergency when goods or services are immediately necessary for the
preservation of public health, welfare, or safety, or for the protection of County property, consistent with
Administrative Policy No. 34,for urgent and necessary COVID-19 vaccination services for County of Fresno
Employees. At that time, your Board also executed a retroactive agreement with Pinnacle to provide urgent
and necessary COVID-19 vaccination services to County employees. Through April 2021, Pinnacle has
administered 272 doses of COVID-19 vaccine to County staff.
The ongoing COVID-19 pandemic created an urgent need to provide vaccination services to Fresno County
residents as soon as possible. Pinnacle has been designated as an approved vendor of COVID-19
vaccination services by the Department of Public Health and possess mobilization capability enabling them
to be highly utilized.
Through June 6, 2021, Pinnacle has participated at 8 clinics organized by DPH and administered 1,181
doses of COVID-19 vaccine to Fresno County residents. DPH and Pinnacle anticipate 9 more events
through the end of June 2021. Compensation for services will be based on vaccine clinic hours.
Approval of the recommended action provides the County the opportunity to increase vaccination services to
the community by adding additional community vaccine clinics in various County selected areas staffed by
Pinnacle staff.The County and Pinnacle will work together to assure maximization of resources and
meeting of expected vaccination goals.

1 FIRST AMENDMENT TO AGREEMENT
2 THIS FIRST AMENDMENT TO AGREEMENT(hereinafter"Amendment") is made and entered
3 into this 13th day of July, 2021, by and between COUNTY OF FRESNO, a Political Subdivision of
4 the State of California, Fresno, California (hereinafter"CLIENT), and PINNACLE TRAINING
5 SYSTEMS, LLC, a California Limited Liability Corporation, whose address is 6011 N Fresno St. Suite
6 120, Fresno, CA, 93721 (hereinafter"PTS").
7 WITNESSETH:
8 WHEREAS, CLIENT and PTS entered into a services agreement, identified as COUNTY
9 Agreement No.A-21-067, retroactively effective February 151h, 2021 (hereinafter"Agreement") on
10 March 91, 2021, pursuant to which PTS agreed to provide COVID-19 vaccine services to CLIENT; and
11 WHEREAS, CLIENT and PTS now desire to amend the Agreement in order to expand
12 vaccination portability to any county department, to allow services to clinics held through community
13 medical clinic/vaccination events or through employers, and to allow for the vaccination of the general
14 public.
15 NOW,THEREFORE, for good and valuable consideration,the receipt and adequacy of which
16 is hereby acknowledged, CLIENT and PTS agree as follows:
17 1. Paragraph 4 of"Schedule A" of the Agreement, located on page 9, beginning with"PTS"
18 and ending with the word "CLIENT", is deleted in its entirety and replaced with the following:
19 "PTS will administer the COVID-19 vaccines at various CLIENT locations. The vaccine
20 administration will be provided to CLIENT's employees referred by CLIENT. PTS will conduct
21 community clinics at the direction of CLIENT's Department of Public Health."
22 2. That all references to"Schedule B" in existing COUNTY Agreement number A-21-067
23 shall be changed to read, "Revised Schedule B", attached hereto and incorporated herein by
24 reference.
25 CLIENT and PTS agree that this Amendment is sufficient to amend the Agreement and,that
26 upon execution of this Amendment,the Agreement and this Amendment together shall be considered
27 the Agreement.
28 The parties agree that this Amendment may be executed by electronic signature as provided in

1 this section.An"electronic signature" means any symbol or process intended by an individual signing
2 this Amendment to represent their signature, including but not limited to (1) a digital signature; (2) a
3 faxed version of an original handwritten signature; or(3) an electronically scanned and transmitted (for
4 example by PDF document) of a handwritten signature. Each electronic signature affixed or attached
5 to this Amendment (1) is deemed equivalent to a valid original handwritten signature of the person
6 signing this Amendment for all purposes, including but not limited to evidentiary proof in any
7 administrative or judicial proceeding, and (2) has the same force and effect as the valid original
8 handwritten signature of that person. The provisions of this section satisfy the requirements of Civil
9 Code section 1633.5, subdivision (b), in the Uniform Electronic Transaction Act(Civil Code, Division 3,
10 Part 2, Title 2.5, beginning with section 1633.1). Each party using a digital signature represents that it
11 has undertaken and satisfied the requirements of Government Code section 16.5, subdivision (a),
12 paragraphs (1)through (5), and agrees that each other party may rely upon that representation.This
13 Amendment is not conditioned upon the parties conducting the transactions under it by electronic
14 means and either party may sign this Amendment with an original handwritten signature.
15 The Agreement, as hereby amended, is ratified and continued. All provisions, terms,
16 covenants, conditions and promises contained in the Agreement and not amended herein shall remain
17 in full force and effect.

PAYMENT
In consideration of the Services provided by PTS,the CLIENT shall pay PTS in accordance with
the terms set forth below.The CLIENT and PTS may amend this Schedule, by written agreement
between the Parties,from time to time during the Term and/or any renewal period.
Compensation for the period 02/15/2021 through 04/30/2021.
1. $r2,632.001 per event fee with a minimum quota of(1-49)encounters,and/or Ito 2-hour
single event.
2. $r3,886.001 per event fee with a minimum quota of(50-149) encounters, and/or 1 to 2-
hour single event.
3. $[7,335.001 per event fee with a minimum quota of(150-300) encounters, and/or 2 to 5-
hour events.
4. $f 11,907.001 per event fee with a minimum quota of (301-500) encounters, and/or 5 to
8-hour events.

Compensation for the period 05/01/2021 through Agreement Termination:
1. $[2,400.001 per event fee with a minimum quota of(1-49)encounters,and/or 1 to 2-hour

hour single event.

Note:The word "event" covers any venue where a vaccination clinic is held.
