SUBJECT: Approve Third Amendment to Agreement with Pinnacle Training System, LLC
RECOMMENDED ACTION(S):
Approve and authorize the Chairman to execute Third Amendment to Agreement with Pinnacle
Training System, LLC,to extend the term of the existing Agreement for the provision of COVID-19
and Flu vaccination services by six months from July 1, 2022 to December 31, 2022 with no change
to the compensation maximum of$1,459,500.
There is no Net County Cost associated with the recommended action.Approval of the recommended
action will execute a third amendment with Pinnacle Training System, LLC (PTS)to continue providing
on-call COVID-19 and Flu vaccine administration services. This item is countywide.
ALTERNATIVE ACTION(S):
There are no viable alternative actions. Should your Board choose to not approve the recommended action,
PTS will no longer be able to serve as one of Fresno County's on-call COVID-19 and Flu vaccine
administration vendors effective on July 1, 2022, reducing the capacity to support vaccine administration
services and events within Fresno County.
FISCAL IMPACT:
There is no Net County Cost associated with this recommended action.This agreement was funded by the
federal Coronavirus Aid, Relief, and Economic Security(CARES)Act funding through June 30, 2021. The
remaining term is and will be funded by the Epidemiology and Laboratory Capacity for Prevention and
Control of Emerging Infectious Diseases (ELC) Enhancing Detection Expansion funds and the Immunization
Cooperative Agreement funding. The compensation rates for billing will remain the same. Sufficient
appropriations were included in the Department's Organization 5620 FY 2021-22 Adopted Budget and is
included in the Department's Organization 5620 FY 2022-23 Recommended Budget.
DISCUSSION:
On March 9, 2021, your Board made a finding that it was in the best interest of the County to suspend the
competitive bidding process in an emergency when goods or services are immediately necessary for the
preservation of public health, welfare, safety, or the protection of County property, consistent with
Administrative Policy No. 34,for urgent and necessary COVID-19 vaccination services for Fresno County
employees. At that time, your Board executed a retroactive agreement(No. A-21-067)with PTS for
COVID-19 vaccination services to County of Fresno employees. On July 13, 2021, your Board approved the
First Amendment to the Agreement with PTS to expand vaccination portability to the entire community
(general public) by allowing PTS to provide services to clinics held through community medical

clinic/vaccination events or through employers. On November 2, 2021, your Board approved the Second
Amendment to the Agreement to add the provision of flu vaccination services, extended the length of the
agreement, and increased the total compensation to accommodate the provision of new and existing
services through June 30, 2022.
PTS, the Regents of the University of California, San Francisco (UCSF), and United Health Center of the
San Joaquin Valley(UHC)are the only contractors that remain under contract with Fresno County to provide
on-call vaccine administration services.As COVID-19 cases continues to be present in our community,
vaccine administration teams are still needed and should be readily available to provide vaccine services to
Fresno County residents should the need arise. PTS remains designated as an approved vendor of
COVID-19 vaccination services by DPH and still possess the mobilization capability enabling them to be
highly effective and utilized. Since March 9, 2021, PTS has participated in over 134 clinics organized by the
Department of Public Health (DPH)and administered over 5,802 doses of COVID-19 vaccines to the
community, with 115 COVID-19 vaccines administered to children ages 5 years old to 11 years old
beginning January 2022.
Approval of the recommended action will allow PTS to continue to serve as one of Fresno County's
contractors to provide vaccine administration services through December 31, 2022, with no increase in
additional funding.The County and PTS will continue to work together to assure the maximization of
resources and meeting expected goals.

1 THIRD AMENDMENT TO AGREEMENT
2 THIS THIRD AMENDMENT TO AGREEMENT (hereinafter"Amendment") is made and entered
3 into this 21st day ofJune, 2022, by and between COUNTY OF FRESNO, a Political Subdivision of
4 the State of California, Fresno, California (hereinafter"CLIENT"), and PINNACLE TRAINING
5 SYSTEMS, LLC, a California Limited Liability Corporation, whose address is 6011 N Fresno St. Suite
6 120, California, 93721 (hereinafter"PTS").
7 WITNESSETH:
8 WHEREAS, CLIENT and PTS entered into Agreement No. A-21-067 on March 9, 2021,
9 retroactively effective February 15, 2021, pursuant to which PTS agreed to provide COVID-19 vaccine
10 services to CLIENT; and
11 WHEREAS, CLIENT and PTS entered into a First Amendment No. A-21-067-1, dated July 13,
12 2021, to expand vaccination portability to any county department, to allow services to clinics held
13 through community medical clinic/vaccination events through employer, and to allow for the
14 vaccination of the general public; and
15 WHEREAS, CLIENT and PTS entered into a Second Amendment No. A-21-454, dated
16 November 2, 2021, to extend the term, add the provision of Flu vaccination services, and increase the
17 total compensation amount to accommodate the provision of new and existing services through June
18 30, 2022 (Agreement No. A-21-067, First Amendment No. A-21-067-1, and Second Amendment No.
19 A-21454, collectively, shall be referred to herein as "the Agreement"); and
20 WHEREAS, CLIENT and PTS now desire to amend the Agreement in order to extend the
21 length of the Agreement through and including December 31, 2022.
22 NOW, THEREFORE, for good and valuable consideration, the receipt and adequacy of which
23 is hereby acknowledged, COUNTY and CONTRACTOR agree as follows:
24 1. Section 3.a of the Agreement, located on page 1, beginning with "The" and ending with
25 the word "Parties", is deleted in its entirety and replaced with the following:
26 "The initial term of this Agreement ("Term") shall be for a period of approximately
27 twenty-three months, beginning February 15, 2021 and ending December 31, 2022, unless terminated
28 earlier in accordance with the provision herein. The Term may be extended by written agreement of

1 the Parties."
2 CLIENT and PTS agree that this Amendment is sufficient to amend the Agreement and, that
3 upon execution of this Amendment, the Agreement and this Amendment together shall be considered
4 the Agreement.
5 The parties agree that this Amendment may be executed by electronic signature as provided in
6 this section. An "electronic signature" means any symbol or process intended by an individual signing
7 this Amendment to represent their signature, including but not limited to (1) a digital signature; (2) a
8 faxed version of an original handwritten signature; or (3) an electronically scanned and transmitted (for
9 example by PDF document)of a handwritten signature. Each electronic signature affixed or attached
10 to this Amendment (1) is deemed equivalent to a valid original handwritten signature of the person
11 signing this Amendment for all purposes, including but not limited to evidentiary proof in any
12 administrative or judicial proceeding, and (2) has the same force and effect as the valid original
13 handwritten signature of that person. The provisions of this section satisfy the requirements of Civil
14 Code section 1633.5, subdivision (b), in the Uniform Electronic Transaction Act (Civil Code, Division 3,
15 Part 2, Title 2.5, beginning with section 1633.1). Each party using a digital signature represents that it
16 has undertaken and satisfied the requirements of Government Code section 16.5, subdivision (a),
17 paragraphs (1)through (5), and agrees that each other party may rely upon that representation. This
18 Amendment is not conditioned upon the parties conducting the transactions under it by electronic
19 means and either party may sign this Amendment with an original handwritten signature.
20 The Agreement, as hereby amended, is ratified and continued. All provisions, terms,
21 covenants, conditions and promises contained in the Agreement and not amended herein shall remain
22 in full force and effect.
