1 FIRST AMENDMENT TO AGREEMENT
2 THIS FIRST AMENDMENT to Agreement No. 13-302 ("First Amendment'') is made and
3 entered into this 20th day of March, 2018 by and between the County of Fresno, a political
4 subdivision of the State of California (hereinafter "COUNTY"), and each of those providers who are
5 signatories to this Agreement and listed in Attachment "A 1" and individually and collectively
6 hereinafter referred to as "CONTRACTORS."
7 WITNESSETH:
8 WHEREAS, COUNTY and CONTRACTORS entered into County Agreement No. 13-302,
9 dated June 4, 2013 ("Agreement") pursuant to which CONTRACTORS agreed to provide low
10 voltage cabling services to COUNTY; and
11
12 WHEREAS, COUNTY AND CONTRACTORS now desire to amend the Agreement to
13 extend the term and increase the allocation payable for such extended term.
14 NOW, THEREFORE, for good and valuable consideration, the receipt and adequacy of
15 which is hereby acknowledged, COUNTY and CONTRACTORS agree to amend the Agreement
16 as follows:
17 1. Section VI. TERM as set forth on page 9 of the Agreement is hereby deleted in its
18 entirety and replaced with the following:
19 "The term of this Agreement shall run from June 4, 2013 through December 31,
20 2018.
21 2. The portion of Section VIII. COMPENSATION set forth on page 10, lines 18-22 of the
22 Agreement is hereby deleted and replaced with the following:
23 "In no event shall services and service-related products provided under this
24 Agreement be in excess of $3,000,000 for the life of this Agreement."

26 COUNTY and CONTRACTOR agree that this First Amendment is sufficient to amend
27 the Agreement and that upon execution of this First Amendment, the Agreement and this First
28 Amendment shall together be considered the Agreement.

The Agreement, as hereby amended, is ratified and continued. All provisions, terms,
covenants, conditions and promises contained in the Agreement and not amended herein shall
remain in full force and effect.
