1. Fresno County ("Participant") desires to participate in the Program identified below.
Name of Program: Third Sector Multi-County FSP Innovation Project ("TSMFIP")
2. California Mental Health Services Authority ("CalMHSA") and Participant acknowledge that the
Program will be governed by CalMHSA's Joint Powers Agreement and its Bylaws, and by this
agreement . The following exhibits are intended to clarify how the provisions of those
documents will be applied to this Program.

I.NameofProgram:ThirdSectorMultiͲCountyFSPInnovationProject
II.TermofProgram:Thisprogramtermbeginsuponthedateofcontractexecutionandcontinues
throughandincludingJune30,2024,withtheoptionforearlyterminationorextensionas
providedbelow.
III.ProgramObjectiveandOverview:
Objective:TheprojectisfocusedoncreatingadataͲdrivenFullͲServicePartnership(“FSP”)that
willincreasethelocalcapacitytogetherandusedatatobetterdesign,implement,andmanage
FSPservicesacrossvariousagegroupsandpopulations,withtheultimategoalofbetter
understandingimportantclientoutcomesandcontinuouslyworkingtoimprovethem.
Overview:CalMHSAserveastheadministrativeoversightforthisinnovationprojectandwill
contractwithThirdSectorCapitalPartners,Inc.(“ThirdSector”)whowillbetheleadcontractor.
ThisprojecthasbeendevelopedasamultiͲcountycollaborative,assuch,CalMHSAwillensure
additionalcountiesareincorporatedintotheprojectasappropriate.
IV.Funding:FresnoCountywillprovidefundingintheamountof$60,658.50,whichincludesaoneͲ
timeprogramadministrationfeeof9%oftotalfundingor$5,008.50,paidtoCalMHSAupon
executionofthisAgreement.

I.Definitions
ThefollowingwordsasusedthroughoutthisParticipationAgreementshallbeconstruedtohave
thefollowingmeaning,unlessotherwiseapparentfromthecontextinwhichtheyareused:
A.CalMHSA–CaliforniaMentalHealthServicesAuthority,aJointPowersAuthority(JPA)
createdbycountiesin2009attheinstigationoftheCaliforniaMentalHealthDirectors
Associationtojointlydevelopandfundmentalhealthservicesandeducationprograms.
B.Member–ACounty,CityorJPAoftwoormoreCounties,thathasjoinedCalMHSAand
executedtheCalMHSAJointPowersAgreement.
C.Participant–AnyMemberparticipatingintheProgramandamemberofCalMHSA.
D.ThirdSector–ContractedvendorthatisleadingcountiesinthedevelopmentofthemultiͲ
countyInnovationProject,basedinSanFranciscoandBoston.
E.Program–TheprogramidentifiedintheCoverSheet.
F.FSP–FullͲServicePartnerships.
II.Responsibilities
A.ResponsibilitiesofCalMHSA:
1.ActastheFiscalandAdministrativeagentfortheProgram.
2.Managefundsreceivedconsistentwiththerequirementsofanyapplicablelaws,
regulations,guidelinesand/orcontractualobligations.
3.ProvideregularfiscalreportstoParticipantand/orotherpublicagencieswitha
righttosuchreports.
4.ComplywithCalMHSA’sJointPowersAgreementandBylaws.
5.ExecuteacontractwithThirdSectortosupportthedevelopmentofamultiͲ
countyInnovationProjectthataimstoshiftthewaycountiesdevelop,implement
andevaluateFSP.SeeAppendixIformoreinformationonThirdSector’sscopeof
workrelatingtothisAgreement.
B.ResponsibilitiesofParticipant:
1.TransferoffullfundingamountfortheProgramasspecifiedinExhibitA,Program
DescriptionandFunding,includingadministrativefee,whichParticipantwillpay
within30daysofexecutionofthisagreement.
2.ProvideCalMHSAanyotherpartiesdeemednecessarywithrequested
informationandassistanceinordertofulfillthepurposeoftheProgram.
3.Responsibleforanyandallassessments,creationofindividualcaseplans,and
providingorarrangingservices.

4.Compliancewithapplicablelaws,regulations,guidelines,contractual
agreements,andCalMHSA’sJPAAgreementandBylaws.
5.IndemnificationasdescribedinSectionVI.
6.Totheextentthereisprivilegedinformationsharedbetweenagencies,whichis
subjecttoprotectionundertheHIPAA/PHIAct,County/Membershallimplement
allnecessarymeasuresincompliancewiththeAct.
III.Duration,TermandAmendment
A.ThisAgreementispartofafourͲandͲaͲhalfͲyearprogram,includingtheThirdSector
phasesdescribedbelow.TheobligationoftheParticipanttopayfundsislimitedtothe
periodsandamountsstatedinExhibitA,ProgramDescriptionandFunding:
x Phase1:LandscapeAssessment(January2020–September2020)
x Phase2:Implementation(October2020–September2021)
x Phase3:SustainabilityPlanning(October2021–November2021)
x Phase4:ContinuousImprovement(January2022–March2022)
NOTE:WorkforPhases1,2,and3wasconductedandcompletedbyThirdSectorunder
AgreementNo.528ͲTSMFIPͲ2020FC.
B.ThisAgreementmaybesupplemented,amended,ormodifiedonlybythemutual
agreementofCalMHSAandtheParticipant,expressedinwritingandsignedbyauthorized
representativesofbothparties.
IV.Withdrawal,CancellationandTermination
A.ParticipantsmaywithdrawfromtheProgramuponsix(6)monthswrittennotice.Notice
shallbedeemedservedonthedateofmailing.
B.ThewithdrawofaParticipantfromtheProgramshallnotautomaticallyterminateits
responsibilityforitsshareoftheexpenseandliabilitiesoftheProgram.Thecontributions
ofcurrentandpastParticipantsarechargeablefortheirrespectiveshareofunavoidable
expensesandliabilitiesarisingduringtheperiodoftheirparticipation.
C.Uponcancellation,termination,orotherconclusionoftheProgram,anyfundsremaining
undisbursedafterCalMHSAsatisfiesallobligationsarisingfromtheoperationofthe
ProgramshallbereturnedtoParticipant.Unusedfundspaidforajointeffortwillbe
returnedproratatoParticipantinproportiontopaymentsmade.Adjustmentsmaybe
madeifdisproportionatebenefitwasconveyedonparticularParticipant.Excessfundsat
theconclusionofcountyͲspecificeffortswillbereturnedtotheparticularCountythat
paidthem.
V.FiscalProvisions
A.FundingrequiredfromParticipantwillnotexceedtheamountstatedinExhibitA,Program
DescriptionandFunding.
B.AoneͲtimepaymentwillbeissuedtoCalMHSAuponexecutionofthisagreement.

C. InanyMultiͲCountyProgram,Participantswillsharethecostsofplanning,administration
andevaluationinthesameproportionsastheiroverallcontributions,whichareincluded
intheamountstatedinExhibitA,ProgramDescriptionFunding.
VI. LimitationofLiabilityandIndemnification
A. CalMHSAisresponsibleonlyforfundsasinstructedandauthorizedbyparticipants.
CalMHSAisnotliablefordamagesbeyondtheamountofanyfundswhichareidentified
onthecoverpageofthisAgreement,withoutauthorizationorcontrarytoParticipant’s
instructions.
B. CalMHSAisnotundertakingresponsibilityforassessments,creationofcaseortreatment
plans,providingorarrangingservices,and/orselecting,contractingwith,orsupervising
providers(collectively,“mentalhealthservices”).Participantwilldefendandindemnify
CalMHSAforanyclaim,demand,disallowance,suit,ordamagesarisingfromParticipant’s
actsoromissionsinconnectionwiththeprovisionofmentalhealthservices.

workshopstostrengthenDBH’sFSPcontinuousimprovementpractices.
