SECOND AMENDMENT TO AGREEMENT
This SECOND AMENDMENT TO AGREEMENT (“Second Amendment”) to the Agreement
(“Agreement”) is made and entered into this ___ day of March, 2022, by and between the COUNTY OF
FRESNO, a political subdivision of the state of California ("COUNTY"), and each contractor (each a
“CONTRACTOR” and collectively the “CONTRACTORS”) listed in Attachment A to this Second
Amendment, which is attached and incorporated by reference, and such additional CONTRACTORS as
may, from time to time during the term of the Master Agreement, be added by the COUNTY. COUNTY and
each CONTRACTOR may be referred to as a “Party” or collectively as “Parties” to the Master Agreement.
W I T N E S S E T H:
WHEREAS, COUNTY and CONTRACTORS entered into Agreement No. 18-425, dated June
7, 2018 (“Master Agreement”), to supersede, amend, restate, and replace the Original Agreement with the
Master Agreement, to increase the total compensation amount by $250,000.00, for a total maximum
compensation of $799,000.00, and to add vendor West Coast Security, Inc., to Master Agreement to
expeditiously provide for the COUNTY’s needs for the above-mentioned services; and
WHEREAS, COUNTY and CONTRACTORS entered into the First Amendment to Agreement No.
18-425, on June 8, 2021, to add two contractors, issue 30-day notice of termination to Red Wave
Communications, Inc., and authorize the Director of Internal Services Department/Chief Information Officer,
or designee, to add qualified contractors as necessary.
WHEREAS, COUNTY desires to extend the Agreement by one year.
NOW, THEREFORE, in consideration of the mutual covenants, terms and conditions herein
contained, the parties hereto agree as follows:
1. Section 2 – Term on page 7 starting on line 11 with the word “The” and ending on page 7,
line 21 with the word “performance” is deleted in its entirety, and replaced by the following:
“The term of this Master shall be for a period of six (6) years commencing on March 15, 2017,
through and including March 14, 2023 (“Term”). Because this Master Agreement is effective
retroactive to March 15, 2017, any services that have been performed, and for which compensation
has been paid, prior to the execution of this Master Agreement are hereby approved and ratified by
COUNTY and CONTRACTOR.”

1 COUNTY and CONTRACTOR agree this Second Amendment is sufficient to amend the
2 Agreement , and that upon execution of the Second Amendment , the Agreement , the First
3 Amendment, and this Second Amendment together shall be considered the Agreement.
4 IN WITNESS WHEREOF , the parties hereto have executed this Second Amendment as of the day
5 and year first hereinabove written.

By executing this signature page, CONTRACTOR becomes a signatory to the Master
Agreement, dated August 7, 2018 and agrees that it is a party to the Master Agreement with the COUNTY,
as amended by the Second Amendment, and is bound by its terms.
IN WITNESS WHEREOF, the parties hereto have executed this Second Amendment as of
the Effective Date.
