Note #1 -Flexible Subscription Usage Model:During the tenn of the subscription,eleven (11)months after the Order date and on the
anniversary of such date thereafter,Saba shall audit the number of RecordedUsers.The audit shall be performed as follows:Sabashall
detennine the peak daily usage for each day in the calendar month and then shall averagethese to determine the average usage forsuch
month.All such monthly averages shall be averagedto detennlne the actual subscriptionusage by Customer ("Real Usage").If such Real
Usage is at or no more than 10%above the number of RecordedUsers reflected in this Order,the payment for the following subscriptionyear
5 hall be as set forth above.If such Real Usage is below the number of RecordedUsers reflected in this Order,the payment for Ihe following
subscription year shall be flexed down accordingly up to a maximumreductionof 10%.If such Real Usage exceeds by more than 10%the
number of RecordedUsers reflected in this Order,paymentfor the following subscriptionyear shall be adjusted up to reflect such RealUsage.
Additional Renewal Periods:The Subscription Serviceswill renew automaticallywith the same period,terms,and amounts due forone (1)
additional twelve (12)month period,unless Customer notifies Saba in writing at least thirty (30)days prior to the end of the then-current
Subscription Term that customer has elected to discontinuesuch SubscriptIonServices.

Payment for the 12 month Subscription Period will be invoiced on the Order Date and is due thirty (30)days after invoice date.The terms and
conditions of any purchase order shall not apply.The pricing includedin this Order Is not valid unless an executed copy of this Order is
received by Saba on or before 11/3/17.The above-listedpricing is exclusiveof all taxes,duties,withholdings and similar charges.Customer
acknowledges that this Order is not relient or contingentupon the delivery,or promise of delivery,of any future functionality,features,or
products.This Order is subject to the terms and conditionsof the Saba Cloud SubscriptionServices Agreement between the parties,Saba
Contract #14-S-1870-MSA,the term of which is extended consistent with the term provision of this Order.
