HomeMy WebLinkAboutAgreement A-22-085.pdf-1- 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 MASTER AGREEMENT FOR INFORMATION TECHNOLOGY PROFESSIONAL SERVICES THIS MASTER AGREEMENT (“Agreement”) is made and entered into this day of , 2022, by and between the COUNTY OF FRESNO, a political subdivision of the state of California ("COUNTY"), and each contractor (each hereinafter referred to as “CONTRACTOR” and collectively as the “CONTRACTORS”) identified in Attachment A to this Agreement, which is attached and incorporated by this reference. The COUNTY and each CONTRACTOR may be referred to as a “Party” or collectively as “Parties” to this Agreement. W I T N E S S E T H: WHEREAS, COUNTY has a need for qualified vendors to provide Information Technology Temporary and Professional Services for current and ongoing projects to the COUNTY; WHEREAS, the COUNTY entered into a Master Agreement for Data Processing Professional Services, No. 17-058, dated February 28, 2017 (“Prior Master Agreement”), pursuant to which certain listed contractors agreed to provide information technology services needed by the COUNTY, which was subsequently amended nine times; WHEREAS, certain CONTRACTORS identified in this Agreement are currently performing services for ongoing projects under the Prior Master Agreement, and will continue working on those ongoing projects under this Agreement pursuant to the rates specified herein; WHEREAS, the County of Sacramento released Request for Proposal (RFP) No. 8540, released on 1/5/2018 and closed 2/6/2018, for Information Technology Staffing Services, and awarded agreements to thirty-two (32) vendors based off thirteen (13) Information Technology Groupings, including: Voice and Data Network Management, Project Management/Application Development, Enterprise Content Management, Database, Desktop and Server, Geographic Information System (GIS), SAP, Electronic Data Interchange (EDI), Data Warehouse, Radio Systems Support, Information Security, User Experience/User Interface, and Special Projects; WHEREAS, COUNTY is satisfied that the source selection method used by the County of Sacramento complies with the requirements of the COUNTY’s Purchasing Manual, and COUNTY’s procurement requirements, and is in the best interest of COUNTY; and WHEREAS, the CONTRACTORS listed in Attachment A are qualified and willing to perform such 8th March Agreement No. 22-085 -2- 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 Information Technology Professional Services for the COUNTY. NOW, THEREFORE, in consideration of the mutual covenants, terms and conditions herein contained, the parties hereto agree as follows: 1.DEFINITIONS The following terms are defined as follows for the purpose of this Agreement and in Attachments A-E. A.Director means COUNTY’s Director of Internal Services - Chief Information Officer or his or her designee. B.Disclose or any derivative of that word means to disclose, release, transfer, disseminate, or otherwise provide access to or communicate all or any part of any Personal Information orally, in writing, or by electronic or any other means to any person. C.Person means any natural person, corporation, partnership, limited liability company, firm, or association. D.Personal Information means any and all information, including any data, provided, or to which access is provided, to each CONTRACTOR by or upon the authorization of COUNTY, under this Agreement, including but not limited to vital records, that: identifies, describes, or relates to, or is associated with, or is capable of being used to identify, describe, or relate to, or associate with, a person (including, without limitation, names, physical descriptions, signatures, addresses, telephone numbers, e-mail addresses, education, financial matters, employment history, and other unique identifiers, as well as statements made by or attributable to the person); is used or is capable of being used to authenticate a person (including, without limitation, employee identification numbers, government-issued identification numbers, passwords or personal identification numbers (PINs), financial account numbers, credit report information, answers to security questions, and other personal identifiers); or is personal information within the meaning of California Civil Code section 1798.3, subdivision (a), or 1798.80, subdivision (e). Personal Information does not include publicly available information that is lawfully made available to the general public from federal, state, or local government records. -3- 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 E.Security Breach means any act or omission that compromises either the security, confidentiality, value, or integrity of any Personal Information or the Security Safeguards, or any unauthorized Use, Disclosure, or modification of, or any loss or destruction of, or any corruption of or damage to, any Personal Information. F.Use or any derivative thereof means to receive, acquire, collect, apply, manipulate, employ, process, transmit, disseminate, access, store, disclose, or dispose of Personal Information. G.ISD is the COUNTY’s Internal Services Department. H.System refers to the System Software and System Documentation, collectively, including all modifications and enhancements. I.System Software is the software name/computer software provided and hosted by CONTRACTOR that describes the software function. J.Authorized Persons means any and all Authorized Employees; any and all of CONTRACTOR’s subcontractors, representatives, agents, outsourcers, and consultants, and providers of professional services of each CONTRACTOR, who have access to Personal Information and are bound by law or in writing by confidentiality obligations sufficient to protect Personal Information in accordance with the terms of this Agreement. K.Privacy Practices Complaint means a complaint received by COUNTY relating to CONTRACTOR’s (or any Authorized Person’s) privacy practices or alleging a Security Breach. Such complaints shall have sufficient detail to enable each CONTRACTOR to promptly investigate and take remedial action under this Agreement. L.Security Safeguards means physical, technical, administrative or organizational security procedures and practices put in place by each CONTRACTOR (or any Authorized Persons) that relate to the protection of the security, confidentiality, value, or integrity of Personal Information. M.Authorized Employees means each CONTRACTOR’s employees who have access to Personal Information. N.Cyber Risks include but are not limited to Security Breaches, which may include Disclosure -4- 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 of Personal Information to an Unauthorized Third Party; breach of any of CONTRACTOR’s obligations under this Agreement; infringement of intellectual property, including but not limited to infringement of copyright, trademark, and trade dress; invasion of privacy, including release of private information; information theft; damage to or destruction or alteration of electronic information; extortion related to a CONTRACTOR’s obligations under this Agreement regarding electronic information, including Personal Information; network security; data breach response costs, including Security Breach response costs; regulatory fines and penalties related to a CONTRACTOR’s obligations under this Agreement regarding electronic information, including Personal Information; and credit monitoring expenses. 2.OBLIGATIONS OF EACH CONTRACTOR A.CONTRACTORS hereby acknowledge their understanding, and agree that their inclusion on Attachment A does not constitute a guarantee or promise that any CONTRACTOR shall provide any certain amount of work or services to the COUNTY under this Agreement. By executing a signature page, each CONTRACTOR becomes a signatory to this Agreement, and agrees that it is party to this Agreement with the COUNTY, and is bound contractually by its terms. Each CONTRACTOR is qualified and willing to perform the services discussed herein. B.CONTRACTORS currently performing services for specific projects pursuant to the Prior Master Agreement before the Effective Date of this Agreement shall continue work on those projects until each project is completed to the satisfaction of the COUNTY. Currently assigned projects are detailed in Attachment B (Part 2), attached and incorporated by this reference. C.Each CONTRACTOR shall provide all labor, materials, equipment, supplies, taxes, insurance, and warranties to perform services described in this Agreement. D.Each CONTRACTOR shall comply with all applicable Federal, State, County, and City regulations regarding wages, hours, and working conditions. E.Each CONTRACTOR shall provide, qualified, trained temporary staffing/professional -5- 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 services personnel, on an as-needed basis determined by the COUNTY. COUNTY may reject any temporary staffing candidate proposed by each CONTRACTOR. Project work shall be scheduled with a minimum of inconvenience to the COUNTY. F.Each of CONTRACTOR’S staff entering the JJC facilities shall provide proof of a negative skin test for tuberculosis (TB) within the past six (6) months, or, for positive Purified Protein Derivative (PPD) reactors, initial assessment and yearly assessment for signs and symptoms of disease. CONTRACTOR’S staff will be required to comply with the most current California Department of Public Health (CDPH) and California Division of Occupational Safety and Health (Cal/OSHA) COVID-19 guidelines, including guidelines specific to juvenile correctional facilities. CONTRACTOR will provide COUNTY with written a statement that their employees have either provided proof of COVID-19 vaccination or proof of weekly testing (with negative results), and that CONTRACTOR’s employees pass clearance. CONTRACTOR is obligated to comply with any future updated or amended COVID-19 guidelines from CDPH and Cal/OSHA. G.Each CONTRACTOR acknowledges that, in the course of its engagement by COUNTY under this Agreement, each CONTRACTOR, or any Authorized Persons, may Use Personal Information only as permitted in this Agreement. H.Each CONTRACTOR acknowledges that Personal Information is deemed to be confidential information of, or owned by, COUNTY (or persons from whom COUNTY receives or has received Personal Information) and is not confidential information of, or owned or by, CONTRACTOR, or any Authorized Persons. Each CONTRACTOR further acknowledges that all right, title, and interest in or to the Personal Information remains in COUNTY (or persons from whom COUNTY receives or has received Personal Information) regardless of CONTRACTOR’s, or any Authorized Person’s, Use of that Personal Information. I.Each CONTRACTOR agrees and covenants in favor of COUNTY that such CONTRACTOR shall keep and maintain all Personal Information in strict confidence, using such degree of care as is reasonable and appropriate to avoid a Security Breach; -6- 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 use Personal Information exclusively for the purposes for which the Personal Information is made accessible to each CONTRACTOR pursuant to the terms of this Agreement; not Use, Disclose, sell, rent, license, or otherwise make available Personal Information for CONTRACTOR’s own purposes or for the benefit of anyone other than COUNTY, without COUNTY’s express prior written consent, which the COUNTY may give or withhold in its sole and absolute discretion; and not, directly or indirectly, Disclose Personal Information to any person other than Authorized Persons pursuant to this Agreement, without the COUNTY’s prior written consent. Notwithstanding the foregoing, in any case in which each CONTRACTOR believes it, or any Authorized Person, is required to disclose Personal Information to government regulatory authorities, or pursuant to a legal proceeding, or otherwise as may be required by applicable law, Contractor shall immediately notify COUNTY of the specific demand for, and legal authority for the disclosure, including providing COUNTY with a copy of any notice, discovery demand, subpoena, or order, as applicable, received by such CONTRACTOR, or any Authorized Person, from any government regulatory authorities, or in relation to any legal proceeding, and promptly notify COUNTY before such Personal Information is offered by such CONTRACTOR for such disclosure so that COUNTY may have sufficient time to obtain a court order or take any other action COUNTY may deem necessary to protect the Personal Information from such disclosure, and each CONTRACTOR shall cooperate with COUNTY to minimize the scope of such disclosure of such Personal Information. Each CONTRACTOR shall remain liable to COUNTY for the actions and omissions of any Unauthorized Third Party concerning its Use of such Personal Information as if they were such CONTRACTOR’s own actions and omissions. J.Information Security i.Each CONTRACTOR covenants, represents and warrants to COUNTY that such CONTRACTOR’S Use of Personal Information under this Agreement does and shall at all times comply with all applicable federal, state, and local, privacy and -7- 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 data protection laws, as well as all other applicable regulations and directives, including but not limited to California Civil Code, Division 3, Part 4, Title 1.81 (beginning with section 1798.80), and the Song-Beverly Credit Card Act of 1971 (California Civil Code, Division 3, Part 4, Title 1.3, beginning with section 1747). If such CONTRACTOR Uses credit, debit or other payment cardholder information, such CONTRACTOR shall at all times remain in compliance with the Payment Card Industry Data Security Standard (“PCI DSS”) requirements, including remaining aware at all times of changes to the PCI DSS and promptly implementing and maintaining all procedures and practices as may be necessary to remain in compliance with the PCI DSS, in each case, at such CONTRACTOR’s sole cost and expense. ii.Each CONTRACTOR covenants, represents and warrants to COUNTY that, as of the Effective Date, each CONTRACTOR has not received notice of any violation of any privacy or data protection laws, as well as any other applicable regulations or directives, and is not the subject of any pending legal action or investigation by, any government regulatory authority regarding same. iii.Each CONTRACTOR’s (or Authorized Person’s) Security Safeguards shall be no less rigorous than accepted industry practices and, at a minimum, include the following: limiting Use of Personal Information strictly to such CONTRACTOR’s and Authorized Persons’ technical and administrative personnel who are necessary for such CONTRACTOR’s, or Authorized Persons’, Use of the Personal Information pursuant to this Agreement; ensure that all of such CONTRACTOR’s connectivity to COUNTY computing systems will only be through COUNTY’s security gateways and firewalls, and only through security procedures approved upon the express prior written consent of the COUNTY; to the extent that they contain or provide access to Personal Information, (a) securing business facilities, data centers, paper files, servers, back-up systems and computing equipment, operating systems, and software applications, -8- 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 including, but not limited to, all mobile devices and other equipment, operating systems, and software applications with information storage capability; (b) employing adequate controls and data security measures, both internally and externally, to protect the Personal Information from potential loss or misappropriation, or unauthorized Use, and the COUNTY’s operations from disruption and abuse; (c) having and maintaining network, device application, database and platform security; (d) maintaining authentication and access controls within media, computing equipment, operating systems, and software applications; and (e) installing and maintaining in all mobile, wireless, or handheld devices a secure internet connection, having continuously updated anti-virus software protection and a remote wipe feature always enabled, all of which is subject to express prior written consent of the COUNTY; encrypting all Personal Information at advance encryption standards of Advanced Encryption Standards (AES) of 128 bit or higher (a) stored on any mobile devices, including but not limited to hard disks, portable storage devices, or remote installation, or (b) transmitted over public or wireless networks (the encrypted Personal Information must be subject to password or pass phrase, and be stored on a secure server and transferred by means of a Virtual Private Network (VPN) connection, or another type of secure connection, all of which is subject to express prior written consent of the Director); strictly segregating Personal Information from all other information of such CONTRACTOR, including any Authorized Person, or anyone with whom such CONTRACTOR or any Authorized Person deals so that Personal Information is not commingled with any other types of information; having a patch management process including installation of all operating system/software vendor security patches; and providing appropriate privacy and information security training to Authorized Employees. iv. During the term of each Authorized Employee’s employment by a CONTRACTOR, such CONTRACTOR shall cause such Authorized Employees to -9- 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 abide strictly by the respective’ s CONTRACTOR’s obligations under this Agreement. Each CONTRACTOR further agrees that it shall maintain a disciplinary process to address any unauthorized Use of Personal Information by any Authorized Employees. v.Each CONTRACTOR shall, in a secure manner, backup daily, or more frequently if it is such CONTRACTOR’s practice to do so more frequently, Personal Information received from COUNTY, and the COUNTY shall have immediate, real time access, at all times, to such backups via a secure, remote access connection provided by such CONTRACTOR, through the Internet. vi.Each CONTRACTOR – owned mobile, wireless, or handheld devices: CONTRACTORS may not connect to COUNTY networks via personally or CONTRACTOR – owned mobile, wireless or handheld devices, unless the following conditions are met: such CONTRACTOR has received authorization by COUNTY; current virus protection software is in place; mobile device has the remote wipe feature enabled; and a secure connection is used. i. CONTRACTOR’s – owned computers: Each CONTRACTOR may not bring CONTRACTOR - owned computer or computer peripherals into the COUNTY for use without prior authorization from the COUNTY’s Director or his/her designee(s), including but not limited to mobile storage devices. If data is approved to be transferred, data must be stored on a secure server approved by the COUNTY and transferred by means of a Virtual Private Network (VPN) connection, or another type of secure connection. Said data must be encrypted. ii. COUNTY - owned computer equipment: CONTRACTOR’s may not use COUNTY computers or computer peripherals on non - COUNTY premises without prior authorization from the COUNTY’s Director or his/her designee(s). K.Security Breach Procedures i.Immediately upon CONTRACTOR’s awareness or reasonable belief of a Security Breach, such CONTRACTOR shall (a) notify the Director of the Security Breach, -10- 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 such notice to be given first by telephone at the following telephone number, followed promptly by email at the following email address: (559) 600-6200 / rolsen@fresnocountyca.gov/agrayson@fresnocountyca.gov (which telephone number and email address COUNTY may update by providing notice to such CONTRACTOR), and (b) preserve all relevant evidence (and cause any affected Authorized Person to preserve all relevant evidence) relating to the Security Breach. The notification shall include, to the extent reasonably possible, the identification of each type and the extent of Personal Information that has been, or is reasonably believed to have been breached, including but not limited to, compromised, or subjected to unauthorized Use, Disclosure, or modification, or any loss or destruction, corruption, or damage. ii.Immediately following CONTRACTOR’s notification to COUNTY of a Security Breach, as provided pursuant to subsection I (i) of this Agreement, the Parties shall coordinate with each other to investigate the Security Breach. Each CONTRACTOR agrees to fully cooperate with COUNTY, including, without limitation: (a) assisting COUNTY in conducting any investigation; (b) providing COUNTY with physical access to the facilities and operations affected; (c) facilitating interviews with Authorized Persons and any of CONTRACTOR’s other employees knowledgeable of the matter; and (d) making available all relevant records, logs, files, data reporting and other materials required to comply with applicable law, regulation, industry standards, or as otherwise reasonably required by COUNTY. To that end, each CONTRACTOR shall, with respect to a Security Breach, be solely responsible, at its cost, for all notifications required by law and regulation, or deemed reasonably necessary by COUNTY, and each CONTRACTOR shall provide a written report of the investigation and reporting required to the Director within thirty (30) days after the CONTRACTOR’s discovery of the Security Breach. iii. COUNTY shall promptly notify the respective CONTRACTOR of the Director’s -11- 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 knowledge, or reasonable belief, of any Privacy Practices Complaint, and upon CONTRACTOR’s receipt of notification thereof, the respective CONTRACTOR shall promptly address such Privacy Practices Complaint, including taking any corrective action under this Agreement, all at the respective CONTRACTOR’s sole expense, in accordance with applicable privacy rights, laws, regulations and standards. In the event such CONTRACTOR discovers a Security Breach, such CONTRACTOR shall treat the Privacy Practices Complaint as a Security Breach. Within twenty-four (24) hours of CONTRACTOR’s receipt of notification of such Privacy Practices Complaint, such CONTRACTOR shall notify COUNTY whether the matter is a Security Breach, or otherwise has been corrected and the manner of correction or determined not to require corrective action and the reason therefor. iv. Each CONTRACTOR shall take prompt corrective action to respond to and remedy any Security Breach and take mitigating actions, including but not limiting to, preventing any reoccurrence of the Security Breach and correcting any deficiency in Security Safeguards as a result of such incident, all at the respective CONTRACTOR’s sole expense, in accordance with applicable privacy rights, laws, regulations and standards. Each CONTRACTOR shall reimburse COUNTY for all reasonable costs incurred by COUNTY in responding to, and mitigating damages caused by, any Security Breach, including all costs of COUNTY incurred relation to any litigation or other action described in this Agreement. v. Each CONTRACTOR agrees to cooperate, at its sole expense, with COUNTY in any litigation or other action to protect COUNTY’s rights relating to Personal Information, including the rights of persons from whom COUNTY receives Personal Information. L. Oversight of Security Compliance i. Each CONTRACTOR shall have and maintain a written information security policy that specifies Security Safeguards appropriate to the size and complexity of such -12- 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 CONTRACTOR’s operations and the nature and scope of its activities. ii. Upon COUNTY’s written request, to confirm a CONTRACTOR’s compliance with this Agreement, as well as any applicable laws, regulations and industry standards, each CONTRACTOR grants COUNTY or, upon COUNTY’s election, a third party on COUNTY’s behalf, permission to perform an assessment, audit, examination or review of all controls in the respective CONTRACTOR’s physical and technical environment in relation to all Personal Information that is Used by such CONTRACTOR pursuant to this Agreement. Each CONTRACTOR shall fully cooperate with such assessment, audit or examination, as applicable, by providing COUNTY or the third party on COUNTY’s behalf, access to all Authorized Employees and other knowledgeable personnel, physical premises, documentation, infrastructure and application software that is Used by such CONTRACTOR for Personal Information pursuant to this Agreement. In addition, each CONTRACTOR shall provide COUNTY with the results of any audit by or on behalf of such CONTRACTOR that assesses the effectiveness of CONTRACTOR’s information security program as relevant to the security and confidentiality of Personal Information Used by such CONTRACTOR or Authorized Persons during the course of this Agreement. M. Upon the termination of this Agreement, each CONTRACTOR shall, and shall instruct all Authorized Persons to, promptly return to COUNTY all Personal Information, whether in written, electronic or other form or media, in its possession or the possession of such Authorized Persons, in a machine readable form used by COUNTY at the time of such return, or upon the express prior written consent of the Recorder and the Director, securely destroy all such Personal Information, and certify in writing to the COUNTY that such Personal Information have been returned to COUNTY or disposed of securely, as applicable. If such CONTRACTOR is authorized to dispose of any such Personal Information, as provided in this Agreement, such certification shall state the date, time, and manner of disposal and by whom, specifying the title of the individual. Each -13- 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 CONTRACTOR shall comply with all reasonable directions provided by the Director with respect to the return or disposal of Personal Information and copies thereof. If return or disposal of such Personal Information or copies of Personal Information is not feasible, such CONTRACTOR shall notify COUNTY according, specifying the reason, and continue to extend the protections of this Agreement to all such Personal Information and copies of Personal Information. Each CONTRACTOR shall not retain any copy of any Personal Information after returning or disposing of Personal Information as required by this Agreement. Each CONTRACTOR’s obligations under this Section K survive the termination of this Agreement and apply to all Personal Information that such CONTRACTOR retains if return or disposal is not feasible and to all Personal Information that such CONTRACTOR may later discover. N.Equitable Relief Each CONTRACTOR acknowledges that any breach of its covenants or obligations set forth in this Agreement may cause COUNTY irreparable harm for which monetary damages would not be adequate compensation and agrees that, in the event of such breach or threatened breach, COUNTY is entitled to seek equitable relief, including a restraining order, injunctive relief, specific performance and any other relief that may be available from any court, in addition to any other remedy to which COUNTY may be entitled at law or in equity. Such remedies shall not be deemed to be exclusive but shall be in addition to all other remedies available to COUNTY at law or in equity or under this Agreement. O.Building Security Failure to fully comply with the security requirements as set forth in this Section 2(M) will be considered a breach of contract and shall result in termination of this Master Agreement for default as to the breaching Contractor only. Each CONTRACTOR acknowledges that the Juvenile Justice Campus (JJC) and the Fresno Sheriff – Coroner’s Office (FSCO) Jail Detention Facilities are “no-hostage facilities”. Each CONTRACTOR shall ensure that its employees and any sub-contractors working in the JJC, and -14- 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 associated facilities, agree to abide by COUNTY’S rules for a no-hostage facility as set forth in Attachment F, attached and incorporated by this reference. COUNTY may change these policies and procedures at any time, without any prior notice to CONTRACTOR. CONTRACTOR shall plan and execute all work in such a manner as to prevent a security breach of the JJC and FSCO detention facilities or any other COUNTY secured facility. Each CONTRACTOR shall comply with all Prison Rape Elimination Act (PREA) standards for juvenile correctional facilities as set forth in Attachment G. Each CONTRACTOR shall comply with all Probation Department Policies and Procedures. In the event of a dispute involving COUNTY staff and a CONTRACTOR employee or subcontractor, the Director will have the final decision. Each CONTRACTOR is also required to comply with “Background Investigations and Identification Badges,” as set forth in Attachment H for specific facilities if determined by the COUNTY. 3.REQUESTS FOR SERVICE Thirteen (13) different types of Information Technology (IT) Groupings are described in the attached Attachment B (Part 1), which is incorporated by this reference. Attachment B (Part 1) identifies the IT Grouping services each CONTRACTOR can provide under this Agreement. Attachment C, attached and incorporated by this reference, describes the rates submitted by each CONTRACTOR. When COUNTY needs IT services described in Attachment B (Part 1), COUNTY shall issue a written request for those services to the vendor with the lowest listed rates described in Attachment C. The selected vendor shall have two (2) days to respond to the written request. Upon the COUNTY’s discretion, the COUNTY may extend the deadline to respond to the written request. If the first selected vendor does not respond within the required time period, COUNTY shall issue a written request for services to the vendor with the next lowest rates for the requested services. The process described in this Section 3 shall apply to all new service requests. Section 2(B), herein, outlines the process for CONTRACTORS currently assigned to projects pursuant to the Prior Master Agreement before the Effective Date of this Agreement. The Department of Internal Services, Purchasing, will oversee all requests for service under this Agreement. 4.NO RELATIONSHIP TO OTHER CONTRACTORS – Under this Agreement, each -15- 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 CONTRACTOR only has rights and obligations with respect to the COUNTY. This Agreement creates no rights or obligations between any CONTRACTORS. No CONTRACTOR has any right to receive performance under this Agreement from, or to enforce any part of this Agreement against, any other CONTRACTOR. 5.ADDITION OF CONTRACTORS Because of the rapidly changing nature of the Information Technology industry and the COUNTY’s environment, the COUNTY may need to add vendors to this Agreement to meet the COUNTY’s needs. The COUNTY recognizes that during the life of this Agreement, new technologies may emerge and additional vendors, with specialized skills may be necessary (other than the five (5) CONTRACTORS currently awarded). In that event, the COUNTY may add a vendor from the list on Attachment D, attached and incorporated by this reference, which is a list of all vendors awarded by Sacramento County in RFP No. 8540. The new CONTRACTORS will agree to the terms and conditions in this Agreement, with the exception that the term shall be limited to the duration of the term remaining on the Agreement at that time. The Director reserves the right to add such new CONTRACTORS, from the approved list on Attachment D. It is understood that any such additions may be made by COUNTY without notice to or approval of the other CONTRACTORS. By executing a signature page, each new CONTRACTOR will become a signature to this Agreement, and agree that it is party to the Agreement with the COUNTY, and is bound by its terms. 6.OBLIGATIONS OF COUNTY A.COUNTY hereby appoints the Director, or his or her designee, as COUNTY's Contract Administrator with full authority to deal with CONTRACTOR in the administration of this Agreement. B.For services performed at the Juvenile Justice Campus (“JJC”), the Director shall designate and provide office space, consisting of two 6’x8’ cubicles, approximately 96 square feet in size, at JJC Building 702, as well as supplies and equipment, including a desk, phones(s), computer(s), monitor(s), and access to sanitation stations in such office space, all in such amounts or numbers as determined by COUNTY, for CONTRACTOR 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 to utilize under the terms and conditions of this Agreement, at no charge to CONTRACTOR for such use of space, including such office supplies and office equipment in such office space. Such supplies and equipment shall remain at the JJC, and shall not be used by CONTRACTOR for its provision of services off-site from the JJC. COUNTY shall have the right to enter such office space at all times, it being understood that CONTRACTOR may not control or exclusively possess such office space. C.SYSTEM HARDWARE AND SYSTEM SOFTWARE: COUNTY will, at its own expense, provide and properly maintain and update on an ongoing basis all necessary hardware required to operate the System Software. COUNTY’s hardware shall meet or exceed a CONTRACTOR’s recommendations, as provided in the System Documentation. D.OTHER COUNTY OBLIGATIONS: i.COUNTY’s ISD staff will provide technical assistance to CONTRACTORS during the installation of any System Software. In particular, COUNTY will provide: ii.Network connectivity and troubleshooting assistance; iii.Ability for COUNTY staff to monitor network traffic and isolate bottlenecks; iv.Technical assistance concerning the integration with existing COUNTY Systems (if applicable); and v.Expertise to handle issues with COUNTY PCs, printers, and cabling before, during, and after First Production Use. vi.COUNTY shall provide all information reasonably necessary for CONTRACTORS to properly complete service requests. 7.TERM The term of this Agreement begins on March 8, 2022 ("Effective Date"). The term of this Agreement shall be for a period of three (3) years, commencing on the Effective Date. This Agreement may be extended for two (2) additional consecutive twelve (12) month periods upon written approval of both parties no later than thirty (30) days prior to the first day of the next twelve (12) month extension period. The Director or his/her designee gives -16- -17- 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 notice no later than thirty (30) days prior to the first day of the next twelve (12) month extension period. 8.TERMINATION A.Non-Allocation of Funds – The terms of this Agreement, and the services to be provided hereunder, are contingent on the approval of funds by the appropriating government agency. Should sufficient funds not be allocated, the services provided may be modified, or this Agreement terminated, at any time without penalty by giving the CONTRACTORS thirty (30) days advance written notice. B.Breach of Contract – The COUNTY may immediately suspend or terminate this Agreement in whole or in part, where in the determination of the COUNTY there is: i.An illegal or improper use of funds; ii.A failure to comply with any term of this Agreement; iii.A substantially incorrect or incomplete report submitted to the COUNTY; iv.Improperly performed service. In no event shall any payment by the COUNTY constitute a waiver by the COUNTY of any breach of this Agreement or any default which may then exist on the part of a CONTRACTOR. Neither shall such payment impair or prejudice any remedy available to the COUNTY with respect to the breach or default. The COUNTY shall have the right to demand of the CONTRACTOR the repayment to the COUNTY of any funds disbursed to the CONTRACTOR under this Agreement, which in the judgment of the COUNTY were not expended in accordance with the terms of this Agreement. The CONTRACTOR shall promptly refund any such funds upon demand. C.Without Cause – Under circumstances other than those set forth above, this Agreement may be terminated by COUNTY by giving thirty (30) days advance written notice of an intention to terminate to a CONTRACTOR. D.Termination of One or More Contractors - In the event that COUNTY terminates this Agreement as to one or more CONTRACTORS, this Agreement shall stay in full force and effect as to the remaining CONTRACTORS. Termination of one or more -18- 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 CONTRACTOR from this Agreement shall not terminate the Agreement as to the remaining CONTRACTORS 9.COMPENSATION/INVOICING COUNTY shall provide compensation and payment to each CONTRACTOR only for the services specifically authorized in writing by the COUNTY. COUNTY agrees to pay each CONTRACTOR and each CONTRACTOR agrees to receive compensation in accordance with each CONTRACTOR’s respective rates, as listed in the Pricing Schedule attached as Attachment C. All amounts in the Pricing Schedule and paid to each CONTRACTOR include taxes, fees, and charges. CONTRACTOR shall not undertake any services without the advance written authorization of the COUNTY. In no event shall the total cumulative amount of compensation paid to all of the CONTRACTORS collectively during the entire potential Term of this Agreement exceed eight million dollars ($8,000,000). Each CONTRACTOR shall submit monthly invoices referencing the provided contract number via email isdbusinessoffice@fresnocountyca.gov or mail, to the County of Fresno, Department of Internal Services, Attention: Director of Internal Services/Chief Information Officer, 333 W. Pontiac Way, Clovis, CA 93612. COUNTY shall pay each CONTRACTOR within forty-five (45) days of receipt of an approved invoice. All invoices shall include name of CONTRACTOR’s employee(s), hours worked, hourly rate(s), overtime rate(s), date of invoice, and this Agreement number. A separate invoice shall be issued for each service request. 10.INDEPENDENT CONTRACTOR In performance of the work, duties and obligations assumed by CONTRACTORS under this Agreement, it is mutually understood and agreed that CONTRACTORS, including any and all of the CONTRACTOR'S officers, agents, and employees will at all times be acting and performing as an independent contractor, and shall act in an independent capacity and not as an officer, agent, servant, employee, joint venturer, partner, or associate of the COUNTY. Furthermore, COUNTY shall have no right to control or supervise or direct the manner or method by which CONTRACTORS shall perform their work and function. However, COUNTY shall retain the right to -19- 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 administer this Agreement so as to verify that CONTRACTORS are performing its obligations in accordance with the terms and conditions thereof. CONTRACTORS and COUNTY shall comply with all applicable provisions of law and the rules and regulations, if any, of governmental authorities having jurisdiction over matters the subject thereof. Because of their statuses as independent contractors, CONTRACTORS shall have absolutely no right to employment rights and benefits available to COUNTY employees. CONTRACTORS shall be solely liable and responsible for providing to, or on behalf of, its employees all legally-required employee benefits. In addition, CONTRACTORS shall be solely responsible and save COUNTY harmless from all matters relating to payment of CONTRACTORS’ employees, including compliance with Social Security withholding and all other regulations governing such matters. It is acknowledged that during the term of this Agreement, CONTRACTORS may be providing services to others unrelated to the COUNTY or to this Agreement. 11.MODIFICATION Any matters of this Agreement may be modified from time to time by the written consent of all the parties without, in any way, affecting the remainder. 12.NON-ASSIGNMENT None of the parties shall assign, transfer or sub-contract this Agreement nor their rights or duties under this Agreement without the prior written consent of the other parties. 13.HOLD HARMLESS CONTRACTORS agrees to indemnify, save, hold harmless, and at COUNTY'S request, defend the COUNTY, its officers, agents, and employees from any and all costs and expenses (including attorney’s fees and costs), damages, liabilities, claims, and losses occurring or resulting to COUNTY in connection with the performance, or failure to perform, by that CONTRACTOR, its officers, agents, or employees under this Agreement, and from any and all costs and expenses (including attorney’s fees and costs), damages, liabilities, claims, and losses occurring or resulting to any person, firm, or corporation who may be injured or damaged by the performance, or -20- 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 failure to perform, of that CONTRACTOR, its officers, agents, or employees under this Agreement. The provisions of this Section 13 shall survive termination of this Agreement. 14.INSURANCE Without limiting the COUNTY's right to obtain indemnification from CONTRACTOR or any third parties, CONTRACTOR, at its sole expense, shall maintain in full force and effect, the following insurance policies or a program of self-insurance, including but not limited to, an insurance pooling arrangement or Joint Powers Agreement (JPA) throughout the term of the Agreement: A.Commercial General Liability Commercial General Liability Insurance with limits of not less than Two Million Dollars ($2,000,000.00) per occurrence and an annual aggregate of Four Million Dollars ($4,000,000.00). This policy shall be issued on a per occurrence basis. COUNTY may require specific coverages including completed operations, products liability, contractual liability, Explosion-Collapse-Underground, fire legal liability or any other liability insurance deemed necessary because of the nature of this contract. B.Automobile Liability Comprehensive Automobile Liability Insurance with limits of not less than One Million Dollars ($1,000,000.00) per accident for bodily injury and for property damages. Coverage should include any auto used in connection with this Agreement. The automobile liability insurance certificate must state that the policy covers any auto used in connection with this Agreement. C.Professional Liability If CONTRACTOR employs licensed professional staff, (e.g., Ph.D., R.N., L.C.S.W., M.F.C.C.) in providing services, Professional Liability Insurance with limits of not less than One Million Dollars ($1,000,000.00) per occurrence, Three Million Dollars ($3,000,000.00) annual aggregate. CONTRACTOR agrees that it shall maintain, at its sole expense, in full force and effect for a period of three (3) years following the termination of this Agreement, one or more policies of professional liability insurance with limits of coverage as specified herein. -21- 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 D.Worker's Compensation A policy of Worker's Compensation insurance as may be required by the California Labor Code. E.Technology Professional Liability Technology professional liability (errors and omissions) insurance with limits of not less than Two Million Dollars ($2,000,000) per occurrence. Coverage must encompass all of CONTRACTOR’s obligations under this Agreement, including but not limited to claims involving Cyber Risks. F.Cyber Liability Cyber liability insurance with limits of not less than Two Million Dollars ($2,000,000) per occurrence or claim, $2,000,000 aggregate. Coverage shall be sufficiently broad to respond to the duties and obligations as is undertaken by CONTRACTOR in this Agreement and shall include, but not be limited to, claims involving infringement of intellectual property, including but not limited to infringement of copyright, trademark, trade dress, invasion of privacy violations, information theft, damage to or destruction of electronic information, release of private information, alteration of electronic information, extortion and network security. The policy shall provide coverage for breach response costs as well as regulatory fines and penalties as well as credit monitoring expenses with limits sufficient to respond to these obligations.Coverage must include, but not be limited to, claims involving Cyber Risks. The cyber liability policy must be endorsed to cover the full replacement value of damage to, alteration of, loss of, or destruction of intangible property (including but not limited to information or data) that is in the care, custody, or control of CONTRACTOR. G.Molestation Sexual abuse/molestation liability insurance with limits of not less than One Million Dollars ($1,000,000) per occurrence, Two Million Dollars ($2,000,000) annual aggregate. This policy shall be issued on a per occurrence basis. H.Additional Requirements Relating to Insurance -22- 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 CONTRACTOR shall obtain endorsements to the Commercial General Liability insurance naming the County of Fresno, its officers, agents, and employees, individually and collectively, as additional insured, but only insofar as the operations under this Agreement are concerned. Such coverage for additional insured shall apply as primary insurance and any other insurance, or self-insurance, maintained by COUNTY, its officers, agents and employees shall be excess only and not contributing with insurance provided under CONTRACTOR's policies herein. This insurance shall not be cancelled or changed without a minimum of thirty (30) days advance written notice given to COUNTY. CONTRACTOR hereby waives its right to recover from COUNTY, its officers, agents, and employees any amounts paid by the policy of worker’s compensation insurance required by this Agreement. CONTRACTOR is solely responsible to obtain any endorsement to such policy that may be necessary to accomplish such waiver of subrogation, but CONTRACTOR’s waiver of subrogation under this paragraph is effective whether or not CONTRACTOR obtains such an endorsement. Within Thirty (30) days from the date CONTRACTOR signs and executes this Agreement, CONTRACTOR shall provide certificates of insurance and endorsement as stated above for all of the foregoing policies, as required herein, to the County of Fresno, Internal Services Department, Attention: Director of Internal Services/Chief Information Officer, 333 W. Pontiac Way, Clovis, CA 93612, stating that such insurance coverage have been obtained and are in full force; that the County of Fresno, its officers, agents and employees will not be responsible for any premiums on the policies; that for such worker’s compensation insurance the CONTRACTOR has waived its right to recover from the COUNTY, its officers, agents, and employees any amounts paid under the insurance policy and that waiver does not invalidate the insurance policy; that such Commercial General Liability insurance names the County of Fresno, its officers, agents and employees, individually and collectively, as additional insured, but only insofar as the operations under this Agreement are concerned; that such coverage for additional insured shall apply as primary insurance and any other insurance, or self-insurance, maintained by COUNTY, its officers, agents and employees, shall be excess only and not contributing with insurance provided under -23- 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 CONTRACTOR's policies herein; and that this insurance shall not be cancelled or changed without a minimum of thirty (30) days advance, written notice given to COUNTY. In the event CONTRACTOR fails to keep in effect at all times insurance coverage as herein provided, the COUNTY may, in addition to other remedies it may have, suspend or terminate this Agreement upon the occurrence of such event. All policies shall be issued by admitted insurers licensed to do business in the State of California, and such insurance shall be purchased from companies possessing a current A.M. Best, Inc. rating of A FSC VII or better. 15.AUDITS AND INSPECTIONS The CONTRACTORS shall at any time during business hours, and as often as the COUNTY may deem necessary, make available to the COUNTY for examination all of its records and data with respect to the matters covered by this Agreement. The CONTRACTORS shall, upon request by the COUNTY, permit the COUNTY to audit and inspect all of such records and data necessary to ensure CONTRACTORS’ compliance with the terms of this Agreement. If this Agreement exceeds ten thousand dollars ($10,000.00), CONTRACTORS shall be subject to the examination and audit of the California State Auditor for a period of three (3) years after final payment under contract (Government Code Section 8546.7). 16.NOTICES The persons and their addresses having authority to give and receive notices under this Agreement include the following: COUNTY CONTRACTOR COUNTY OF FRESNO See Attachment A Director of Internal Services/CIO 333 W. Pontiac Way Clovis, CA 93612 isdcontracts@fresnocountyca.gov All notices between the COUNTY and the CONTRACTORS provided for or permitted under this Agreement must be in writing and delivered either by personal service, by first-class United States mail, by an overnight commercial courier service, or by telephonic facsimile transmission. A notice delivered by personal service is effective upon service to the recipient. A notice delivered by first- -24- 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 class United States mail is effective three COUNTY business days after deposit in the United States mail, postage prepaid, addressed to the recipient. A notice delivered by an overnight commercial courier service is effective one COUNTY business day after deposit with the overnight commercial courier service, delivery fees prepaid, with delivery instructions given for next day delivery, addressed to the recipient. A notice delivered by telephonic facsimile is effective when transmission to the recipient is completed (but, if such transmission is completed outside of COUNTY business hours, then such delivery shall be deemed to be effective at the next beginning of a COUNTY business day), provided that the sender maintains a machine record of the completed transmission. For all claims arising out of or related to this Agreement, nothing in this section establishes, waives, or modifies any claims presentation requirements or procedures provided by law, including but not limited to the Government Claims Act (Division 3.6 of Title 1 of the Government Code, beginning with section 810). 17.GOVERNING LAW Venue for any action arising out of or related to this Agreement shall only be in Fresno County, California. The rights and obligations of the parties and all interpretation and performance of this Agreement shall be governed in all respects by the laws of the State of California. 18.LEGAL AUTHORITY Each individual executing this Agreement on behalf of a CONTRACTOR hereby covenants, warrants, and represents: (i) that he or she is duly authorized to execute or attest and deliver this Agreement on behalf of such entity, e.g. (without limitation), corporation, limited liability company, limited partnership, partnership or sole proprietorship, in accordance with all applicable formalities and under California law; (ii) that this Agreement is binding on such entity; and (iii) that CONTRACTOR (as applicable) is a duly organized and legally existing corporation, limited liability company, limited partnership, partnership or sole proprietorship in good standing in the State of California. 19.DISCLOSURE OF SELF-DEALING TRANSACTIONS This provision is only applicable if the CONTRACTORS are operating as a corporation (a -25- 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 for-profit or non-profit corporation) or if during the term of the agreement, the CONTRACTORS change their status to operate as a corporation. Members of the CONTRACTORS’ Board of Directors shall disclose any self-dealing transactions that they are a party to while CONTRACTORS are providing goods or performing services under this Agreement. A self-dealing transaction shall mean a transaction to which the CONTRACTORS are a party and in which one or more of their directors have a material financial interest. Members of the Board of Directors shall disclose any self-dealing transactions that they are a party to by completing and signing a Self-Dealing Transaction Disclosure Form, attached hereto as Attachment E, and incorporated herein by reference, and submitting it to the COUNTY prior to commencing with the self-dealing transaction or immediately thereafter. 20.ELECTRONIC SIGNATURE The parties agree that this Agreement may be executed by electronic signature as provided in this section. An “electronic signature” means any symbol or process intended by an individual signing this Agreement to represent their signature, including but not limited to (1) a digital signature; (2) a faxed version of an original handwritten signature; or (3) an electronically scanned and transmitted (for example by PDF document) of a handwritten signature. Each electronic signature affixed or attached to this Agreement (1) is deemed equivalent to a valid original handwritten signature of the person signing this Agreement for all purposes, including but not limited to evidentiary proof in any administrative or judicial proceeding, and (2) has the same force and effect as the valid original handwritten signature of that person. The provisions of this section satisfy the requirements of Civil Code section 1633.5, subdivision (b), in the Uniform Electronic Transaction Act (Civil Code, Division 3, Part 2, Title 2.5, beginning with section 1633.1). Each party using a digital signature represents that it has undertaken and satisfied the requirements of Government Code section 16.5, subdivision (a), paragraphs (1) through (5), and agrees that each other party may rely upon that representation. This Agreement is not conditioned upon the parties conducting the transactions under it by electronic means and either party may sign this Agreement with an original handwritten signature. 21.CONSISTENT FEDERAL INCOME TAX POSITION: -26- 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 CONTRACTORS acknowledge that the JJC has been acquired or improved (and is situated on land that has been acquired) using net proceeds of governmental tax-exempt bonds (“Bond-Financed Facility”). CONTRACTORS agree that, with respect to this Agreement and the Bond-Financed Facility, CONTRACTORS are not entitled to take, and shall not take, any position (also known as a “tax position”) with the Internal Revenue Service that is inconsistent with being a “service provider” to the COUNTY, as a “qualified user” with respect to the Bond- Financed Facility, as “managed property,” as all of those terms are used in Internal Revenue Service Revenue Procedure 2016-44 and 2017-13, as applicable, and to that end, for example, and not as a limitation, CONTRACTORS agree that CONTRACTORS shall not, in connection with any federal income tax return that they file with the Internal Revenue Service or any other statement or information that it provides to the Internal Revenue Service, (a) claim ownership, or that it is a lessee, of any portion of the Bond-Financed Facility, or (b) claim any depreciation or amortization (as referenced in Internal Revenue Service Revenue Procedure 2016-44) or amortization deduction (as referenced in Internal Revenue Service Revenue Procedure 2017- 13), investment tax credit, or deduction for any payment as rent with respect to the Bond- Financed Facility. 22.ENTIRE AGREEMENT This Agreement constitutes the entire agreement between the CONTRACTORS and COUNTY with respect to the subject matter hereof, and supersedes all previous Agreement negotiations, proposals, commitments, writings, advertisements, publications, and understanding of any nature whatsoever, unless expressly included in this Agreement. 1 IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the day and year first 2 here inabove written . 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 CONTRACTORS See Additional Signature Pages Attached FOR ACCOUNTING USE ONLY: Fund : 1020NARIOUS Subclass : 1 OOOON ARIOUS ORG : 8905NARIOUS Account: 7294/7311NARIOUS Brian Pacheco , Chairman of the Board of Supervisors of the County of Fresno ATTEST: Bernice E. If successful in securing a release through these means minors would be much more likely in the future to use this practice again in an attempt to escape the confines of the facilities. This would put those visiting and working at the JJC at higher level of risk and would jeopardize the safety of the community if the minor was in fact successful in securing his/her release. The JJC is a “no-hostage” facility. This means that minors will not be released from custody under any circumstances due to the taking of a hostage(s). Any staff person taken hostage, no matter what their rank or status, immediately loses their authority and any orders issued by that person will not be followed. I.HOSTAGE SITUATION PROCEDURES A.If any minor(s) and/or other person(s) in the facility attempt to hold any person hostage, and they do not respond to verbal commands to stop staff will immediately notify the Watch Commander. He/she will respond to the location and assess the situation. If a hostage situation is in progress the Watch Commander will: 1.Summon assistance from other officers as required. 2.Establish a secure perimeter around the hostage takers and allow no one to pass into it for any reason without authorization. Risks should not be taken that might allow the taking of additional hostages. 3.Evacuate all non-essential persons at the scene to a safe location or any housing pod that is not directly involved in the incident. 4.Direct officers to place minors in uninvolved housing pods in their rooms and have them remain there until directed otherwise. Minors outside of housing pods will remain in place under officer supervision until it is safe to return to their respective housing pods or any housing pod that is not directly involved in the incident. 5.Immediately notify the Director or the Probation Services Manager/Assistant Director in his/her absence and confer with higher authority as to action to be taken. Administration in turn will notify the Chief. ATTACHMENT F Fresno County Juvenile Justice Campus Policy Manual Page 1 of 3 B.The Fresno Sheriff’s Dispatch Center (488-3111) will be notified immediately and a request for a trained hostage negotiator and other emergency personnel will be made as needed. Prior to the arrival of the Sheriff Department’s hostage negotiator the Watch Commander will attempt to ascertain: 1.The number and identity of both the hostages and hostage takers; 2.Any known weapons possessed by the hostage takers; 3.The demands of the hostage takers. C.The Watch Commander will retain and direct departing custody officers, as well as, available Probation peace officer staff to assist with security and safety needs, as necessary. Additional Juvenile Correctional Officers should be called in as may be needed to insure the safe and secure operation of the facility. D.The Watch Commander will coordinate with the Sheriff’s Department all activities taken to resolve the hostage situation, including the use of appropriate force, and will maintain control of the facility until relieved of that duty by the presence of a Probation Services Manager/Assistant Director, Director, or the Chief Probation Officer. E.Once the hostage situation has been resolved the minors involved should be housed in the most secure setting available and all appropriate charges should be filed. F.Each officer and/or non-sworn staff member who was involved or observed the incident will complete an incident report and if required, the appropriate critical incident evaluation report(s) regarding the details of the incident prior to the end of his/her shift. (See Incident Report, located in JAS Probation View, under “Word Templates”.) G.The Watch Commander will prepare a Critical Incident Investigation Report, using the Critical Incident Evaluation Report - Page 2 report form and the critical incident evaluation report(s) completed by the reporting persons at the time of the incident. II.PARENTAL AND MEDIA INFORMATION A.Attempts will be made at the direction of Administration to reach the families of the hostages to advise them of the situation. Notification will also be made to the parents of the hostage takers as deemed appropriate. B.All media inquiries will be referred to the Chief’s office per departmental policy. III.SECURITY AND OPERATIONAL REVIEW Once the incident has been resolved a team will be established to conduct a security and operational review of the incident. The review will be conducted within 2 days of the resolution of the incident. The review team will be comprised of the facility administrator and/or facility Director, Probation Services Manager/Assistant Director and Supervising Juvenile Correctional Officers who are relevant to the incident. The team will review the circumstances leading up to the incident and any necessary corrective action necessary to insure that such an incident does not repeat itself. Gattie AUTHORITY: California Code of Regulations, Title 15, Section 1029(a)(7)(B) and Penal Code Section 236. PURPOSE: The purpose of this policy is to establish procedures which provide for the resolution of a hostage-taking incident while preserving the safety of staff, public, inmates, and hostages, and maintaining facility security. POLICY: The Fresno County Sheriff's Office Jail Division maintains a NO HOSTAGE FACILITY and will not consider bargaining with hostage takers for ANY reason. It is the policy of the Fresno County Sheriff's Office Jail Division that once any staff member is taken hostage, they immediately lose their authority and any orders issued by that person will not be followed regardless of their rank or status. It is the policy of the Fresno County Sheriff's Office Jail Division that the primary responsibility of all staff members in a hostage situation is to protect every person involved, if possible, from serious injury or death. PROCEDURES: I.DEFINITION HOSTAGE SITUATION: any staff member, citizen or inmate held against their will by another person for the purpose of escape, monetary gain or any reason which may place an individual in danger of losing life or suffering serious injury. II.NOTIFICATIONS, CONTAINMENT AND CONTROL OF THE SITUATION A.Emergency procedures and notifications shall be implemented as per Emergency Planning procedures (B-101/FILE: EMERGENCY) ATTACHMENT F Page 3 of 3 Attachment G THE PRISON RAPE ELIMINATION (PREA) ACT All bidders must comply with the Prison Rape Elimination (PREA) Act as stated below: “CONTRACTOR shall comply with all Prison Rape Elimination (PREA) Act standards for juvenile correctional facilities. Training will be provided by Probation at no charge to CONTRACTOR.” “CONTRACTOR will ensure that all staff assigned to work at the Juvenile Justice Campus (JJC) undergo a pre-employment Live Scan and criminal background security clearance by the Probation Department at no charge to CONTRACTOR. No alcoholic beverages/drugs will be brought into any facility. Nor will anyone under the influence of alcoholic beverages or drugs be allowed inside. In the event of any disturbance inside the facilities, the CONTRACTOR’S employees will immediately follow the orders of the Facility Administrator or his/her designees. CONTRACTOR shall comply with all Probation Department Policies and Procedures. In the event of a dispute involving COUNTY staff and the contract employee, the on-duty Facility Administrator will have the final decision.” INFORMATION ON THE PRISON RAPE ELIMINATION ACT CAN BE FOUND HERE: http://www.prearesourcecenter.org/ ATTACHMENT G Page 1 of 1 Attachment H BACKGROUND INVESTIGATIONS AND IDENTIFICATION (ID) BADGES Background Investigations Prior to the beginning of any services, one (1) background check may be required for every member of the Contractor’s personnel providing services to a building location for the life of the agreement. The background check may be required before access is given to any County facility/property. Clearance will only be granted after a successful background check, completed by the County of Fresno Sheriff’s Department. Background checks provided by any agency other than the County of Fresno Sheriff’s Department will not be accepted. The current cost of a background check is $52 per person. This cost will be incurred by the successful Bidder. One check covering the cost of background checks for all employees shall be made payable to: Sheriff, County of Fresno. The successful bidder will be notified regarding the result of background checks. Those that are accepted will report to County of Fresno Security to have their photo taken and ID badge issued. Background checks are done on a first-come, first serve basis between the hours of 7:00 a.m and 12:00 noon. Monday through Friday. The process takes approximately 20 minutes time. The amount of time it takes to receive the result of background checks varies from one day to a month (or longer), dependent upon the individual’s history. Individuals who are cleared through this process are entered into the Department of Justice database. Their records are flagged and the County of Fresno Sheriff’s Department is notified if the person is ever arrested in the future. When required by County, applicants’ background checks must be approved prior to entering any County facility. Approval will not be granted to any individual possessing any of the following circumstances: 1.They have been convicted of a felony, or any crime involving moral turpitude, or carrying or possessing a dangerous weapon. 2.They have ever been charged with a felony or are currently under investigation for a felony. 3.They are charged with or convicted of any crime committed in or at a correctional institution. 4.They are currently on parole or probation or are a sentenced inmate at any correctional facility. 5.They have been refused a license as a private investigator or had such license revoked. 6.They have fraudulently represented themselves, their credentials, their employment or their criminal or arrest record on their application. 7.Make omissions or false statements on their application. 8.They have no valid reason for entering a facility. 9.Their admission into a facility could represents a threat to security, staff or inmate safety. 10.Further information regarding the criteria for background check clearance, including an appeal for process for someone who may be denied clearance is available upon request. ATTACHMENT H Page 1 of 2 Identification (ID) Badges The successful bidder’s employees will be issued a badge that must be worn and be visible at all times during performance of work in any County building to identify the wearer as an individual who is authorized to enter County facilities. 1.ID badges will be given only after successfully completing the background investigation. ID badges will be issued when the photo is taken. If electronic access to any County facility is required, activation of the badge may take an additional 48 hours to complete. 2.The successful Bidder shall pay $11.99 per individual badge by submitting one check covering the cost for all the Bidder’s employees made payable to: County of Fresno, Security. 3.Costs for ID badges are established by County Auditor and fluctuate annually, therefore the cost of obtaining a new ID badge for a Bidder’s new employee may not remain the same throughout the contract term. 4.The wearer will not escort or bring any other individuals into any County facilities. County issued ID badges are for the exclusive use of the individual named and pictured on the badge. 5.All ID badges will remain the property of the County and are returnable upon demand or upon the expiration of the contract. The successful Bidder will be responsible for collecting all ID badges issued and turning them in to the County Security Office when a contract ends or when an employee leaves employment. The Bidder will assumes all responsibility for their employee’s use of and the return of the County ID badges. 6.The ID badges will only be issued to individuals passing the Background check. Each individual will need to present themselves in person with a valid, clean, and legible copy of a Driver’s license or State issued Identification Card to receive an ID badge.
