1 AMENDMENT I TO AGREEMENT
2 THIS AMENDMENT I TO AGREEMENT No. P-18-002-P ("Amendment") is made and entered
3 into this 8th day of January, 2019 ("Effective Date"), by and between COUNTY OF FRESNO , a
4 political subdivision of the State of California, Fresno, California ("COUNTY"), and Via TRON Systems ,
5 Inc., a California corporation , whose address is 18233 S. Hoover Street, Gardena, CA 90248
6 ("CONTRACTOR").
7 WITNESS ETH:
8 WHEREAS , COUNTY and CONTRACTOR entered into Agreement No . P-18 -002-P, dated
9 December 20 , 2017 ("Agreement"), pursuant to which CONTRACTOR agreed to provide document
10 scanning and indexing services to COUNTY over a two year term, with two possible one year
11 renewals , and with a contract maximum compensation amount of $87,317.44; and
12 WHEREAS, the amount of documents needing to be scanned, indexed, and destroyed by
13 CONTRACTOR has exceeded COUNTY 'S previous expectations , and COUNTY has a need for
14 CONTRACTOR to perform further scanning, indexing, and destruction of additional documents ; and

16 WHEREAS , COUNTY and CONTRACTOR now desire to amend the Agreement in order to
17 increase the maximum contract value to allow CONTRACTOR to provide such additional services.
18 NOW, THEREFORE , for good and valuable consideration, the receipt and adequacy of which
19 is hereby acknowledged , COUNTY and CONTRACTOR agree as follows :
20 ~ , . The paragraph ent itled "MAXIMUM" on Page one (1) of the Agreement , is deieted in its
21 entirety and replaced with the following :
22 "MAXIMUM :
23 In no event shall services perfor:med and/or fees paid under this Agreement exceed two
24 hundred eighty seven thousand , three hundred seventeen dollars and forty-four cents ($287,317.44).
25 COUNTY and CONTRACTOR agree that this Amendment is sufficient to amend the
26 Agreement and, that upon execution of this Amendment, the Agreement and this Amendment together
27 shall be considered the Agreement.
28 The Agreement, as hereby amended, is ratified and continued . All provisions , terms ,

1 covenants , conditions and promises contained in the Agreement and not amended herein shall remain
2 in full force and effect.
3 EXECUTED AND EFFECTIVE as of the date first above set forth .
