party, at least one hundred eighty (180) days before the last day of the then
current LEASE term."
2.Section 4. RENT, starting on page 2 of the LEASE, shall be deleted in its entirety,
and replaced with the following:
"4. RENT -LESSEE shall pay on or about the 1st of each month a monthly
base rent (the "Base Rent") in the amount of $11,500.00 for the office space,
and $500.00 for the parking lot for months 1 through 30 of the primary term.
These amounts shall increase 5% for months 31 through 60 of the primary term
and shall increase an additional 5% each additional 30 months of the primary
term and occupancy after the primary term. Effective September 11, 2022,
LESSEE shall pay Base Rent to LESSOR, according to the following schedule:

09/11/22 -09/10/23 $16,990.73 I mo. $738.74 / mo.
3.Section 23. AUDITS is added to this LEASE, as follows:
"23. AUDITS AND INSPECTIONS: LESSOR shall at any time during business
hours, and as often as LESSEE may deem necessary, make available to LESSEE
for examination all of its records and data with respect to the matters covered by
this LEASE. LESSOR shall, upon request by LESSEE, permit LESSEE to audit
and inspect all of such records and data necessary to ensure LESSOR'S
compliance with the terms of this LEASE.
If this LEASE exceeds ten thousand dollars ($10,000.00}, LESSEE shall be
subject to the examination and audit of the California State Auditor for a period
of three (3) years after final payment under contract (Government Code Section
8546.7)."
The Parties agree that this SECOND AMENDMENT is sufficient to amend the LEASE.
The LEASE is hereby amended, ratified, and continued. It is the intent of the Parties that all
other provisions of the LEASE shall remain unchanged. The Parties agree that, upon execution
