1 AMENDMENT I TO AGREEMENT
2 THIS AMENDMENT TO AGREEMENT ("Amendment ") is made and entered into this 10th
3 day of December, 2019 ("Effective Date "), by and between the County of Fresno , a political subdivision
4 of the State of California ("COUNTY"), and the Fresno City & County Historical Society , a California
5 non-profit corporation, whose address is 7160 West Kearney Boulevard , Fresno , California 93706
6 ("CONTRACTOR").
7 WITNESSETH:
8 WHEREAS , COUNTY and CONTRACTOR entered into Agreement number 18-538 , dated
9 September 11, 2018 ("Agreement"), pursuant to which CONTRACTOR agreed to further develop ,
1 O enhance, and maintain the cultural, historical and social resources of Fresno County , and make them
11 accessible to the residents and visitors of Fresno County ; and
12 WHEREAS , COUNTY and CONTRACTOR now desire to amend the Agreement in order to
13 increase the Agreement maximum compensation amount for Fiscal Year 2019-20 .
14 NOW, THEREFORE, for good and valuable consideration , the receipt and adequacy of which
15 is hereby acknowledged , COUNTY and CONTRACTOR agree as follows :
16 1 . Section three (3) of the Agreement, located on page five (5), lines two (2) through 13, is
17 deleted in its entirety, and replaced with the following:
18 "COUNTY agrees to pay $19,325 per year for the term of this Agreement to
19 CONTRACTOR , with the exception of Fiscal Year 2019-20 , which shall have a maximum
20 compensation amount of $25,325 . The total amount to be paid to CONTRACTOR under this
21 Agreement for the possible ten (10) year term of the Agreement shall not exceed $199,250 . It is
22 agreed the CONTRACTOR shall be entitled to the total annual amount payable for each year under
23 this Agreement upon annual submission by CONTRACTOR of invoices on or about October 1st of
24 each year to : The Fresno County Administrative Office, 2281 Tulare Street , Room 304, Fresno , CA
25 93721 requesting payment of the annual amounts budgeted by the COUNTY for the operation and
26 maintenance of the Kearney Mansion Museum Complex, as provided in Section 2(A) above . One
27 invoice will be for the annual amount budgeted under the Parks and Grounds Org 7910 . A second
28 invoice will be for the amount budgeted under the Interest and Miscellaneous Expenditure Org 2540 .

A third invoice, for Fiscal Year 2019-20 only, will be for the additional $6,000 to be provided to
CONTRACTOR by specific Fresno County Supervisor Districts within Org 0110. Notwithstanding any
of the foregoing, it is understood and agreed that COUNTY may elect to withhold payment of any
invoiced amounts until such time as CONTRACTOR provides any inventory due in accordance with
Section 1(H)."
COUNTY and CONTRACTOR agree that this Amendment is sufficient to amend the
Agreement, and that upon execution of this Amendment, the Agreement and this Amendment together
shall be considered the Agreement.
The Agreement, as hereby amended, is ratified and continued. All provisions, terms,
covenants, conditions and promises contained in the Agreement and not amended herein shall remain
in full force and effect.
