1 FIRST AMENDMENT TO AGREEMENT
2 THIS FIRST AMENDMENT ("First Amendment ") is made and entered into this -21.§L
3 day of January , 2020 , by and between the County of Fresno , a political subdivision of the
4 State of California, ("COUNTY"), and Nobico, Inc ., dba Integrated Electronics, a California
5 corporation , whose address is 2576 N. Bundy Drive , Fresno , CA 93727 ("CONTRACTOR").
6 WI TN ES S ETH :
7 WHEREAS , COUNTY and CONTRACTOR entered into Purchasing Agreement No . P-
8 15-303-C , dated June 19 , 2015 ("Purchasing Agreement"), pursuant to which CONTRACTOR
9 agreed to provide services and supplies related to the COUNTY's Closed-Circuit Television
10 Systems (CCTV) employed throughout many COUNTY facilities ;
11 WHEREAS, the COUNTY and CONTRACTOR entered into a first amendment to the
12 Purchasing Agreement , dated September 13 , 2016 to convert the Purchasing Agreement into a
13 Board Agreement , with an assigned Board Agreement Number 16-556 ("Board Agreement "),
14 and to increase the maximum allowable compensation to address a need for additional
15 services ; and
16 WHEREAS , the COUNTY and CONTRACTOR exercised the first-year renewal option
17 on April 19, 2018 , and the second-year renewal option on April 18 , 2019 .
18 WHEREAS , the COUNTY and CONTRACTOR desire to amend the Board Agreement to
19 increase the maximum compensation under the Board Agreement to address a need for
20 additional services related to the expansion and relocation of several Department services and
21 operations, countywide .
22 NOW , THEREFORE , COUNTY and CONTRACTOR agree as follows :
23 1. The MAXIMUM Section of the Board Agreement, as set forth on Page one (1) of the
24 Agreement is deleted in its entirety , and replaced with the following :
25 "MAXIMUM "
26 In no event shall compensation paid for services performed under this Agreement
27 exceed nine hundred and fifty thousand dollars ($950 ,000) for the term of this
28 Agreement , inclusive of renewal periods ."

COUNTY and CONTRACTOR agree that this First Amendment to Board Agreement No.
16-556 is sufficient to amend the Board Agreement, and that upon execution of the First
Amendment to Board Agreement No. 16-556, the Purchasing Agreement, the Board
Agreement, and this First Amendment to Board Agreement No. 16-556, shall together be
considered “the Agreement.”
The Board Agreement, as hereby amended, is ratified and continued. All provisions,
terms, covenants, conditions and promises contained in the Board Agreement and not amended
herein shall remain in full force and effect.
1 IN WITNESS WHEREOF , the parties hereto have executed this First Amendment as of
2 the day and year first hereinabove written .
