AGREEMENT
Agreement No. 18 -546
3 THIS AGREEMENT is made and entered into on September 25 , 2018 , by and between the
4 COUNTY OF FRESNO , a political subdivision of the State of California ("COUNTY") and Garda
5 CL West, Inc., a California corporation authorized to do business in California whose address is
6 2000 NW Corporate Boulevard , Boca Raton , Florida 55431 ("CONTRACTOR").
7 Recitals
8 A. The COUNTY requires armored transport deliveries of property between COUNTY
9 departments and the COUNTY's bank.
10 B. The COUNTY wishes to engage the CONTRACTOR to provide armored transport
11 deliveries of property between COUNTY departments and the COUNTY's bank according to the
12 terms of this agreement.
13 C . The CONTRACTOR represents that it is ready , willing , and able to provide armored
14 transport services as required by the COUNTY and subject to the terms of this agreement.
15 The parties therefore agree as follows:
16 1. OBLIGATIONS OF THE CONTRACTOR
17 A. CONTRACTOR shall provide armored transport services to pick up and
18 deliver Shipments , consisting of Sealed packages containing Property , at the COUNTY locations
19 stated in Exhibit A , subject to the terms of this agreement. "Property" means currency , coins ,
20 precious metals , checks , notes , bonds , negotiable instruments , securities and all other things of
21 value but excluding hazardous materials or materials for which transport is legally proh ibited or
22 restricted by applicable State or Federal law. "Sealed " means closed in a manner that is
23 reasonably designed to prevent easy access to the Property and that under normal circumstances
24 would tend to reveal evidence of tampering or manipulation if unauthorized access were
25 attempted. "Shipment" means the total Property in Sealed containers received by CONTRACTOR
26 at a single location from a single consignor for delivery to one other location to a single consignee .
27 B. CONTRACTOR shall provide a signature at the time CONTRACTOR takes
28 custody of Property and obtain a signature for the release of Property.

1 IN WITNESS WHEREOF , the parties hereto have executed this Agreement as of the day
2 and year first hereinabove written .
