3 THIS AGREEMENT(" Agreement") is made and entered into this 25th day of September, 2018
4 ("Effective Date"), by and between the COUNTY OF FRESNO, a Political Subdivision of the State of
5 California, ("COUNTY"), and Shaw/Yoder/Antwih, Inc. and Michael Y. Corbett and Associates, a state
6 legislative advocacy services provider, whose address is 1415 L Street, Suite 1000, Sacramento, California
7 95814, ("CONTRACTOR"). Each party may individually be referred to as a "Party" or collectively as
8 "Parties" to this Agreement.
9 WITNESSETt;i:
10 WHEREAS, the COUNTY has a need for State legislative advocacy services; and
11 WHEREAS, the CONTRACTOR is qualified and willing to perform these services.
12 NOW, THEREFORE, in consideration of the mutual covenants, terms and conditions herein
13 contained, the Parties agree as follows:
14 1. OBLIGATIONS OF THE CONTRACTOR, SCOPE OF SERVICES
15 CONTRACTOR shall perform the services listed in this Agreement and shall provide all
16 necessary equipment and personnel possessing the skills, experience, education, and competence
17 necessary to perform such services. CONTRACTOR shall coordinate services through the COUNTY's
18 Administrative Office. Paul J . Yoder shall be the day-to-day contact person for CONTRACTOR and shall
19 coordinate the person(s) who will perform the following services for COUNTY:
20 A CONTRACTOR shall identify and monitor State legislative and administrative
21 activities that may affect COUNTY, help COUNTY identify strategies and political considerations, make
22 recommendations, and help COUNTY implement responses.
23 B. CONTRACTOR shall assist, when requested by COUNTY, in analyzing
24 legislation/regulations to determine any impact on COUNTY.
25 C. CONTRACTOR shall, after consultation with COUNTY, initiate appropriate
26 actions to advocate COUNTY's interests in State legislative, regulatory and administrative actions,
27 including but not limited to, written and/or oral presentations to legislative committees, members and
28
