1 AMENDMENT II TO AGREEMENT
2 THIS AMENDMENT II TO AGREEMENT No. 19-005 ("Amendment 11") is made and
3 entered into this 19th day of November, 2019 ("Effective Date"), by and between COUNTY OF
4 FRESNO , a political subdivision of the State of California , Fresno, California ("COUNTY"}, and
5 ViaTRON Systems, Inc ., a California corporation , whose address is 18233 S. Hoover Street, Gardena,
6 CA 90248 ("CONTRACTOR ").
7 WITNESSETH:
8 WHEREAS, COUNTY and CONTRACTOR entered into Agreement No . P-18-002-P , dated
9 December 20, 2017 ("Agreement"), pursuant to which CONTRACTOR agreed to provide document
10 scanning and indexing services to COUNTY over a two-year term , with two possible one-year
11 renewals,
12 WHEREAS, COUNTY amended the Agreement with Amendment I, Agreement No . 19-005,
13 which converted the Agreement to a Board agreement , and increased the Agreement maximum to
14 $287,317.44;
15 WHEREAS, the Agreement and Amendment I may be referred to as "the Agreement, as
16 amended ;" and,
17 WHEREAS , COUNTY and CONTRACTOR again desire to amend the Agreement, as
18 amended, in order to grant the Fresno County District Attorney the authority to execute extensions to
19 the Agreement, as amended , on behalf of COUNTY ; and
20 WHEREAS, COUNTY and CONTRACTOR desire to amend Exhibit A to update the pricing
21 schedule .
22 NOW, THEREFORE, for good and valuable consideration , the receipt and adequacy of which
23 is hereby acknowledged , COUNTY and CONTRACTOR agree as follows :
24 1. The paragraph entitled "EXTENSION" on Page one (1) of the Agreement, as amended ,
25 is deleted in its entirety , and replaced with the following :
26 "EXTENSION:
27 This Agreement may be extended for two (2) additional one (1) year periods upon
28 written approval of both parties . The District Attorney or her designee is authorized to execute such
