HomeMy WebLinkAboutAgreement A-19-291-2 with HCC.pdfCOUNTY OF FRESNO Fresno, CA -1 - 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 AMENDMENT II TO AGREEMENT THIS AMENDMENT, hereinafter referred to as “Amendment II”, is made and entered into this ____ day of __________, by and between the COUNTY OF FRESNO, a Political Subdivision of the State of California, hereinafter referred to as “COUNTY”, and HEALTH CAREER CONNECTION, a California Non-Profit Organization, whose address is 300 Frank H. Ogawa Plaza, Suite 243, Oakland, California, 94612, hereinafter referred to as “CONTRACTOR” (collectively the “parties”). WHEREAS the parties entered into that certain Agreement, identified as COUNTY Agreement No. 19-291, effective June 18, 2019, and Agreement No. 19-291-1, effective June 23, 2020, hereinafter collectively referred to as “Agreement”, whereby CONTRACTOR agreed to provide health care management experience for students, hereinafter referred to as “Interns”, from various colleges and universities; and WHEREAS the parties now desire to amend the Agreement regarding changes as stated below and restate the Agreement in its entirety. NOW, THEREFORE, in consideration of their mutual promises, covenants and conditions, hereinafter set forth, the sufficiency of which is hereby acknowledged, the parties agree as follows: 1.That the existing COUNTY Agreement No. 19-291, Page six (6), Line seven (7), beginning with the word “COMPENSATION” and ending on Page six (6), Line ten (10) with the word “other” be deleted and the following inserted in its place: “ COMPENSATION/INVOICING The COUNTY agrees to pay CONTRACTOR Two Thousand Five Hundred, and No/100 Dollars ($2,500.00) as the Program Fee for the placement of three interns ("Program Fee"), payable within forty-five (45) days of receipt of invoice. The Program Fee covers the cost of the Intern’s educational stipend, the CONTRACTOR’s recruitment, screening and initial interviews of students, setting up host partner interviews, and final placement of candidates. The Program Fee also covers CONTRACTOR's management and delivery of CONTRACTOR’s comprehensive summer educational program activities for the interns, such as but not limited to orientation sessions, educational and professional development workshops, graduate education workshops, mentorship and networking events, career planning activities and a closing luncheon/graduation session for all 10th August Agreement No. 19-291-2 COUNTY OF FRESNO Fresno, CA -2 - 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 interns and their preceptors. Details for payment contact are shown on Exhibit C.” 2.That the existing COUNTY Agreement No. 19-291, Page eight (8), Line seven (7), beginning with the word “Commercial” and ending on Page eight (8), Line eleven (11) with the word “contract” be deleted and the following inserted in its place: “Commercial General Liability Insurance with limits of not less than Two Million Dollars ($2,000,000.00) per occurrence and an annual aggregate of Four Million Dollars ($4,000,000.00). This policy shall be issued on a per occurrence basis. COUNTY may require specific coverages including completed operations, products liability, contractual liability, Explosion-Collapse-Underground, fire legal liability or any other liability insurance deemed necessary because of the nature of this contract. In the event the CONTRACTOR purchases an Umbrella or Excess insurance policy(ies) to meet the “Minimum Limits of Insurance,” this insurance policy(ies) shall “follow form” and afford no less coverage than the primary insurance policy(ies). In addition, such Umbrella or Excess insurance policy(ies) shall also apply on a primary and non-contributory basis for the benefit of the COUNTY, its officers, officials, employees, agents and volunteers.” COUNTY and CONTRACTOR agree that this Amendment is sufficient to amend the Agreement and, that upon execution of this Amendment, the Agreement, Amendment I and this Amendment II together shall be considered the Agreement. The parties agree that this Amendment may be executed by electronic signature as provided in this section. An “electronic signature” means any symbol or process intended by an individual signing this Amendment to represent their signature, including but not limited to (1) a digital signature; (2) a faxed version of an original handwritten signature; or (3) an electronically scanned and transmitted (for example by PDF document) of a handwritten signature. Each electronic signature affixed or attached to this Amendment (1) is deemed equivalent to a valid original handwritten signature of the person signing this Amendment for all purposes, including but not limited to evidentiary proof in any administrative or judicial proceeding, and (2) has the same force and effect as the valid original handwritten signature of that person. The provisions of this section satisfy the requirements of Civil Code section 1633.5, subdivision (b), in the Uniform Electronic Transaction Act (Civil Code, Division 3, Part 2, Title 2.5, beginning with section 1633.1). This Amendment is not conditioned upon the parties conducting the transactions under it by electronic means and either party may sign this Amendment with an original handwritten signature. The Agreement, as hereby amended, is ratified and continued.
