HomeMy WebLinkAboutAgreement A-17-316-1 with Clean Earth.pdf1 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 AMENDMENT I TO AGREEMENT THIS AMENDMENT, hereinafter referred to as Amendment I, is made an d entered into this 22 nd day of Jun e 2021, by and between th e COUNTY OF FRESNO, a Political Subdivisio n of The State of California, hereinafter referred to as “COUNTY”, an d CLEAN EARTH ENVIRONMENTAL SOLUTIONS, INC., whose address is 350 Popular Church Road , Camp Hill, PA 17011, formerly known as STERICYCLE ENVIRONMENTAL SOLUTIONS, INC., a Delaware Corporation whose address is 28161 N. Keith Drive, Lake Forest, IL 60045, hereinafter referred to “CONSULTANT” (collectively the “parties”). WHEREAS, the parties entered into that certain Agreement, identified as COUNTY Agreement No. 17-3 16, ef fective the 20th day of June 2017, whereby CONSULTANT agreed to provide certain services for the operation of the regional, permanent household hazardous waste facility. WHEREAS, on the 29th day of April 2020, CONSULTANT changed its name from STERICYCLE ENVIRONMENTAL SOLUTIONS, INC., a Delaware Corporation, to Clean Earth Environmental Solutions, Inc.; and WHEREAS, the parties desire to amend COUNTY Agreement No. 17-31 6, regarding changes as stated below and restate the Agreement in its entirety. NOW, THEREFORE, for good and valuable consideration, the receipt and adequacy of which is hereby acknowledged, the parties agree as follows: 1.That all refe rences in existing COUNTY Agreement No. 17-316 to Exhibit A be changed to read Revised Exhibit A, which is attached hereto and incorporated herein. 2.All references to STERICYCLE ENVIRONMENTAL SOLUTIONS, INC., in the Agreement shall be amended to refer to Clean Earth Environmental Solutions, Inc. 3.COUNTY and CONSULTANT agree that this Amendment I is sufficient to amend the Agreement; and that upon execution of this Amendment I, the Agreement and Amendment I together shall be considered the Agreement. The Agreement, as hereby amended, is ratified and continued. HHW Transporter's Price List: Part 1 of 3 Parts A. For each waste category listed below, indicate the total cost of the various sizes of packing units, packing options and management options Notes: - Prices must include all costs related to the removal of the HHW from the site, getting it to its final destination and them properly managing it, including but not limited to removing the HHW from its location on the site, providing appropriate transport vehicles, loading HHW into the transport vehicles, all transport-related cost (such as driver, fuel, tolls, vehicle licensing, insurance), shipping supplies (such as pallets, tie-downs, required placards), maintenance including clean-up of spills and equipment, all paperwork and related materials, (labels, manifests, reports, notifications, signage, authorizations, releases) , all disposal-related costs (e.g., assessments, gate, surcharge, management and disposal fees, permits, facilty surcharge, taxes) and all HHW transporter administrative and overhead costs (e.g., insurance, postage, office staff, contract preparation and monitoring licenses and permits). - Facility staff will be responsible for the proper packing, labeling, tracking and storing of the HHW until it is collected by the HHW Transporter -As of August 1, 2020, the cumulative COLA charge has increased 9.9% Common Container Minimums Apply Common Container Minimums Apply Common Container Minimums Apply C:\Users\dihernandez\Desktop\Stericycle Agreement.
