AMENDMENT I TO AGREEMENT
THIS AMENDMENT, hereinafter referred to as Amendment I, is made and entered into
this__________ day of __________________, 2021, by and between the COUNTY OF FRESNO, a
Political Subdivision of the State of California, hereinafter referred to as “COUNTY,” and Cristiano
Lopes, DBA, Pacific Valley Patrol, a private security agency, whose address is P.O. Box 9670,
Fresno, CA 93705, hereinafter referred to as “CONTRACTOR”.
WHEREAS, COUNTY, through the Department of Social Services (DSS) received funding
from Senate Bill 89 (SB 89) COVID-19 Emergency Homelessness funds to administer emergency
shelter and security for said shelter in response to the COVID-19 Public Health Emergency (COVID-
19); and
WHEREAS, CONTRACTOR has the personnel skilled in the provision of such services and
CONTRACTOR is willing to provide said services pursuant to the terms and conditions of this
Agreement; and
WHEREAS, the parties entered into that certain Agreement, identified as County Agreement
No. 20-493, effective November 15, 2020, whereby CONTRACTOR agreed to provide security
services at local motels; and
WHEREAS, amidst the COVID-19 pandemic there has been an increased need for services at
emergency shelters, the parties desire to amend County Agreement No. 20-493 to provide additional
funds for security services.
NOW, THEREFORE, in consideration of the mutual covenants, terms and conditions herein
contained, the parties hereto agree as follows:
1.That County Agreement No. 20-493, Page Two (2), Section Four (4)
COMPENSATION/INVOICING, beginning with Line Twenty-Six (26), with the word “The” and
ending on Page Three (3), Line Six (6) with the number “($571,989)” be deleted and the following
inserted in its place:
“The maximum compensation amount under this Agreement for the initial term through June
30, 2021 shall not exceed Four Hundred Thirty-Five Thousand, Three Hundred Twenty and No/100
Dollars ($435,320).

If performance standards are met and this Agreement is extended for an additional twelve (12)
month renewal period pursuant to Section Two (2), TERM, herein, then in no event shall the
maximum compensation amount under this Agreement for the term July 1, 2021 through June 30,
2022 exceed Two Hundred Sixty-One Thousand, Six Hundred Sixty-Nine and 00/100 Dollars
($261,669).
In no event shall the total maximum compensation amount under this Agreement be in excess
of Six Hundred Ninety-Six Thousand, Nine Hundred Eighty-Nine and No/100 Dollars ($696,989).”
2.That all references in existing COUNTY Agreement No. 20-493 to “Exhibit B” shall be
changed to read “Revised Exhibit B,” which is attached hereto and incorporated herein by this
reference.
3.COUNTY and CONTRACTOR agree that this Amendment I is sufficient to amend
County Agreement No. 20-493 and, that upon execution of this Amendment I, the original Agreement
and Amendment I, shall together be considered the Agreement.
The Agreement, as hereby amended, is ratified and continued. All provisions, terms, covenants,
conditions and promises contained in the Agreement and not amended herein shall remain in full force
and effect. This Amendment I shall become effective May 1, 2021.
1 IN WITNESS WHEREOF, the parties hereto have executed this Amendment I to Agreement as
