Terms of payment for the services listed above are set forth in the Scope of Work. The services to be provided are described in the accompanying Scope of Work and are governed by the Professional Services Agreement. In the event the terms of this Agreement to Purchase are inconsistent with the Professional Service Agreement, the terms of the Professional Service Agreement shall govern. The Services listed above are described in the Scope of Work attached hereto, and by signing the Agreement to Purchase you accept the terms contained in the Scope of Work. The Scope of Work is part of your agreement with Blackbaud. Maintenance The maintenance charges listed on this Agreement to Purchase are for this purchase only. If you currently receive maintenance from Blackbaud, the above charges will be added to the existing charges and may be prorated to coincide with your current maintenance renewal date(s) based on product family. Initial annual maintenance is calculated using current list price. Renewal fees may be subject to adjustments based upon an inflationary index and defined at the time of renewal. Maintenance begins 7 days after shipment of software. A copy can be provided to you upon request. Your purchase of RE:NetSolutions services is covered by the RE:NetSolutions Services Agreement ("NSA) attached hereto, and by signing this Agreement to Purchase you accept the terms of use contained in the NSA. The NSA is a part of your agreement with Blackbaud. The above NetSolution line items are sold together with the NetSolution subscription and the Setup and cannot be purchased as individual components. Please note that additional transaction blocks purchased do not expire until they are used. The subscription charges listed on this Agreement to Purchase are for this purchase only. If software is purchased, subscriptions begin 7 days after shipment of software. If you currently receive maintenance andlor other annual subscriptions from Blackbaud, the above charges will be added to those and prorated to coincide with your current renewal date. Initiation Fees are a one-time charge and do not renew. Future subscription periods will be billed annually and are renewable at your discretion. Blackbaud, Blackbaud Consulting Services Scope of Work NetMembers lrn~lernentation 1 SCOPE OF WORK 1 .I Fundraising System Consulting Services 1 .l. 1 Project Goal Provide remote assistance with implementing NetMembers 1.1.2 Project Scope The Consultant will provide remote assistance to: NetMembers o Review Fresno County Public Library's membership management needs o Assist with the setup and configuration of one NetMembers registration and renewal page based upon the above need 2 DELIVERABLE ACCEPTANCE Deliverables will be considered accepted by Fresno County Public Library unless Blackbaud receives written notification from Fresno County Public Library of errors within ten (10) business days of receipt. If Blackbaud receives written notification of errors within ten (1 0) business days after receipt of the deliverable, Blackbaud will address reported errors in a revised deliverable. Fresno County Public Library will then have an additional ten (1 0) business days to report that all errors have been resolved by the revised deliverable. If Blackbaud does not receive written notification of unresolved errors, the deliverable will be considered accepted by Fresno County Public Library. 3 FEES AND BILLING 3.1 Billing Terms The fees for the Scope of Work described in this document are detailed in the Agreement to Purchase. The services described herein are billed on a fixed price basis. Upon receipt of the signed Agreement to Purchase, an invoice will be generated for one hundred percent (1 00%) of the total. In addition to the aforementioned, please refer to Section 3 of the Professional Services Agreement entitled "Fees, Expenses and Paymentf'. 4 EXPIRATION OF SCOPE OF WORK If, (i) within one year of execution of the Scope of Work, Fresno County Public Library has not scheduled any work to be performed, or (ii) if Fresno County Public Library has scheduled work to be Blackbaud Consulting Services Page 1 06/24/09 Blackbaud, Blackbaud Consulting Services Scope of Work ~et~embers lrnplementation performed, but due to unavailability of Fresno County Public Library such work has not commenced within six (6) months of being scheduled, the Scope of Work will be deemed to be terminated by Fresno County Public Library and any fees paid by Fresno County Public Library in connection with this Scope of Work shall be retained by Blackbaud and applied toward a cancellation fee. 5 CANCELLATION POLICY Cancellations or postponements of a scheduled professional service may be made with no penalty if cancelled or postponed 20 or more business days before the start of the service. Specific activities critical to the delivery of services require the input, review and participation of Fresno County Public Library's staff. This typically includes requirements gathering, design, working sessions and day-to-day engagement tasks. The accomplishment of Blackbaud's objectives is dependent upon Fresno County Public Library interaction. Fresno County Public Library will, therefore, make time available and provide Blackbaud's project team with access to key users and technical personnel in the organization. 2. Fresno County Public Library has a good understanding of the product purchased. If advised to do so by Blackbaud, members of Fresno County Public Library's project team will have attended training prior to delivery of this professional services project. 3. If professional services are performed on-site, the Blackbaud representative will perform work during the days of Monday through Friday. 4. Fresno County Public Library will ensure that the specialized expertise for the hardware platform, third-party database and network administration is available on an as-needed basis to support installation and on-going activities throughout the engagement. 5. System, server and workstation backups are the responsibility of Fresno County Public Library. This includes the development and implementation of the system backups and recovery programs. 6. All written materials provided with this engagement supplement, but do not replace, the Blackbaud software documentation and are subject to the terms and conditions of the Professional Services Agreement and the Software License Agreement. Customer should consult the standard online user documentation for information regarding product processes, features, functions and requirements. 7. Fresno County Public Library understands the detailed "System Recommendations" for the software application and database. 8. The following activities are examples of billable work and have been factored into the estimate provided in this Scope of Work: a. Phone time to discuss the project b. Meetings regarding the project c. Project planning, managing and status reporting d. Designing, configuring, programming and testing the solution e.
