MASTER AGREEMENT
THIS AGREEMENT is made and entered into this 20th day of March 2018, by and betweeQ
the COUNTY OF FRESNO, a Political Subdivision of the State of California, hereinafter referred to
as "COUNTY", and each provider listed in Exhibit A, attached to this Agreement and by this
reference incorporated herein, collectively hereinafter referred to as
"CONTRACTORS" and such 1additional Contractors as may, from time to time during the tenn of this
Agreement, be added by COUNTY.
W I TN ES S ETH:
WHEREAS, COUNTY through its Department of Behavioral Health (DBH) has a need for
licensed psychiatrists in order to provide psychiatric services to patients/clients, as well as additional
services as stated herein, and
WHEREAS, CONTRACTORS are able and willing to provide licensed psychiatrists needed by
COUNTY.
NOW, THEREFORE, in consideration of their mutual covenants and conditions, the parties
hereto agree as follows:
1. OBLIGATIONS OF THE CONTRACTORS
CONTRACTORS agree to provide the services described in this Agreement as well as
those services listed in Exhibit G, attached hereto and incorporated by reference herein.
A. Prior to providing locum tenens psychiatrist(s), CONTRACTORS are required to
present credentials, screen all candidates, provide complete background checks, curriculum vitaes, and
licensure of locum tenens to COUNTY. CONTRACTORS agree to provide qualified locum tenens
psychiatrist(s) licensed to practice in the State of California and specializing in Adult psychiatry and
who are not debarred, excluded or suspended by any local, State or Federal regulatory agency from
practicing and are acceptable to COUNTY'S Director, Department of Behavioral Health or designee.
B. When requested by COUNTY, CONTRACTORS shall provide credentialed
Psychiatrists who shall perform medication review and new client assessments for inpatient and
outpatient programs within the DBH during mutually agreed upon hours. In addition to services
provided by CONTRACTORS' locum tenens psychiatrists during the hours of 8:00am to 5:00pm
