1 .1 AGREEMENT
-~--fhisAgreement is made and entered into this l31d day of~2004 by and
between the COUNTY OF FRESNO,a Political Subdivision of the State ofcali/lmia,hereinafter
referred to as "COUNTY",and V ALLEY TEEN RANCH a non-profit corporation whose address is

WHEREAS,COUNTY,through its Department of Children and Family Services has a need for

visitation-home services for abused and neglected children under the jurisdiction of the Juvenile Court
and under the supervision of Department of Children and Family Services;and
WHEREAS,in accordance to Title XX of the Federal Social Security Act and the Budget Act
of the State of California,COUNTY and CONTRACTOR agree to work in partnership to support the

Family to Family Initiative in order to meet goals thereunder.
NOW,THEREFORE,in consideration of their mutual covenants and conditions,the parties

hereto agree as follows:
OBLIGATIONS OF CONTRACTOR1.

CONTRACTOR shall perform all services and fulfill all responsibilities asA.
identified in COUNTY's Request for Proposal (RFP)No.952-3968 dated May 10,2004 and
CONTRACTOR's response to said RFP,dated June 3,2004.Additionally CONTRACTOR shall18
19 perform all services and responsibilities identified in Exhibit A,attached hereto and incorporated
herein.In the event of any inconsistency among these documents,the inconsistency shall be resolved20
21 by giving precedence in the following order of priority:1)to this Agreement,including Exhibits,2)to
the RFP,3)to the Response to RFP.A copy of COUNTY's RFP No.952-3968,and CONTRACTOR's22
23 response,shall be retained and made available during the term of this Agreement by COUNTY's
24

contract coordinator.
B.Services under this Agreement shall be performed at 386 N.Calaveras,Fresno,

C.Under no circumstances shall CONTRACTOR provide transportation to any
28 COUNTY employee,foster parent or birth parent,to or from CONTRACTOR's facility identified

shall coordinate,no later than August 1,a meeting with CONTRACTOR's Chief Executive Officer or
designee to develop at least one (1)measurable outcome for each twelve (12)month period.5

shall meet,at least annually,with CONTRACTOR's Chief Executive Director or designee to discuss
contract and program compliance issues.
3.BOTH PARTIES
Agree to meet the following specific goals:
1.Provide necessary services in a timely manner whereby birth families and their
children can be safely reunited as soon as possible.
2.Involve birth parents,foster parents,and kinship families as team members with
participating agencies.

TERM4.
This Agreement shall become effective on the 1st day of July 2004 and shall terminate
on the 30th day of June 2005.
This Agreement shall automatically be renewed for two (2)additionally twelve (12)

month periods upon the same terms and conditions set forth,unless written notice of non-renewal is
given by CONTRACTOR or COUNTY not later than thirty (30)days prior to the close of the current

Agreement term.

Non-Allocation of Funds -The terms of this Agreement,and the services to beA.
provided thereunder,are contingent on the approval of funds by the appropriating government agency.
Should sufficient funds not be allocated,the services provided may be modified,or this Agreement25
26 terminated at any time by giving CONTRACTOR thirty (30)days advance written notice.

An illegal or improper use of funds;
A failure to comply with any term of this Agreement;

A substantially incorrect or incomplete report submitted to COUNTY;
Improperly performed service.

In no event shall any payment by COUNTY constitute a waiver by COUNTY of
any breach of this Agreement or any default which may then exist on the part of CONTRACTOR.

Neither shall such payment impair or prejudice any remedy available to COUNTY with respect to the
breach or default.COUNTY shall have the right to demand of CONTRACTOR the repayment to
COUNTY of any funds disbursed to CONTRACTOR under this Agreement,which in the judgment of
COUNTY were not expended in accordance with the terms of this Agreement.CONTRACTOR shall
promptly refund any such funds upon demand or,at COUNTY's option,such repayment shall be
deducted from future payments owing to CONTRACTOR under this Agreement.
C.Without Cause -Under circumstances other than those set forth above,this
Agreement may be terminated by CONTRACTOR or COUNTY upon the giving of thirty (30)days
advance written notice of an intention to terminate.
6.COMPENSATION

COUNTY agrees to pay CONTRACTOR and CONTRACTOR agrees to receive
compensation as follows:CONTRACTOR agrees to eleven monthly payments not to exceed Three
19

Thousand One Hundred and Eighty-one and 88/l00 Dollars ($3,181.81)per month during each twelve
month period.In no event shall services performed under his Agreement exceed Thirty Five Thousand
21

and No/lOO Dollars ($35,000.00)for each twelve month period of this Agreement.CONTRACTOR's
expenditures of funds received under this Agreement shall conform the Program Budget,attached
23
24
hereto as Exhibit B and incorporated herein by reference.
CONTRACTOR agrees to provide in-kind funds of Nine Thousand Five Hundred and
No/lOO Dollars ($9,500.00)during each twelve (12)month period of this Agreement.In no event shall25
26 the maximum in-kind funds under this Agreement exceed Nine Thousand Five and No/l 00 Dollars
($9,500.00)for each twelve (12)month period of this Agreement.27

contributed by CONTRACTOR under this Agreement be in excess of Forty Four Thousand and Five
Hundred Noll 00 Dollars ($44,500.00)during each twelve (12)month period during the term of this

Agreement.It is understood that services will continue without a break during the term of the
Agreement.It is understood that all expenses incidental to CONTRACTOR'S performance of services

under this Agreement shall be borne by CONTRACTOR.
7.INVOICING
CONTRACTOR shall submit monthly invoices,in triplicate,by the 10thof each month7

8.INDEPENDENT CONTRACTOR
In performance of the work,duties,and obligations assumed by CONTRACTOR under
this Agreement,it is mutually understood and agreed that CONTRACTOR,including any and all of13
14 CONTRACTOR's officers,agents,and employees will at all times be acting and performing as an
independent contractor,and shall act in an independent capacity and not as an officer,agent,servant,15
16 employee,joint venturer,partner,or associate of the COUNTY.Furthermore,COUNTY shall have no
right to control or supervise or direct the manner or method by which CONTRACTOR shall perform its17
18 work and function.However,COUNTY shall retain the right to administer this Agreement so as to
verify that CONTRACTOR is performing its obligations in accordance with the terms and conditions
thereof.CONTRACTOR and COUNTY shall comply with all applicable provisions of law and the
21

rules and regulations,if any,of governmental authorities having jurisdiction over matters which are
directly or indirectly the subject ofthis Agreement.

Because of its status as an independent contractor,CONTRACTOR shall have
absolutely no right to employment rights and benefits available to COUNTY employees.

CONTRACTOR shall be solely liable and responsible for providing to,or on behalf of,its employees
all legally-required employee benefits.In addition,CONTRACTOR shall be solely responsible and

save COUNTY harmless from all matters relating to payment of CONTRACTOR's employees,
including compliance with Social Security,withholding,and all other regulations governing such

1 matters.It is acknowledged that during the term of this Agreement,CONTRACTOR may be providing
services to others umelated to the COUNTY or to this Agreement.J.....

MODIFICATION9.
Any matters of this Agreement may be modified from time to time by the written
consent of all the parties without,in any way,affecting the remainder.5
6 However,changes to line items in the budget,attached hereto as Exhibit B,and minor
changes as determined by COUNTY's Department of Children and Family Services Director or7
8 designee may be made with the written approval of COUNTY's Department of Children and Family
Services Director or designee and CONTRACTOR.Minor changes include,but are not limited to,
changes that will not significantly alter the obligations identified in Paragraph One (1),Two (2),
Exhibit A,and changes in addresses to which notices or invoices are to be sent.Any changes to the
services or budget line items shall not result in an increase to the maximum compensation.
10.NON-ASSIGNMENT
Neither party shall assign,transfer or sub-contract this Agreement nor their rights or
duties under this Agreement without the prior written consent of the other party.
11.HOLD-HARMLESS

CONTRACTOR agrees to indemnify,save,hold harmless,and at COUNTY's request,
defend the COUNTY,its officers,agents and employees from any and all costs and expenses,including
19

attorney fees and court costs,damages,liabilities,claims and losses occurring or resulting to COUNTY
in connection with the performance,or failure to perform,by CONTRACTOR,its officers,agents or
21
22
employees under this Agreement,and from any and all costs and expenses,including attorney fees and
court costs,damages,liabilities,claims and losses occurring or resulting to any person,firm or
23
24
corporation who may be injured or damaged by the performance,or failure to perform,of
CONTRACTOR,its officers,agents or employees under this Agreement.In addition,CONTRACTOR
25

agrees to indemnify COUNTY for Federal,State of California and/or local audit exceptions resulting
from noncompliance herein on the part of the CONTRACTOR.

12.INSURANCE
Without limiting the COUNTY's right to obtain indemnification from CONTRACTOR

or any third parties,CONTRACTOR,at its sole expense,shall maintain in full force and effect the
following insurance policies throughout the term of this Agreement:

A.Commercial General Liability

Commercial General Liability Insurance with limits of not less than One Million
Dollars ($1,000,000)per occurrence and an annual aggregate of Two Million
Dollars ($2,000,000).This policy shall be issued on a per occurrence basis.
COUNTY may require specific coverage including completed operations,
product liability,contractual liability,Explosion,Collapse,and Underground
(XCU),fire legal liability or any other liability insurance deemed necessary
because of the nature of the Agreement.

B.Professional Liability
If CONTRACTOR employs licensed professional staff (e.g.Ph.D.,R.N.,
L.C.S.W.,M.F.C.C.)in providing services,Professional Liability Insurance with
limits of not less than One Million Dollars ($1,000,000)per occurrence,Three
Million Dollars ($3,000,000)annual aggregate.
C.Worker's Compensation
A policy of Worker's Compensation Insurance as may be required by the
California Labor Code.
CONTRACTOR shall obtain endorsements to the Commercial General Liability
insurance naming the County of Fresno,its officers,agents,and employees,individually and
collectively,as additional insured,but only insofar as the operations under this Agreement are
concerned.Such coverage for additional insured shall apply as primary insurance and any other

insurance,or self-insurance,maintained by the COUNTY,its officers,agents and employees shall be
excess only and not contributing with insurance provided under the CONTRACTOR's policies herein.

This insurance shall not be cancelled or changed without a minimum ofthirty (30)days advance
written notice given to COUNTY.

Within thirty (30)days from the date CONTRACTOR signs this Agreement,
CONTRACTOR shall provide certificates of insurance and endorsements as stated above for all of the

foregoing policies,as required herein,to the County of Fresno,2011 Fresno Street,Suite 301,Fresno,
California,93721,Attention:Contracts Section,stating that such insurance coverage's have been
obtained and are in full force;that the County of Fresno,its officers,agents and employees will not be

responsible for any premiums on the policies;that such Commercial General Liability insurance names
the County of Fresno,its officers,agents and employees,individually and collectively,as additional

In the event CONTRACTOR fails to keep in effect at all times insurance coverage as
herein provided,the COUNTY may,in addition to other remedies it may have,suspend or terminate

this Agreement upon the occurrence of such event.
All policies shall be with admitted insurers licensed to do business in the State of
13
14
California.Insurance purchased shall be from companies possessing a current A.M.Best,Inc.rating of
B+FSC VIII or better.

13.CONFIDENTIALITY
All services performed by CONTRACTOR under this Agreement shall be in strict
conformance with all applicable Federal,State of California and/or local laws and regulations relating17
18 to confidentiality.

14.NON-DISCRIMINATION
During the performance of this Agreement CONTRACTOR shall not unlawfully
discriminate against any employee or applicant for employment,or recipient of services,because of21
22 race,religion,color,national origin,ancestry,physical handicap,medical condition,marital status,age
or sex,pursuant to all applicable State and Federal statutes and regulations.23
24 15.LIMITED ENGLIGH PROFICIENCY

CONTRACTOR shall provide interpreting and translation services to persons
participating in CONTRACTOR's services who have limited or no English language proficiency,
27

including services to persons who are deaf or blind.Interpreter and translation services shall be
provided as necessary to allow such participants meaningful access to the programs,services and

benefits provided by CONTRACTOR.Interpreter and translation services,including translation of
CONTRACTOR's "vital documents"(those documents that contain information that is critical for

accessing CONTRACTOR's services or are required by law)shall be provided to participants at no
cost to the participant.CONTRACTOR shall ensure that any employees,agents,subcontractors,or
5
6
partners who interpret or translate for a program participant,or who directly communicate with a
program participant in a language other than English,demonstrate proficiency in the participant's
7
8
language and can effectively communicate any specialized terms and concepts peculiar to
CONTRACTOR's services.

16.CHILD ABUSE REPORTING
CONTRACTOR shall utilize a procedure acceptable to COUNTY to ensure that all of
11
12
CONTRACTOR's employees,volunteers,consultants,subcontractors or agents performing services
under this Agreement shall report all known or suspected child abuse or neglect to one or more of the
13
14
agencies set forth in Penal Code section 11165.9.This procedure shall include having all of
CONTRACTOR's employees,volunteers,consultants,subcontractors or agents performing services
15
16
under this Agreement sign a statement that he or she knows of and will comply with the reporting
requirements set forth in Penal Code section 11166.Tne statement to be utilized by CONTRACTOR is
17
18
set forth in Exhibit C,Notice of Child Abuse Reporting Law,attached hereto and by this reference
incorporated herein.

17.AUDITS AND INSPECTIONS
CONTRACTOR shall at any time during business hours,and as often as COUNTY may
deem necessary,make available to COUNTY for examination all of its records and data with respect to21
22 the matters covered by this Agreement.CONTRACTOR shall,upon request by COUNTY,permit
COUNTY to audit and inspect all such records and data necessary to ensure CONTRACTOR's23
24 compliance with the terms of this Agreement.
Ifthis Agreement exceeds Ten Thousand and Noll 00 Dollars ($10,000.00),25
26 CONTRACTOR shall be subject to the examination and audit of the State Auditor General for a period
of three (3)years after final payment under contract (California Government Code section 8546.7).27

Any and all notices between COUNTY and CONTRACTOR provided for or permitted

19.GOVERNING LAW
The parties agree,that for the purposes of venue,performance under this Agreement is
to be in Fresno County,California.15
16 The rights and obligations of the parties and all interpretation and performance of this
Agreement shall be governed in all respects by the laws of the State of California.17
18 20.ENTIRE AGREEMENT

This Agreement,including all exhibits,COUNTY's RFP No.952-3968 and
CONTRACTOR's response thereto,constitutes the entire agreement between CONTRACTOR and

COUNTY with respect to the subject matter hereof and supersedes all previous agreement negotiations,
proposals,commitments,writings,advertisements,publications,and understandings of any nature
23

whatsoever unless expressly included in this Agreement.

Goal:
The goal of this project is,during each twelve (12)month period,to provide at least 850
supervised parentlchild(ren)visits at CONTRACTOR's Specialized Visiting-Home located
at 386 N Calaveras,Fresno,CA 93701.The three (3)Bedroom "Visiting Home"house
will provide a place where biological parents can engage in long-term visits,for up to four
(4)hours,for high risk,drug exposed or medically fragile infants (0-2 years of age)who
are currently in foster care.These visits will promote bonding between the birth parents
and the child(ren).The facility will provide a clean,homelike environment in which
parents can visit with their babies and learn how to care for them (Le.bathing,feeding,
use of medical apparatus,etc.)Parents will be given instructions on how to care for their
child(ren)and will be encouraged to work toward reunification with their child(en).The
Visiting-Homes'goal is to shorten the time that infants are separated from their parents
by foster care.
CONTRACTOR'S OBLIGATIONS:
1.CONTRACTOR agrees to provide a drug free facility and will ensure that
visiting birth parents using the facility are drug free,which includes not being in
possession of drugs or having drug paraphernalia on their person or the premises.If
parents come to their visits under the influence of drugs or alcohol or in possession of
contraband,the visit will be terminated and they will be asked to leave.The social
worker from the County will be notified by phone and in writing of the incident.
2.Two (2)staff of the Specialized Visitation-Home will be Licensed Vocational
Nurses (LVN).All staff serving these children will be trained in the handling of high-risk
children.At least One (1)LVN will be on site during visitation hours,in the event of a
medical incident.There will be One (1)back up LVN available.
3.CONTRACTOR's Specialized Visitation-Home will provide birth parents with
approximately thirty (30)minutes of training in the handling of their high-risk child(ren).
The training will include:basic parenting skills,bathing,changing the diaper,feeding their
infant,as well as the use of medical equipment such as apnea monitors,oximeter
monitors,gastro-intestinal tubes,nasopharyngeal tubes,oral gastro tubes,ostomy bags,
tracheotomy tubes,broviac lines,oxygen,and nebulizer treatments.The instruction will
be given prior to any visit occurring in the Visitation-Home.
4.Staff at the Visitation-Home will provide training to the birth parents during the
parent's visitation series,on an as needed basis.
5.CONTRACTOR's Specialized Visitation Home staff will supervise all visits.
Parents utilizing the Specialized Visitation-Home are responsible for the care of their
child(ren)during each visit.The placement Foster Parent(s)will be encouraged to bring

6.The Visitation-Home will stock a small supply of diapers and children's
products and maintain ongoing stock of supplies at no cost to COUNTY.
7.Staff at the Visitation-Home will be responsible for documenting each visit.
The documentation will include any training provided and indicate positive interactions
between parent and child and/or any concerns observed during each visit.This
documentation will be routed to the social worker within three (3)working days.With the
exception of sharing and discussing parent child visits with the Department of Children
and Family Services case-manager,this information will remain confidential.
8.The Specialized Visitation-Home will be open a minimum of four (4)days per
week.The facility will accommodate up to four (4)supervised parentlchild{ren)visits per
day.Each visit is expected to be for a period of up to four hours,twice a week [this
schedule is flexible and will be designed to match the parentlchild(ren)needs and
abilities].
9.CONTRACTOR will provide reasonable hours of operation and may include
evenings and weekends,if necessary.The Visitation Home will observe County holidays.
Hours of operations are as follows:

10.CONTRACTOR's staff will confer monthly with social workers to discuss the
progress of the parentlchild(ren)visits.
11.CONTRACTOR's staff will expedite reporting to Department of Children and
Family Services(DCFS)Administration of incidents,events,situations or occurrences
that may meet the criteria for "critical incidents"as defined by DCFS.The criteria are;a
child's death or serious injury,any physical,emotional or mental injury or abuse by other
foster children including sexual abuse,or by any care providers while living with parents
or placed out of home,any incidents or allegations of injury or abuse that are reported to
the media or are likely to become high profile incidents within the region and the scope of
Fresno County DCFS.
12.CONTRACTOR will provide a monthly statistical report to the DCSF no later
than the 10111of each month.Documentation will outline the following:

Total number of scheduled visits for that month.
Number of duplicated and unduplicated clients receiving services during the

NOTICE OF CHILD ABUSE REPORTING LAW

The undersigned hereby acknowledges that Penal Code section 11166 and the
contractual obligations between County of Fresno (COUNTY)and VALLEY TEEN
RANCH (CONTRACTOR),related to provision of services for Supervised-Home
Visitation Services,require that the undersigned report all known or suspected child
abuse or neglect to one or more of the agencies set forth in Penal Code (P.C.)section (§)
11165.9.
For purposes of the undersigned's child abuse reporting requirements,"child
abuse or neglect"includes physical injury inflicted by other than accidental means upon
a child by another person,sexual abuse as defined in P.c.§11165.1,neglect as defined
in P.c.§11165.2,willful cruelty or unjustifiable punishment as defined in P.C.
§11165.3,and unlawful corporal punishment or injury as defined in P.c.§11165.4.
A child abuse report shall be made whenever the undersigned,in his or her
professional capacity or within the scope of his or her employment,has knowledge of or
observes a child whom the undersigned knows or reasonably suspects has been the
victim of child abuse or neglect.(P.C §11166.)The child abuse report shall be made to
any police department or sheriffs department (not including a school district police or
security department),or to any county welfare department,including Fresno County
Department of Children and Family Services'24 Hour CARELINE.(See PC
§11165.9.)
For purposes of child abuse reporting,a "reasonable suspicion"means that it is
objectively reasonable for a person to entertain a suspicion,based upon facts that could
cause a reasonable person in a like position,drawing,when appropriate,on his or her
training and experience,to suspect child abuse or neglect.The pregnancy of a child
does not,in and of itself,constitute a basis for reasonable suspicion of sexual abuse.
(P.C.§11166(a)(1).)
Substantial penalties may be imposed for failure to comply with these child abuse
reporting requirements.Further information and a copy of the law may be obtained
from the County of Fresno Department of Children and Family Services Director or
designee.
